The Nature Conservancy,herein referred to as"TNC"or"the Conservancy,"and the City of Ashland,hereinafter
referred to as the"Awardee," enter into this Subaward Agreement on the date of the last signature below upon the
following terms and conditions. As used herein, "Subaward"shall refer to this Subaward Agreement#FIRE_CITY
OF ASHLAND_11.16.11 and all its attachments and incorporations. "Prime Award" shall refer to Cooperative
Agreement#11-CA-11132543-158,between the USDA Forest Service(USFS)and TNC for implementation of the
Promoting Ecosystem Resiliency through Collaboration Cooperative Agreement signed on April 22,2011,of which
the Prime Award project narrative is attached to this Subaward as Attachment E. Notwithstanding the foregoing,the
USFS is not a party to this Subaward and has assumed no obligation directly to the Awardee.
SECTIONI-PURPOSE
TNC and Awardee (collectively, the "Parties") enter into this Subaward to collaborate on a project to promote
ecosystem resiliency within and around the Ashland watershed through fuels reduction and commercial density
management on acres cross-boundary from USFS lands.
SECTION II-TERM OF SUBAWARD
This Subaward shall be effective as of the date of the last signature("Commencement Date")and shall expire on
December 31,2013 ("Expiration Date"),unless further extended by amendment of the Subaward,which shall be in
writing and signed by all Parties to this Subaward.
The Awardee may incur pre-award costs starting November 1,2011.
SECTION III-AMOUNT OF SUBAWARD
The Awardee shall receive an amount not to exceed $255,345 in Prime Award funds. The Awardee will provide a
total of$270,311 in cash or in-kind match to the Prime Award for activities implemented, for a total project amount
not to exceed$525,656. Funds provided by this Subaward are U.S.Federal financial assistance and may not be used
as match to other U.S.Federal financial assistance.
In the absence of a formal amendment to this Subaward, TNC shall not be obligated to reimburse the Awardee for
costs that are in excess of this amount.
The Awardee is authorized to reallocate funds between cost categories up to 10% of the total approved budget.
Revisions in excess of this limit require prior written permission from TNC.
SECTION IV-SCOPE OF WORK
The purpose of this Grant is to fund Awardee's Ashland Forest Resiliency project("Program")as described in the
attached workplan("Attachment A")and budget("Attachment B").
If any of the activities are to be performed on land that is owned by neither the Awardee nor the Conservancy,the
Awardee shall be responsible for obtaining the landowner's prior permission before entering upon such land.
SECTION V—REPORTS
Awardee shall submit the financial report(s)and programmatic report(s)as follows:
1. An Annual Narrative Technical Report on accomplishment of specific objectives per project plan is due
to TNC 30 days from the date the reporting form is received by the Awardee.Awardee will also provide
TNC with three copies of any publications resulting from the work performed under this Subaward.
2. A quarterly Financial Report is due 30 days after the end of each calendar quarter during the life of the
Subaward using the report form contained in Attachment C.
Narrative Technical Reports and published materials shall be signed by the Awardee's Project Manager and
submitted to TNC's Project Manager at the address specified in Section VIII"Project Managers and Administrative
Representatives."
Financial Reports shall be signed by the Awardee's Project Manager and submitted to TNC's Grants Specialist at
the address specified in Section VIII"Project Managers and Administrative Representatives."
SECTION VI-PAYMENT PROVISIONS
1. The Awardee shall separately account for payments received under this Subaward in its accounting records.
2. Disbursements shall be made to the Awardee no more frequently than quarterly upon receipt of a complete
and accurate financial report,representing actual expenses,cash balance,and projected expenses,using the
Financial Report template(Attachment Q.
3. The Awardee may request an advance of projected quarterly expenses upon execution of this Subaward,
not to exceed 25%of the award. Subsequent advances may be requested upon submission of quarterly
financial reports.
4. Payments will be sent to the Awardee by check payable to the Awardee.
SECTION VII—INTEREST
Interest amounts earned on Subaward funds of up to$250 per year may be retained by Awardee for administrative
expenses. Interest amounts including and exceeding$250 must be either(a)added to Subaward funds and used to
further eligible project activities,or(b)deducted from the total project cost in determining the net allowable project
costs. Option(a)shall apply automatically unless there are no additional approved project expenses,in which case
option(b)shall apply.

SECTION IX-AWARD ADMINISTRATION
The award administration requirements in OMB Circular A-110 as implemented by USDA regulations 7 CFR 3019
and 7 CFR 3015,are incorporated by reference. The cost allowability requirements in OMB Circular A-122 are
incorporated by reference.
SECTION X-AIR TRAVEL AND TRANSPORTATION
International air travel is unallowable under the Terms of this Subaward without prior written approval from TNC.
SECTION XI-TITLE TO AND USE OF EQUIPMENT AND SUPPLIES
No purchase of equipment(defined as non-consumable property with a per unit cost of US$5,000 or more and a
useful life of one year or more)is allowed under this Subaward without the prior written approval of The Nature
Conservancy. Title to any supplies purchased with Subaward funds vests in the Awardee during this Subaward
implementation period. Notwithstanding the foregoing,TNC shall have a free,irrevocable license to use the
equipment and/or supplies.
SECTION XII-TITLE TO AND USE OF WORKPRODUCTS AND DATA
Title to any and all Materials developed with funds from this Subaward vests in the Awardee.Notwithstanding the
foregoing,TNC and USFS shall have a free,irrevocable license to use,publish,or distribute all such Materials. The
Awardee shall provide TNC with three(3)copies of all Materials produced under this Subaward. The word
"Materials"may include,but is not limited to reports,studies,photographs(and negatives),computer programs,
drawings,writings,or other similar works or documents,along with all supporting data and material,produced
under this Subaward.
The USFS reserves a royalty-free,nonexclusive and irrevocable right to reproduce,publish or otherwise use,and to
authorize others to use,the Materials for Federal government purposes. This provision includes: The copyright in
any Materials developed by Awardee under this Subaward and any rights of copyright to which Awardee purchases
ownership with any Federal contributions.
SECTION XITI-TITLE TO AND USE OF REAL PROPERTY
If the purchase of an interest in real property is supported under this Subaward,TNC will provide separate written
instructions to the Awardee regarding acquisition,use,and disposition in accordance with applicable laws and
regulations.
SECTION XIV-ACCOUNTS.AUDITS AND RECORDS
The Awardee agrees to maintain books,records,documents and other evidence pertaining to all costs and expenses
incurred and revenues acquired under this Subaward(collectively"Records")to the extent and in such detail as will
properly reflect all costs and expenses for which reimbursement is claimed. Unless extended by TNC,these records
shall be maintained for a period of three years after the final financial report is submitted and approved by TNC.
Notwithstanding the foregoing,Awardee agrees to maintain all Records for equipment purchased with Subaward
funds for three years after the final disposition of such equipment.
The books and accounts,files and other records of the Awardee pertaining to this Subaward,shall at all times be
available for inspection,review and audit by TNC,USFS and its authorized representatives.
If TNC disallows any costs claimed by the Awardee related to this Subaward,the Awardee shall be responsible for
reimbursing TNC for any of those costs related to the work the Awardee has performed.

If the Awardee expends more than $500,000 in U.S. Federal funds during its fiscal year, it must have performed a
single audit in accordance with OMB Circular A-133. A copy of the audit must be provided within six months after
the Awardee's fiscal year-end to the TNC Grants Specialist.
The provisions of this Section shall survive the expiration of this Subaward.
SECTION XV—ACKNOWLEDGMENTS
The Awardee agrees to acknowledge the USFS and TNC's support of the project,including funding contributions
and sponsorship,on all information relating to the Subaward as follows:

The term"Information"includes,but is not limited to,news releases, articles,manuscripts,speeches,trade
association proceedings,symposia.
Unless instructed otherwise,all publications,videos,or other information/media products funded or partially funded
under this Subaward that are marked with the USFS logo,must also be marked with'the TNC logo appearing either
at the top or at the bottom of the front cover or,if more suitable,on the first inside title page. Logo and markings of
any co-sponsors or authorizing institutions shall be similarly located and of similar size and appearance.
SECTION XVI-REQUIRED ASSURANCES&CERTIFICATIONS.
By signing this Subaward,the Awardee is providing the following assurances and certifications. In the event that
any material misrepresentation in these assurances and certifications is discovered during the term of this Subaward,
the Awardee or TNC may elect to declare this Subaward null and void and immediately terminate it. In the case of
an intentional material misrepresentation,TNC may,at its option,recover damages resulting from the termination.
Notice of termination shall be given to Awardee's address listed for the Awardee's Project Manager in Section VIII
"Project Managers and Administrative Representatives." The Awardee shall require that the language of these
certifications be included in the award documents for all subawards under this Subaward and that all subrecipients
shall certify and disclose accordingly.
1. NON-DISCRIMINATION.
To the extent that such laws apply to Awardee,Awardee agrees to abide by U.S. laws with regard to non-
discrimination of U.S.citizens or legal residents working under this Subaward on the basis of race,color,
religion,national origin,handicap or age.
2. DEBARMENT AND SUSPENSION AND OTHER RESPONSIBILITY MATTERS
The Awardee certifies to the best of its knowledge and belief that it is not presently and will not be
debarred,suspended,or proposed for debarment or declared ineligible for the award of subcontracts,by any
U.S. Government agency,in accordance with federal regulations(53 Fed.Reg. 19161-19211)or has been so
within the preceding three year period.
The Awardee certifies to the best of its knowledge and belief,that it and its principals:
a. Are not presently debarred,suspended,proposed for debarment,declared ineligible, or voluntarily
excluded from covered transactions by any Federal department or agency;
b. Have not within a three-year period preceding this proposal been convicted of or had a civil
judgment rendered against them for commission of fraud or a criminal offense in connection with
obtaining, attempting to obtain, or performing a public (Federal, State, or local) transaction or
contract under a public transaction; violation of Federal or State antitrust statutes or commission
of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false
statements,or receiving stolen property;
C. Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity
(Federal, State, or local) with commission of any of the offenses enumerated in paragraph I of
this certification;and
d. Have not within a three-year period preceding this application/proposal had one or more public
transactions(Federal,State,or local)terminated for cause or default.
Where the Awardee is unable to certify to any of the statements in this certification, the Awardee must
provide to TNC a written explanation prior to signing this Subaward.
The Awardee further certifies that it will not become debarred,suspended or proposed for debarment,
declared ineligible,or voluntarily excluded from covered transactions by any Federal department or agency
during the tern of this Subaward and it will not engage or contract for work under this Subaward with any
such debarred or ineligible parties.
3. COMPLIANCE WITH LAWS
The Awardee represents, warrants,and agrees that,in connection with the transactions contemplated by this
Award: (a)the Awardee can lawfully work in the United States; (b)the Awardee shall obtain,at its own
expense(except to the extent otherwise explicitly stated in this Award)any permits or licenses required for
the Awardee's services under this Award;and(c)the Awardee shall comply with all statutes,laws,
ordinances,rules,regulations,court orders,and other governmental requirements of the United States,the
State of Oregon,and any otherjurisdiction(s)in which the Awardee is organized or authorized to do
business,including but not limited to any applicable anti-bribery statutes,which are applicable to the work
to be done by the Awardee under this Award(in each case,an"Applicable Law"). The Awardee shall not
take any actions that might cause the Conservancy to be in violation of any of such Applicable Laws.
4. CONFLICT OF INTEREST DETERMINATION (not required for government agencies)
5. MATERIAL SUPPORT AND RESOURCES TO TERRORISTS.
A. The Awardee hereby certifies:
1. . The Awardee does not commit,attempt to commit,advocate,facilitate,or participates in terrorist
acts,nor has it committed,attempted to commit,facilitated,or participated in terrorist acts.
2. The Awardee will take all reasonable steps to ensure that Awardee does not and will not
knowingly provide,material support or resources to any individual or entity that commits,
attempts to commit,advocates,facilitates,or participates in terrorist acts,or has committed,
attempted to commit,facilitated,or participated in terrorist acts.
3. Before providing any material support or resources to an individual or entity,the Awardee will
consider all information about that individual or entity of which it is aware or that is available to
the public.
4. The Awardee will implement reasonable monitoring and oversight procedures to safeguard against
assistance being diverted to support terrorist activity.
B. For purposes of this Certification:
1. "Material support and resources"means currency or monetary instruments or financial securities,
financial services, lodging,training,expert advice or assistance,safehouses,false documentation
or identification,communications equipment,facilities,weapons, lethal substances,explosives,
personnel,transportation,and other physical assets,except medicine or religious materials.
2. "Terrorist act"means:
(i) an act prohibited pursuant to one of the 12 United Nations Conventions and Protocols
related to terrorism(see UN terrorism conventions Internet site:
http://untreaty.un.org/English/Terrorism.asp);or
(ii) an act of premeditated,politically motivated violence perpetrated against noncombatant
targets by subnational groups or clandestine agents;or
(iii)any other act intended to cause death or serious bodily injury to a civilian,or to any other
person not taking an active part in hostilities in a situation of armed conflict,when the purpose of
such act,by its nature or context, is to intimidate a population,or to compel a government or an
international organization to do or to abstain from doing any act.
3. "Entity"means a Entityship,association,corporation,or other organization,group or subgroup.
6. OTHER CERTIFICATIONS.
The Awardee certifies that the Awardee will not:
a. Attempt to influence legislation or support lobbying within the meaning of Section
501(c)(3)of the U.S. Internal Revenue Code using any of the funds granted by the
Conservancy;or
b. Use any portion of these funds to participate or intervene in any political campaign on
behalf of or in opposition to any candidate for public office,to cause any private benefit
to occur,or to take any other action inconsistent with Section 501(c)(3)of the U.S.
Intemal Revenue Code.
XVIL USE OF CONSERVANCY NAME/LOGO
The Awardee may not use the Conservancy's name and/or logo in any way without prior written consent from the
Conservancy,except to the extent the work performed contemplates their inclusion in the final work product.
SECTION XVIII-ASSIGNMENT
This Subaward may not be assigned by the Awardee in whole or in part without the prior written consent of TNC.
SECTION XIX-SUBCONTRACTS AND SUBAWARDS
The Awardee may subcontract,but not subaward,any work in whole or in part without the prior written consent of
TNC. If subcontracting/subawarding is permitted,please consult with the TNC Grants Specialist listed in Section
VIII above to determine what provisions should be included in the subcontract/subaward.
SECTION XX-TERMINATION
If at any time the Prime Award is terminated,this Subaward shall also be automatically terminated as of the
termination date of the Prime award. Additionally,TNC shall have the right to terminate this Subaward by giving
30(thirty)calendar days written notice to the Awardee of intent to terminate. Upon receipt of the termination notice
from TNC,the Awardee shall take all necessary action to cancel outstanding commitments relating to the work
under this Subaward. In the event of termination prior to the originally agreed upon expiration,TNC shall pay any
obligations incurred by the Awardee that could not reasonably be canceled.
SECTION XXI-LIABILITY
The Awardee shall be solely responsible for the payment of any and all claims for loss,personal injury,death,
property damage,or otherwise,arising out of any act or omission of its employees or agents in connection with the
performance of this work.
The Awardee agrees to indemnify and hold TNC harmless from any and all claims,loss,damages,costs,and
expenses,including attorney fees through the appellate levels,made against or incurred by TNC arising out of work
performed by the Awardee under this Subaward,or arising out of any act or omission of the Awardee.
SECTION XXII-APPLICABLE LAW
This Subaward shall be interpreted,construed and governed by the laws of the state of Oregon and such laws of the
United States as may be applicable. In the event of any litigation over the interpretation or application of any of the
terms or provisions of this Subaward,Conservancy and Awardee agree that litigation shall be conducted in the state
of Oregon.The Parties hereby agree that venue in the state of Oregon shall be proper and that the Parties are subject
or will make themselves subject to personal jurisdiction in that court.
SECTION XXIII-DUE DILIGENCE
TNC may request copies of documents to ensure that Awardee meets the criteria of a non-profit conservation
organization and that the Awardee meets appropriate standards of capacity,competence,and financial
accountability. These documents include but are not limited to the following: a certificate of good standing,a list of
the names of all of its board members and principal officers,copies of Awardee's bylaws and articles of
incorporation.Awardee agrees to notify TNC immediately of any change in Awardee's corporate or tax status or
operations,or if any official judicial,legislative,or administrative proceeding is instituted against Awardee that may
affect the commitments and obligations agreed herein.
SECTION XXIV—PRECEDENCE
Any inconsistency in this Subaward shall be resolved by giving precedence in the following order:
1. The Office of Management and Budget(OMB)Circular A-122;
2. The Office of Management and Budget(OMB)Circular A-110 as incorporated into the USDA
regulations at 7 CFR 3019, 7 CFR 3015;
3. The Office of Management and Budget(OMB)Circular A-133 as implemented by USDA regulation 7
CFR 3052;
4. The Terms of this Subaward,including,if applicable,subsequent Amendments;
5. The Prime Award including,if applicable,subsequent Amendments;and
6. Other attachments to this Subaward.
SECTION XXV-ENTIRE SUBAWARD,WAIVERS AND AMENDMENTS
This Subaward constitutes the entire Subaward between TNC and the Awardee. No waiver,modification,or
amendment of any of the terms or conditions stated herein shall be effective unless set forth in writing and duly
signed by TNC and the Awardee.

ATTACHMENT A
CITY OF ASHLAND PERC SPR WORKPLAN
City of Ashland(COA) will:
1. Collaborate, coordinate, scale up, and manage operations on tasks scheduled below; review,
monitor, and provide reports on the tasks; and provide outreach to the community using
established Ashland Forest Resiliency Stewardship Project(AFRSP)organizational approach to
develop information materials including "key lessons learned"for dissemination via the Ashland
Forest Resiliency web-page, field trips for community members and presentations to local forums,
City Council and Southern Oregon University(SOU).
2. Travel to and participate in an annual meeting of PERC awardees to share materials and network
to strengthen the PERC initiative.
3. Report to TNC in accordance with Section V of the subaward
4. Following the timeline below, engage the USFS to plan and implement a cross-boundary
underburn including 20 acres on COA land by June 2012.
5. Plan and implement 14 acres surface and ladder fuel treatment on the COA Siskiyou Mtn Park
tracts by June 2012.
6. Engage key private landowners in strategic areas of Wildland Urban Interface(WUI)to plan and
implement at least 17 acres of fuels maintenance for areas previously treated to reduce fuels by
June 2012, and 20 acre more in each semi-annual period ending December 2013. Raise at least
a 10% cost match for treatment on private tracts. Treatments should change fuel model from TU-
5 to TL-1, reducing predicted fire behavior from >5' Flame lengths to <5'.
7. Plan and implement a 20 acre underburn on the City of Ashland Siskiyou Mountains Park by June
2013.

"Scaling Up to Promote Ecosystem Resiliency"

We propose a pilot program over the remaining 4.5 years of the PERC Agreement to further
accelerate all-lands, landscape-scale implementation, and to test new methods of increasing the
scale of forest restoration work as a modification to the cooperative agreement among the USDA
Forest Service(FS),the Department of the Interior Agencies (USDOI) and The Nature
Conservancy(TNC): Promoting Ecosystem Resiliency through Collaboration (PERC)
Cooperative Agreement#11-CA-11132543-158.
This addition will extend and accelerate innovative methods of on-the-ground forest
management actions to help restore naturally-functioning ecosystems and reduce wildfire risk to
resources and communities. We propose to focus cost-share resources across ownership
boundaries, such as with the neighboring state or private lands that are near sites where strategic
and collaboratively-developed federal activities are planned or underway. TNC is heavily
engaged in collaborative forest and landscape management projects and has capacity to
implement land and watershed treatments to enhance conditions and scale-up restoration from
small, local projects to larger, cross-boundary collaborative implementation projects. The goal is
to make strategic additions of implementation funds to priority landscapes to accelerate and scale
up treatments that lead to resiliency of social and ecological system components.
Background Summary
The surge of recent large wildfire events in the South and the Southwest once again highlights
the tremendous need to find ways to increase the number and accelerate the scale of forest
treatments to protect resources and communities, increase watershed and water resource
resilience during wildfires and build the resiliency of forests that are increasingly subject to
wildfires.
Forest treatments can be highly effective, but we are challenged to find innovative methods of
doing more work on state and private lands that complement other federal activities. We need to
increase controlled burning and selective mechanical forest treatments across ownership
boundaries and learn new ways of engaging staff and equipment so more and larger areas can be
treated.
TNC is involved in eight of the ten Forest Service Collaborative Forest Landscape Restoration
(CFLR) projects currently underway. In addition, collaborative forest restoration and biodiversity
conservation is the driving objective of 28 Fire Learning Network sites in the US. We propose to
select sites that have demonstrated strategic need, as well as the capacity to scale-up in short-
order projects in the field that will cross federal, state and private boundaries and that will protect
resources and communities and promote ecosystem resiliency.
Accelerating current collaborative implementation efforts and scaling up projects across
boundaries will test methods of addressing the barrier of high cost of restoration treatments and
will help implement forest restoration actions that are at a large enough scale to have the
necessary impact given the large scale of the national problem of forests that are departed from
naturally functioning systems.
Sample of Potential Scaled-uo Actions:
Final selection of projects will most likely be done through an UP process typical of that used
for the other projects under the PERC Agreement. Through that process, enabling conditions
that must be met, criteria for selection, accountability processes and strategy effectiveness
measures will be set up specifically for these funds.
. Implementing Fire Learning Network(USFLN)priority restoration treatments
FLN sites have robust collaborations and track records of successful cross-boundary
implementation but may lack strategic addition of implementation funds to accelerate and
scale up on the ground outcomes. TNC's facilitated engagement increases collaboration and
technical competency of forest land managers and fire experts. FLN sites have partners that
use a structured planning and learning process to determine desired future forest conditions
and to prioritize actions that are needed. FLN sites have landscape-scale, collaboratively
developed implementation plans in place and many acres of ready-to-go treatments lacking
only funding that can be used across boundaries.
z. Complementary actions to existing CFLR projects
The CFLR projects are promising sites where collaborative management is being tested on
large Forest Service landscapes, but the federal authorization excludes the use of funds on
neighboring state and private lands. Many collaborators are heavily engaged, especially
TNC, but there are dramatic opportunities to increase the scale of forest restoration work by
working across the federal boundaries on neighboring private and state lands. Such actions
will readily increase the scale of forest improvement, but will also directly result in enhanced
collaboration and improved community involvement and safety. TNC has identified several
sites where the scale of on-the-ground actions could be easily expanded.
3. Treatments to help important watersheds
Collaboratively-managed municipal watersheds, especially in the West, include combinations
of federal and non-federal lands that need to be cooperatively funded, and that in many cases
require forest improvement treatments to protect the watershed. TNC is directly engaged in
several of these projects in which partners use science-based assessment methods to
determine the thinning and controlled burning that is needed to reduce the risk of wildfire
danger so critical water supplies are not damaged.
4. Other scaled-up forest treatment opportunities
TNC and other conservation-oriented land managers own considerable acreage adjacent to
federal lands, many of which have high-priority land management needs, as determined by
conservation action planning. This includes a wide array of sites, from the central
Appalachian hardwood forests,to pine-oak woodlands in Arkansas, to unique montane and
valley lands in Arizona.
5. Control and management of invasive plants
Many forest areas are degraded by the expansion of aggressive non-native plants that reduce
habitat values for a wide array of wildlife species, hamper long-term productivity, and alter
key processes, including fire regimes. TNC is engaged in several collaborative projects that
identify problems and gamer resources to control invasive weeds before they do excessive
harm to priority natural forest ecosystems and adjacent lands.
Actions for 2011 to enhance the PERC partnership and implement Scaling Up to Promote
Ecosystem Resiliency:
I. With POCs, develop enabling conditions that must be met, criteria for selection;
accountability processes and strategy effectiveness measures that will be set up specifically
for these funds
