QUITCLAIM DEED
James Matzger and Carole Smith, Grantor, release and quitclaim to the City of Ashland,
Oregon, all right, title and interest in and to the following described building affixed to real
property.
Hangar #409 as depicted on the attached map, exhibit A, in the area designated as
"hangar area" all as located on the Ashland Municipal Airport-Sumner Parker Field,
Township 39 South, Range 1 East of the Willamette Meridian, Jackson County Oregon.
THIS INSTRUMENT WILL NOT ALLOW USE OF THE PROPERTY DESCRIBED IN
THIS INSTRUMENT IN VIOLATION OF APPLICABLE LAND USE LAWS AND
REGULATIONS. BEFORE SIGNING OR ACCEPTING THIS INSTRUMENT, THE
PERSON ACQUIRING FEE TITLE TO THE PROPERTY SHOULD CHECK WITH THE
APPROPRIATE CITY OR COUNTY PLANNING DEPARTMENT TO VERIFY
APPROVED USES AND TO DETERMINE ANY LIMITS ON LAWSUITS AGAINST
FARMING OR FOREST PRACTICES AS DEFINED IN ORS 30.930.

RE: Hangar Lease Rights Purchase
Dear Mr. Matzger,
At the August 20, 2013 regular business meeting the City Council approved exercising
its first right of refusal to.purchase the remaining lease rights related to hangar #409 as
expressed in the correspondence received from you July 19, 2013. The City Council
approved the purchase price of the lease rights at $14,500.
To finalize the option to purchase the City and lease require the lessor to sign a
quitclaim deed for the hangar # 409. In addition, the City will process payment through
the Finance Department.
Any additional paperwork can be completed through mail to your new address in
Arizona.

ADDENDUM TO GROUND LEASE AGREEMENT
RE HANGER #409
Date: August 19, 2013
Parties:
Lessor City of Ashland
Lessee: James A. Matzger
Carole Smith
Recitals:
A. Pursuant to a June 30, 1999 Ground Lease Agreement ("Lease"), Lessor leased to
Tara Labs - Bergs Bond Properties a portion of Ashland Municipal Airport for construction of a
hanger (later designated as Hanger 4409) and subsequent storage of an aircraft.
B. With Lessor's approval, Tara Labs - Bergs Bond Properties assigned the Lease to
Lessor. -
C. Lessor and Lessee are the current Lessor and Lessee under the Lease.
D. Lessor and Lessee wish to modify paragraphs 21.1.2 and 21.1.3 of the Lease to
provide five additional days within which the City may exercise a right of first refusal.
NOW, THEREFORE, in consideration of the mutual covenants and conditions
contained herein, the parties agree as follows:
Agreements:
1. Paragraph 21.1.2 and 21.1.3 of the Lease is deleted in its entirety and replaced with
the following paragraph:
"21.1.2. City shall have a period of 35 days, following the notice, within which to accept
the offer by giving Lessee written notice of acceptance. If the offer is accepted, the
parties shall be obligated to close the sale, sublease, assignment, or transfer in accordance
with the terns of Lessee's offer. Closing shall occur within 60 days following
acceptance or within such longer closing period as may be specified in the offer.
"21.1.3. If City does not accept the offer, Lessee may sell, sublease, assign or transfer the
lease or any interest to any other party, provided that such a sale must be consummated
within 60 days following the earlier of the expiration of the 35 day acceptance period

specified in 21.1.2 for the.offer or the date of any written rejection of the offer by City,
and for and upon the same price, terms and conditions as those specified in the offer."
2. Except as modified by this Addendum, the Lease is ratified and affirmed by the
parties.
