L E A S E
THIS LEASE made and entered into in duplicate this
20 day of April, 1971, by and between the CITY OF ASHLAND, a
Municipal corporation, hereinafter called "Lessor", and the ASHLAND
LITTLE LEAGUE, an Oregon corporation, hereinafter called "Lessee",
WITNESSETH:
I
For ONE DOLLAR ($1.00) and other valuable consideration,
the Lessor does hereby lease unto the Lessee the property commonly
known as the Ashland"Cemetery Trust Fund Property" which is located
in Jackson County, Oregon, and in the City of Ashland on Homes
Avenue and Normal Avenue adjacent to Walker School.

This Lease shall commence upon the date of the execution
by the parties hereto and shall terminate on March 31, 1974.
III
It is agreed and understood that the property may be
used by the Lessee for Little League baseball activities, including
games and practice, and other related activities only as permitted
by the Ashland Director of Parks and Recreation, and when not being
used by the Lessee for these activities it may then be used by members
of the general public for baseball activitiesoas approved by the
Director of Parks and Recreation.
IV
Any and all changes or improvements which the Lessee
desires to make must first be approved by the Director of Parks and
Recreation. Further, the Director of Parks and Recreation may require
Lessee to make any improvements or to provide any facilities that he
feels are necessary for the use of this land for the purposes herein-
above stated. The required improvements and facilities should include
but not be limited to the installation of restrooms, at least of a
temporary nature, and the installation of turfing.

Any improvements made by Lessee of a permanent nature
may ,be removed by the Lessee at the termination of this Lease only if
permitted by the Lessor or if the Lessor has prior to the installation
of such improvement agreed in writing that it may be removed at the
termination of the Lease.
VI
Lessee agrees to keep the premises in a neat and clean
condition to the satisfaction of the Director of Parks and Recreation
.and only to permit the. display of advertising signs or the like if
permitted by the Director of Parks and Recreation.
VII
It is agreed and understood that in the event said real
property is taxed, all such taxes shall be paid by the Lessee on or
before the 10th day of November of the taxable year.
VIII
Lessee, at its expense, shall obtain and keep in full
force and effect during the term.-of this Lease, a liability insurance
policy with limits of not less than $100,000.00 each person, $300,000.00
each occurrence for bodily injury,and for property damage liability of
not less than $50,000.00 each accident. The City of Ashland and its
duly elected and appointed officials and city employees shall be named
as additional insureds under the policy. A certificate of said insurance
policy shall be filed with the City Recorder of the City of Ashland. The
policy shall contain the provision that in the event of cancellation,
fifteen days written notice shall be given to the Lessor prior to the
date of cancellation.
IX
The Lessee agrees to indemnify and save harmless the
Lessor against and from any and all claims by or on behalf of any person
or persons, firm or firms, corporation or corporations, arising from
the conduct of or management about the demised premises, or for any

accident in or on the demised premises, and will further indemnify and
save the Lessor harmless against and from any and all claims arising
from any breach of or default on the part of the Lessee in the perform-
ance of any covenant or agreement on the part of the Lessee to be
performed pursuant to the terms of this Lease, or arising from any act
or negligence of the Lessee, or any of its agents, contractors, servants,
employees or licensees, members and from and against all costs, counsel
fees, expenses and liabilities incurred in or about any such claim or
action or proceeding to be brought against the Lessor by reason of any
such claim; the Lessee upon notice from the Lessor covenants to resist
or defend at Lessee's expense such action or proceeding by counsel
reasonably satisfactory to the Lessor.

The Lessee is hereby prohibited from assigning,
partially assigning or subletting the above-described premises without
the consent in writing of the Lessor, and in the event any such
assignment, partial assignment or sublease is attempted without such
consent, this Lease may be immediately revoked and rescinded at the
option of the Lessor.
XI
Upon the expiration of this Lease or on failure to
comply with any of the conditions of this Lease within thirty (30)
days after written notice thereof, time being of the essence, the
Lessor at its option, may terminate the same without notice and may
re-enter and take possession of said premises and expel the occupants
thereof without in any wise being trespassers; the failure to take
possession at the time as stated aforesaid shall not, however, estop
the Lessor from afterward asserting its right. Such remedy, however,
shall be cumulative and not exclusive.
XII
All notices from Lessor to Lessee shall be personally
delivered to an officer or agent of the Lessee or shall be directed
to the registration of the Lessee as filed with the Corporation
