STREET AND ROADWAY EASEMENT
KNOW ALL MEN BY THESE PRESENTS, that Central Oregon & Pacific Railroad Inc.
(CORP), for the consideration of twenty thousand five hundred ($20,500) DOLLARS to it paid,
the receipt whereof is hereby acknowledged, do forever grant unto the CITY OF ASHLAND, an
Oregon municipal corporation ("Grantee"), a perpetual, appurtenant, and non-exclusive easement
for street and roadway purposes, over and along the following described premises for the
purposes of constructing, maintaining, and repairing the improvement of Walker Avenue.
The real property covered by this easement is described as follows, to-wit:
See Exhibit A attached and as shown on Exhibit B attached.
To the extent permitted by the Oregon Constitution and the Oregon Tort Claims Act,
Grantee will indemnify and hold harmless Grantor, its heirs, and assigns from claims for injury to
person or property as a result of the negligence of grantee, its agents, or employees in the
construction, operation, or maintenance of said project. This instrument, and the covenants and
agreements contained in this instrument, shall inure to the benefit of and be binding and
obligatory upon the heirs, executors, administrators, successors, and assigns of the respective
parties.

Permanent Easement for Highway Right of Way Purposes
A parcel of land lying in Donation Land Claim (DLC) No. 45, Township 39 South, Range
1 East, W.M., Jackson County, Oregon and being a portion of the Central Oregon and
Pacific Railroad Inc. Right of Way; the said parcel being that portion of said property
included in a strip of land 60.00 feet in width, 30.00 feet each side of the Central Oregon
and Pacific Railroad Inc. center line "RR" and lying between Engineers Stations "RR"
1110+39.39 and 1111+54.61 of said Central Oregon and Pacific Railroad Inc., which
center line is described as follows:
Beginning at Engineer's center line Station "RR" 1107+00.00 P.O.T., said station being
North 18°17'54" West 3,544.85 feet from the Southeast corner of DLC 45, Township 39
South, Range 1 East, W.M.; thence North 55037'55" West 700.00 feet to Engineer's
center line Station "RR" 1114+00.00, said station being North 65°47'56" East 1,074.81
feet from the Southeast corner of DLC 39, Township 39 South, Range 1 East, W.M.
Bearings are based on County Survey Number 21177, as filed in the office of the
Jackson County Surveyor.
This parcel of land contains 6,914 square feet, more or less.
