Training Agreement
This Agreement is made between Rogue Community College District,
hereinafter known as RCC, with a principal place of business at 3345 Redwood
Highway, Grants Pass, Oregon 97527 and Ashland Fire and Rescue hereinafter
known as Client with a principal place of business at 455 Siskiyou Blvd. Ashland
OR 97520, phone 541-482-2770.
ARTICLE 1. Term of Agreement
This Agreement is effective as of the date signed and upon delivery of the
following services.
ARTICLE 2. Services to be Performed
1. RCC will provide training services consisting of the following:
A. Topics Emergency Medical Training Continuing
Education Units
B. Instructor RCC EMT Staff

D. Dates February 2, 2016 - March 7, 2017
E. Days of Week Tuesday and Wednesday
F. Hours of Training 12 Eight (8) hour sessions 96 total hours

ARTICLE 3: Independent Contractor Status
In the performance of services under Article 2 of this Agreement, RCC is an
independent contractor, not an employee of Client. Employees of RCC and/or
contract personnel are not employees of Client.

ARTICLE 4: Fees for Service
In consideration for the services to be provided under ARTICLE 2, Client agrees to
pay RCC the not to exceed sum of $16,200 (sixteen thousand two hundred
dollars) for training as listed in Attachment A. RCC will invoice Client $1,350 (one
thousand three hundred and fifty dollars) at the completion of each training
session. RCC reserves the right to fill any vacant seats and will provide a discount
of $40 (forty dollars) for each vacant seat up to 18 per training as detailed on the
invoice. Client agrees to pay RCC upon receipt of invoice within 30 days (NET 30).
Any additional tuition for seats above 18 filled by RCC shall be excluded from and
not be billed as part of this agreement.
ARTICLE 5: Applicable law
The laws of the state of Oregon will govern this Agreement.
ARTICLE 6: Modifications and Waivers
Except as specifically provided herein, no modification or waiver of any of the
terms of this agreement shall be valid unless in writing and signed by both RCC
and Client.
ARTICLE 7: Cancellations
Client will pay RCC 50% of the contract value if cancelation is made within 5 (five)
days of the scheduled date. Client will pay RCC 100% of the contract value if
cancelation is made within 24 hours of the scheduled date.
ARTICLE 8: Terminating the Agreement
This Agreement shall terminate automatically upon completion by RCC of the
services required by this Agreement.
ARTICLE 9: Force Majeure
Neither Client nor RCC shall be held responsible for delay or default caused by
fire, riot, war, inclement weather and other acts of God, which is beyond the
reasonable control of Client or RCC.

Re: DETERMINATIONS TO PROCURE PERSONAL SERVICES
In accordance with AMC 2.50.120(A), for personal services contracts greater than $5,000, but less
than $75,000, the Department Head shall make findings that City personnel are not available to
perform the services, and that the City does not have the personnel or resources to perform the
services required under the proposed contract. However, the City Attorney, the Public Contracting
Officer, or Local Contract Review Board, can require a formal solicitation for bids to ensure that
the purposes of this chapter are upheld.
Backuound
The State of Oregon requires all Paramedics to receive a minimum of 48 hours of continuing education
(CE) every two years. The department needs to utilize the EMS instructors and facilities at Rogue
Community College's Table Rock Campus to provide quality CE for the Paramedics of AF&R.
RCC would provide 32 (of the 48) hours of CE that would meet the requirements as outlined by the
Oregon Health Authority (OHA). In addition to the CE hours, RCC will train and evaluate department
Paramedics on the clinical skills competencies that are also required by the OHA (cardiac arrest
management, needle chest decompression, surgical cricothyroidotomy, etc).
The total cost over the two year recertification period will be no more than $16,200. Following each of the
12 training sessions the department will be billed for the class. There may be an opportunity to reduce the
cost by inviting outside departments and agencies to attend classes where vacancies are available. As the
classes fall over a two year period, the funds would come from the 2015-2017 biennium. Total training
budget was set at $59,700.
The contract would be from February 2016 - March 2017.
The contract meets the requirements for EMS CE as outlined in our Training & Education Plan. A copy of
the policy may be found at G:fire/Policies & Procedures.

Pursuant to AMC 2.50.120(A), has a reasonable inquiry been conducted as to the availability of
City personnel to perform the services, and that the City does not have the personnel and resources
to perform the services required under the proposed contract?
While the department has a number of individuals that are instructors in Advanced Cardiac Life Support
and Pediatric Advanced Life Support (the other 16 hours of required CE), the remaining 32 CE hours
involve topics that are outside their area of expertise. As Paramedicine is a highly unique and challenging
job occupation, having personnel trained by highly skilled and educated instructors (with state of the art
facilities and equipment) is a must.

Re: Sole Source Determination and Written Findings for Personal Services
In accordance with AMC 2.50.090(F), the Department Head shall determine in writing that there
is only one provider of a product or service of the quality and type required available.
Estimated total value of contract: $16,200
Project name: RCC EMS Continuing Education
Description of project: RCC will deliver 32 hours of EMS continuing education (CE) to the 28
paramedics at AF&R.
Background:
The State of Oregon requires all Paramedics to receive a minimum of 48 hours of CE every two
years. 16 of these hours are acquired when personnel attend Advanced Cardiac Life Support and
Pediatric Advanced Life Support classes.
In order to receive the additional 32 hours of required CE the department must look to the outside
for qualified instructors. In our local area, the only qualified institution is the EMS program at
Rogue Community College. While there are certainly other institutions in the state, sending
personnel out of the area is cost prohibitive.
A contract with RCC will require them to deliver 32 hours of CE that meet the requirements of
the Oregon Health Authority for paramedic recertification. Each eight hour class will be
delivered three different times over the two year recertification period as to capture all off duty
personnel.
Total cost should not exceed $16,200 and may be less.

Findings:

Market Research Overall finding: As stated earlier, this becomes a geographical issue more
than anything else. The next closest EMS education facilities are at College of the Siskiyous in
Weed, CA and Umpqua Community College in Roseburg, OR. Sending our paramedics out of
the area would be cost prohibitive.

goods or services are available from only one source: As RCC is the only provider of EMS
education in the Rogue Valley they are by default a sole source provider of the services we
require.
