ADDENDUM TO CITY OF ASHLAND CONTRACT FOR GOODS AND SERVICES Addendum made this 8th day of July, 2016, between the City of Ashland ("City") and Small Woodland Services, Inc. ("Contractor"). Recitals: A. On 09/12/2012, City and Contractor entered into a "City of Ashland Contract for Personal Services" (further referred to in this addendum as "the agreement"). B. The parties desire to amend the agreement to extend the contract effective date. City and Contractor agree to amend the agreement in the following manner: 1. The scope of services is modified to extend the expiration date to June 30th, 2017. 2. Except as modified above the terms of the agreement shall remain in full force and effect. On July 17, 2012, City Council approved a special procurement contracting procedure authorizing the City to select Small Woodland Services, Inc. as a contractor to provide specified services without soliciting competing proposals from other potential providers of such services. The request for City Council was supported by a Special Procurement Request (Form #9) dated July 11, 2012. Section 4 in Form #9 indicated the special procurement request was for the time period from 7/17/12 to 6/30/15. In contrast, a sentence in Section 7 stated the contract would be for three years with an option to grant two one-year extensions. The question, then, is whether Council's favorable action on the Special Procurement Request constituted (1) approval to issue of a contract that had to terminate no later than 6/30/15 or (2) approval to issue a contract whose termination date could be extended, through exercise of options, to 6/30/17? 1 interpret Council's action to have been approval to issue a contract whose termination date could be extended to 6/30/17. The reasons for this interpretation are summarized below. 1. The content of Form #9 contained an internal inconsistency that requires subsequent interpretation. 2. There was no need to include an end date in Section 4 of the special procurement request, since the purpose of the request was to seek approval of the process for procuring the contract (that is, for entering into the contract) - not to dictate the terms of the contract ultimately entered into. 3. The contract ultimately signed by both parties provided that the termination date could be extended, through exercise of options, to 6/30/17. 4. As a result of the addendum to the contract extending the expiration date to 6/30/16, the City is already bound to honor the contract beyond the end date entered in Section 4 of Form #9.
