HomeMy WebLinkAbout2017-077 IGA - JC EMS Surpervising Physician INTERAGENCY AGREEMENT FOR CLERICAL ADMINISTRATIVE SERVICES SUPPORTING JACKSON COUNTY EMS SUPERVISING PHYSICIAN PROGRAM PARTIES This Interagency Agreement for Clerical Administrative Services Supporting Jackson County EMS Supervising Physician Program ("Agreement") is made and entered into by and between Jackson County, Oregon, a political subdivision of the State of Oregon ("County"), acting through its Health and Human Services Department, and Ashland Fire & Rescue ("Agency"). County and Agency are hereinafter individually referred to as the "Party" and collectively referred to as the "Parties". RECITALS Agency provides emergency medical services in Jackson County and is required by Oregon Administrative Rule ("OAR") 847-035-0025 to have a supervising physician, as defined in OAR 847-035-0001, to provide direction of, and ultimately be responsible for, emergency and nonemergency care rendered by Agency. Agency and other emergency medical services ("EMS") providers in Jackson County all employ part-time the same licensed physician who serves as their supervising physician ("Supervising Physician") and who is in need of clerical support to fulfill the responsibilities of a supervising physician which are set forth in OAR 847-035-0025. Agency wishes to enter into this Agreement with the County to pay a portion of the cost of a 0.25 full-time employee ("FTE") in the Public Health Program of County's Health and Human Services Department to provide clerical administrative support to the Supervising Physician. Now, therefore, the Parties agree as follows: AGREEMENT 1. Effective Date and Duration: This Agreement shall become effective on July 1, 2017, and continue until June 30, 2018, unless earlier terminated or extended by the Parties. 2. Count.Y Responsibilities: The County shall provide centralized clerical support to the Supervising Physician in the form of a 0.25 FTE Office Assistant IV and all necessary office supplies to carry out the duties outlined in Exhibit A attached hereto and incorporated herein for all purposes. 3. Compensation: 1 Within thirty (30) days of the effective date of this Agreement, Agency shall pay as compensation to County the sum of $1,994.87, the calculation of which sum for a portion of the cost of a 0.25 FTE Office Assistant IV is set forth in Exhibit B attached hereto and incorporated herein for all purposes. Said payment shall be made payable to ``Jackson County" and forwarded to County at 140 S. Holly, Medford, Oregon 97501. 4. Records Maintenance; Access: County shall maintain all financial records relating to this Agreement in accordance with generally accepted accounting principles. In addition, County shall maintain any other records, books, documents, papers, plans, records of payment and writings of County, whether in paper, electronic or other form, that are pertinent to this Agreement in such a manner as to clearly document County's performance. All financial records, other records, books, documents, papers, plans, records of payment and writings of County whether in paper, electronic or other form, that are pertinent to this Agreement, are collectively referred to as ``Records". County acknowledges and agrees that Agency and its duly authorized representatives shall have access to the Records to perform examinations and audits and make excerpts and transcripts. County shall maintain and keep accessible all Records for a minimum of six years, or such longer period as may be required by applicable law, following final payment and termination of this Agreement, or until the conclusion of any audit, controversy or litigation arising out of or related to this Agreement, whichever date is later. County shall maintain the Records in accordance with the records retention schedules set forth in OAR Chapter 16b. 5. Termination: This Agreement may be terminated by mutual consent of the Parties or by either Party upon thirty (30) days' notice, in writing, and delivered by certified mail or in person. 6. No Third Party Beneficiaries: County and Agency are the only parties to this Agreement and are the only parties entitled to enforce its terms. The Parties agree that County's performance under this Agreement is solely for the benefit of Agency to assist and enable Agency's Supervising Physician with clerical. administrative work. Nothing in this Agreement gives, is intended to give, or shall be construed to give or provide any benefit or right, whether directly, indirectly or otherwise, to third persons any greater rights and benefits than the rights and benefits enjoyed by the Parties unless such third person are individually identified byname herein and expressly described as intended beneficiaries of the terms of this Agreement. 7. Indemnification: To the extent permitted by the Oregon Tort Claims Act, ORS 30.260 et seg., and Article XI, Section 10 of the Oregon Constitution, each Party agrees to indemnify, save and hold harmless the other party and its elected officials, officers, employees, agents and volunteers from any claim, liability or damage resulting from any error, omission or act 2 of negligence on the part of the indemnifying party, its elected officials, officers, employees, agents and volunteers in the performance of its responsibilities under this Agreement. NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. NEITHER PARTY SHALL BE LIABLE FOR ANY DAMAGES OF ANY SORT ARISING SOLELY FROM THE TERMINATION OF THIS AGREEMENT OR ANY PART HEREOF IN ACCORDANCE WITH ITS TERMS. 8. Modification, No Assignment, Construction; Effective Date No amendment, modification or change of terms of this Agreement shall bind either party unless in writing and signed by both parties. 9. Notice: Except as otherwise expressly provided in this Agreement, any communications between the Parties or notices to be given hereunder shall be given in writing by personal delivery, facsimile, email, or mailing the same, postage prepaid, to County or Agency at the address or number set forth below, or to such other addresses or numbers as either Party may indicate pursuant to this section. Any communication or notice so addressed and mailed by regular mail shall be deemed received and effective three (3) days after the date of mailing. Any communication or notice delivered by facsimile or email shall be deemed received and effective on the day the transmitting machine generates a receipt of the successful transmission, if transmission was during normal business hours of the recipient, or on the next business day if transmission was outside normal business hours of the recipient. Any communication or notice given by personal delivery shall be deemed effective when actually delivered to the addressee. THERE ARE NO UNDERSTANDINGS, AGREEMENTS, OR REPRESENTATIONS, ORAL OR 3 WRITTEN, NOT SPECIFIED HEREIN REGARDING THIS AGREEMENT. NO WAIVER, CONSENT, MODIFICATION OR CHANGE OF TERMS OF THIS AGREEMENT SHALL BIND EITHER PARTY UNLESS IN WRITING AND SIGNED BY BOTH PARTIES AND ALL NECESSARY APPROVALS HAVE BEEN OBTAINED. SUCH WAIVER, CONSENT, MODIFICATION OR CHANGE, IF MADE, SHALL BE EFFECTIVE ONLY IN THE SPECIFIC INSTANCE AND FOR THE SPECIFIC PURPOSE GIVEN. IN WITNESS WHEREOF, each Party, by signature below of its authorized representative, hereby acknowledges that it has read this Agreement, understands it and agrees to be bound by its terms and conditions. Each person signing this Agreement represents and warrants to have authority to execute this Agreement. Cry Attorney Da ~ ~ ~ ROVED TO LEG FICIENCY: ounty Counsel f Date II 4 EXHIBITA SCOPE OF WORK SUPERVISING PHYSICAN CLERICAL SUPPORT Jackson County agrees to supervise, provide direction, and ensure successful work of a 0.25 FTE Office Assistant IV to provide centralized clerical support for the Supervising Physician program in Jackson County and specific coordinated emergency medical service functions. Specific Activities • Maintain and update the Standing Orders for all Jackson County emergency medical services (EMS) agencies as requested by the Supervising Physician(s). • Maintain the Jackson County EMS webpage (www.jcems.net) and Internet e-mail access through said webpage. • Record and maintain attendance at case review meetings. • Maintain a listing of EMS educational activities for Emergency Medical Service Providers. • Maintain records of Emergency Medical Service Provider training provided by the County or the Supervising Physician program. • Attend meetings, take and transcribe minutes of the Jackson County EMS Committee, the Jackson County Ambulance Service Plan Quality Assurance Committee and other meetings as assigned. • Provide general clerical support for the Supervising Physician(s). • Assist the Supervising Physician(s) in preparing for case review meetings. • Complete special projects as assigned. • Maintain records of correspondence of the Supervising Physician(s). 5 EXHIBIT B COMPENSATION CALCULATION FOR THE SUPERVISING PHYSICAN CLERICAL SUPPORT The compensation amount of this Agreement is determined by the following formula: Consideration = $0.67 per Agency medical run + $1.00 per Agency Emergency Medical Responder + $1.25 per Agency Emergency Medical Technician + $1.25 per Agency Advanced Emergency Medical Technician + $1.50 per Agency Emergency Medical Technician Intermediate + $2.00 per Agency Paramedic. Note that the number of Agency medical runs is based on a report from Emergency Communications of Southern Oregon for the previous calendar year. The Agency personnel data is from the EMS database obtained in April of the contract initiation year. For example, for a July I, 2017 -June 30, 2018 contract, the number of medical runs would be based on calendar year 2016, while the number of Agency personnel would be based on personnel as of April 2017. 6
