Home My WebLink About2018-083 Building Department Addendum No. 2 to the Contract for Personal Services with Northwest Code Professionals between THE CITY OF ASHLAND, an Oregon municipal corporation, by and through its Community Development Department, Building Safety Division ("City") and NORTHWEST CODE PROFESSIONALS ("Consultant") RECITALS A. On April 3, 2017, City and Consultant entered into a contract to provide building inspection, plan review, and building official services. B. On February 6, 2018, with approval by the Ashland City Council given on January 16, 2018, City and Consultant increased the cost of the contract by$35,000. C. City and Consultant now wish to amend the Contract to increase the compensation to be paid to the Consultant by$13,500. The Ashland City Council approved the increase on May 1, 2018. AGREEMENT 1. The maximum price of the contract entered into on April 3, 2017 is increased to $83,500. 2. Add the following new Section 18 to the Contract as follows: 18. Northwest Code Professionals' compliance with Oregon Tax Law: (1) Northwest Code Professionals represents and warrants to the City that: Northwest Code Professionals shall,throughout the term of this Contract, including any extensions hereof, comply with: (i) All tax laws of the State of Oregon, including but not limited to ORS 305.620 and ORS chapters 316, 317, and 318; (ii) Any tax provisions imposed by political subdivision of the State of Oregon applicable to Northwest Code Professionals; and (iii) Any rules, regulations, charter provisions, or ordinances that implement or enforce any of the foregoing tax laws or provisions. Northwest Code Professionals, for a period of no fewer than six (6) calendar years preceding the Effective Date of this Addendum#2, has faithfully complied with: Page 1 of 2:Addendum No.2 to Contract between the City of Ashland and Northwest Code Professionals (i) All tax laws of the State of Oregon, including but not limited to ORS 305.620 and ORS chapters 316, 317,and 318; (ii) Any tax provisions imposed by a political subdivision of the State of Oregon applicable to Northwest Code Professionals; and (iii) Any rules,regulations, charter provisions,or ordinances that implement or enforce any of the foregoing tax laws or provisions. (2) Northwest Code Professionals' failure to comply with the tax laws of the State of Oregon and all applicable tax laws of any political subdivision of the State of Oregon shall constitute a material breach of this Contract. 3. This Addendum No. 2 shall be effective April 1,2018. 4. Except as modified by Addendum No. 1 and Addendum No. 2,the Contract shall remain in full force and effect.
