CSA Planning, Ltd. has been engaged by Purchaser to assist in its due diligence review. Until due diligence is complete, we are required to hold Purchaser's name in confidence. Under the terms of the offer, however, Purchaser must verify that a drive -up transfer permit can and will be issued by the City. Banner Bank has authorized CSA to submit an application for ministerial drive -up transfer permit to the City to initiate that process. We understand that the transferee must necessarily be named to finalize the permitting process but ask that the City allow the transfer application to be initially processed for conditional approval requiring the Purchaser's identity to be provided upon closure of sale (which is to occur at the end of the year). the criteria for approval under Ashland Municipal Code Section 18.2.3.1100. In relevant part, the criteria for approval of a ministerial Drive -Up Transfer Permit are under Ashland Municipal Code 18.2.3.100, subsections (9) to (11) as follow: "9. A ministerial Drive -Up Transfer permit shall be obtained for the transfer of any drive -up uses when such transfer is not associated with a Site Design Review or Conditional 'Use Permit application in order to document transfer of use. 10. Drive -Up uses discontinued without a Drive -Up Transfer perryflt shall be deemed to have expired after beii-19 Ullused 'for six months. Discontinuation of a drive -Up use iis considered to have occurred when tl,,)e Staff Advisor documents the drive -up use as having ceased on si°te through a planning application review, or upon on -sine verification,. All components of a drive -up use shall be removed within 60 days of discontinuation of the use through abandonment, transfer, relocation, or redevelopment," Finclinas of Fact: The subject property is located at 2235 Highway 66 and is identified as Tax Lot 1400 on Jackson County Assessor's Plat Map No. 391E11CD. It is further described as Parcel No. 2 of Partition Plat recorded in Volume 5, Page 94 of "Minor Land Partitions" in Jackson County, Oregon on March 15, 1983 [Ashland Planning File No. PA-83-05], 2. The subject property is zoned C-1. 3. Jackson County Assessment records indicate that the property owner is PremierWest Bank which reflects the name of the property owner at the time of purchase on April 14, 2005 by Statutory Warranty Deed filed in Jackson County Official Records at O.R. 2005-021443. However, PremilerWest was merged into AmericanWest Bank which was then merged with Banner Bank - which now is Successor in Interest of all branch real estate that had been held by PremierWest Bank, The company merger history is as follows: a. On April 10, 2013, PremierWest Bank transferred all assets of the Company to AmericanWest Bank through company merger, including all of its branch real estate, b. On October 2, 2016, AmericanWest Bank transferred all assets of the Company to Banner Bank through company merger, including all of its branch real estate, c. Attached here as provided by Banner Bank are the Board of Governors of the Federal Reserve System Federal Financial Institutions Examination Council (FFIEC) institution histories for PremierWest Bank, American West Bank and Banner Bank - each documenting the federally approved mergers and the formal transfer of all assets of the acquired/merged institution. 4. The subject property was originally developed in 1984 with a McDonald's fast food restaurant building having approximately 3,650 square feet with two drive up windows (a pay window and a pickup window) and single drive through lane along the west side of the structure. The drive through lane starts at the back of the building, runs south along the west side of the building and returns around the front of the building to connect with the main driveway entry. 5. Assessment records indicate that the McDonald's building was converted into a bank with the remodel work completed in 2007. The remodel eliminated the first drive -up window and added a porte-cochere over the drive -through lane along the second window for drive -up teller service. 6. Ashland Planning records indicate that the last planning action that addressed this drive -up permit was PA-2012-01500 (in 2012 all of the existing drive through permits went through a planning action to memorialize their ownership). At that time, the applicant was PremierWest Bank. As established above, PremierWest Bank has been merged into Banner Bank, 7. Banner Bank confirms that it closed branch operations at the subject property on Friday, September 25, 2020 - which was the last day that the branch and appurtenant drive -through was open to customers. 8. Purchaser is a federally chartered bank that intends to operate the facillity in the same manner as a local bank branch with drive -through service. No changes to the development site plan are anticipated at this time. Cosmetic changes to the building would be to update the building colors (e.g., change out blue roofing) and signage. Interior tenant improvements would be made for fixtures and furnishings. No change to the amount of office to customer service space (i.e_ allocation of use occupancy) is anticipated. Spatial adaptations to accommodate social distancing in response to COVID19 guidelines may occur as all' businesses must provide. Discussion and Conclusions: Purchaser proposes to occupy and operate the existing facility as a federally chartered bank in the same manner as the existing bank building has been operated up to City of Ashland - Drive Up Transfer Permit Page 2 �SIL September of this year. Therefore, there would be no change of occupancy to different or more intense use that would require a Site Design Review or Conditional Use Permit, Pursuant to subsection 18.2.3.100 (9), a Ministerial Drive -Up Transfer Permit must be obtained to document the transfer of use. Banner Bank requests a Ministerial Drive Up Transfer Permit be issued in order to assure Purchaser that the drive -up facility may continue to be used by Purchaser following: the sale, and that the transfer permit provide a reasonable period of time for Purchaser to finalize the federal approval process to operate at this location and time to complete tenant improvements and move in before opening to the public. Subsection 18-2.3.100 (10) provides that drive -up uses discontinued without a Drive - Up Transfer permit shall be deemed to have expired! after being unused for six months. Without a Drive -Up Transfer permit issued in this situation, the subject property's drive -up facility use right will expire after March 25, 2021 (six months from September 25, 2020 when Banner Bank ceased operations on site). The code does not specify how soon a transferee must commence re -use of the drive -up facility. Due to the need to finalize federal review and approval for Purchaser to open a bank branch at a location acquired from another bank, and given the ongoing COVID19/pandemic precautions that may delay completion of tenant improvements and otherwise affect a re -opening date, it is requested that the Drive -Up Transfer Permit be valid through September 25, 2021 (one year from last day of Banner Bank's operations).
