AMENDMENT NO. 1
to
PERSONAL SERVICES AGREEMENT
between
THE CITY OF ASHLAND,
an Oregon municipal corporation,
("City")
and
GROUNDWATER SOLUTIONS, INC.,
("Contractor")
for
WATER RIGHTS ASSISTANCE
RECITALS
A. The City and Contractor previously entered into a Personal Services Agreement
effective November 3, 2020 (the "Agreement") to Contractor to provide Water Rights
Assistance; and
B. The City and Contractor wish to amend the Agreement to extend the term of the
Agreement.
AGREEMENT
NOW THEREFORE, in consideration of the mutual benefits and obligations set forth
herein,the parties agree as follows:
1. Amend the Completion Date as follows,with strikeout wording deleted and underscored
wording added:
COMPLETION DATE: June 30, 2022 December 31,2022
2. Amend Section 2 of the Agreement as follows,with strikeout wording deleted and
underscored wording added:
2.1 City shall pay Provider the sum of$13,450.00 (thirteen thousand four hundred and
fifty dollars) $44450700 as provided herein as full compensation for the Work as
specified in the SUPPORTING DOCUMENTS.
2.2 In no event shall Provider's total of all compensation and reimbursement under this
Agreement exceed the sum of$13,450.00 (thirteen thousand four hundred and fifty
dollars) $11,450.00 without the express, written approval from the City official
whose signature appears below, or such official's successor in office. Provider
expressly acknowledges that no other person has authority to order or authorize
additional Work which would cause this maximum sum to be exceeded and that any

authorization from the responsible official must be in writing. Provider further
acknowledges that any Work delivered, or expenses incurred without authorization
as provided herein is done at Provider's own risk and as a volunteer without
expectation of compensation or reimbursement.
3. This Amendment No. 1 is effective upon being signed by both parties.
4. Except as specifically modified by this Amendment No. 1,the terms and conditions of the
Agreement remain in full force and effect.
IN WITNESS WHEREOF the parties have caused this Amendment No. 1 to be signed in their
respective names by their duly authorized representatives as of the dates set forth below:

Hi Scott:
Yes,thanks for thinking of that before us! We are on fumes and$2,000 additional budget should get us there. I say so
with the assumption/understanding that GSI's role is mostly focused on getting the transfer finalized and submitted and
facilitating the process. We are not anticipating much involvement(if any) in getting the purchase and sale agreement
finalized.
Are you good to go with the transfer application as developed (point vs. reach)? Do we need to discuss more? Are we
waiting for other things like the purchase agreement to catch up?

I know we are getting to the end of our existing funds on this'contract and wanted to reach out about the need to
increase them a touch to assist a bit more on both the purchase and transfer process.
We are pretty close to theend of both projects, but I know we will need some more money added to the purchase order
to get us to the finish line.
Do you think based on the work completed to date and about$2 thousand would suffice to cover"just in case"?
Better to have it and not need it then to need it and not have it.
