AMENDMENT NO.1
to the
PUBLIC IMPROVEMENT CONTRACT '
between
THE CITY OF ASHLAND,
an Oregon municipal corporation,
("City")
and
WEST COAST PIPELINE,LLC,
a domestic limited liability company,
("Contractor")
for
OAK STREET WATERLINE REPLACEMENT
PROJECT NO.2018-32
RECITALS
A. The City and Contractor previously entered into a Public Improvement Contract effective
September 20,2019(the"Contract"),to provide for the installation of approximately 2628 linear
feet of ductile iron pipe along Oak Street in the City of Ashland;and
B. The City and Contractor wish to amend the Contract to extend its term and to add a provision
about liability for the storage of Contractor's iron pipe on City property.
AGREEMENT
NOW THEREFORE,in consideration of the mutual benefits and obligations set forth
herein,the parties agree as follows:
1.Amend Section 3,EFFECTIVE DATE AND DURATION,of the Contract as follows,with
strikeout wording deleted and underscored wording added:
3. EFFECTIVE DATE AND DURATION: This Contract is effective as of the date
of execution by the City (the "Effective Date"). All Work under this Contract shall,
unless otherwise terminated or extended,be completed by Novcmbcr 22,2019 April 30,
2020,_following Contractor's receipt of the written Notice to Proceed. Contractor
expressly acknowledges that time is of the essence of any completion dates)set forth in
the Contract Documents and that no waiver or extension of such deadline may be
authorized except written amendment executed by both parties.
2. Add a new Section 7 of the Contract as follows:
7. City agrees that Contractor may store any iron pipe needed specifically for the
Work as needed on the City-owned property located at 90 N.Mountain Ave,Ashland,
OR,97520. Contractor agrees to be solely liable for any damage or destruction to the
pipe stored on the City-owned property. Contractor also agrees to be held solely liable
for any bodily injury or death caused as a result of Contractor's intentional acts or
negligence in storing and maintaining such pipe.
3. This Amendment No. 1 is effective upon being signed by both parties.

4. Except as specifically modified by this Amendment No. 1,the terms and conditions of the
Contract remain in full force and effect.
