This Pallet House Rental Agreement ("Agreement".) is made by and between Rogue
Retreat ("RR") and the City of Ashland ("City"). The Effective Date ("Effective Date")
shall be the date of the last signed signature:
WHEREAS,, RR is an established social service provider dedicated to offering immediate
stabilization and comprehensive supportive services for individuals experiencing homelessness.
Faced with demand that often exceeds available resources, RR seeks to bridge this gap by
utilizing additional pallet houses provided by the City to enhance their capacity to serve those in
need.
WHEREAS. The City of Ashland recognizes that homelessness in the Rogue Valley is a
significant issue. The City supports RR's mission and acknowledges RR's established
infrastructure, staffing, and social services expertise equip them to effectively utilize the pallet
houses. By loaning these houses to RR, the City aims to assist in addressing homelessness at a
time when it currently lacks the capacity to deploy these resources locally. The City recognizes
that homelessness is a County -wide issue, and the effective use of the pallet houses by RR will
not only benefit the individuals served but also contribute positively to the regional efforts to
combat homelessness.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained
herein, the parties agree as follows:
Purpose and Use. The City agrees to loan pallet houses, without charge, to RR on an
indefinite basis, subject to the termination clause below. The pallet houses are to be used
specifically and solely for the benefit of individuals experiencing homelessness. Any

other use is prohibited unless express written permission is granted by the City.
2. Condition and Maintenance: RR agrees to use reasonable efforts to maintain the pallet
houses in good condition. If the pallet houses are damaged, whether due to wear and tear
or circumstances beyond RR's control (including the actions of individuals experiencing
homelessness) RR shall be responsible for covering costs up to but not exceeding the
replacement cost of each pallet house. The City has the discretion to waive these costs.
3. Reporting Requirements: RR agrees to provide the City of Ashland with an annual

report detailing the number of individuals served through the use of the pallet houses.
This report shall include relevant data and insights regarding the services provided,
outcomes achieved, and any challenges faced. In addition to the annual report, RR shall
provide such information upon reasonable request by the .City.
4. Termination, Modification, and Transfer of Ownership:
Termination and Modification. Either party may terminate this Agreement by
providing 90 days' written notice to the other party. Upon termination by RR, RR
shall return all pallet houses in their current condition, considering normal wear
and tear. Similarly, upon termination by City, the City will retrieve the pallet
houses from RR's premises. Any modification to this Agreement must be made in
writing and signed by both parties.
b. Transfer of Ownership: If RR has fulfilled the conditions of this Agreement for a

period of 9 years, starting on the date of the Effective Date, the City shall transfer
ownership of the pallet houses to RR at no cost. The transfer shall be executed in
writing to reflect the change in ownership.
Indemnification: RR agrees to indemnify, defend, and hold harmless the City of Ashland
and its officers, agents, employees, representatives, and volunteers (collectively,
"Indemnified Parties") from and against any and all claims, actions, liabilities, losses,
damages, judgments, settlements, penalties, costs, and expenses of any kind, including
but not limited to reasonable attorney fees and court costs, arising out of or resulting from
any act, omission, negligence, or willful misconduct of RR, its employees, contractors, or
volunteers related to the use.. operation, or maintenance of the pallet houses. This
indemnification obligation shall apply whether the claims, actions, liabilities, losses,
damages, or expenses arise in tort, contract, or otherwise.
6. Authority to Execute: The individual signing this Agreement on behalf of each party
warrants that they have actual authority to bind the respective party to the terms herein.
Governing Law. This Agreement shall be governed by the laws of the State of Oregon,
Jackson County.
8. Entire Agreement: This Agreement constitutes the entire understanding between the
parties concerning the subject matter hereof and supersedes all prior negotiations,
agreements, or understandings.
IN WITNESS WHEREOF, By signing below, the parties acknowledges that they have read
and understood this Agreement and agrees to the terms outlined herein.
