HomeMy WebLinkAbout2025-036 AGRMT AMND #2 - Outlier Construction LLCAMENDMENT NO, 2 to Public Improvement Contract between THE CITY OF ASHLAND, an Oregon municipal corporation, and OUTLIER CONSTRUCTION LLC a company, ("Contractor") for COMMUNITY CENTER AND PIONEER HALL REHABILITATION PROJECT 2020-15,16 RECITALS A. The City and Contractor previously entered into a Public improvement Project effective Dine 25, 2024 (the "Agreement"), subsequently amended April 02, 2025,for the Community Center and Pioneer Hall Rehabilitation. B. The project is a historic site that is undergoing a significant overhaul to ensure safe Ilse. During the process, it became apparent that the building condition was worse than anticipated. from m Based on recommendations om engineers and onsite contractors, demolition was considered. Afler an extended review, including multiple meetings of an advisory coinniittee, the City Council decided to allocate additional funds to cover the discovered work and to bring the building tip to modern code in some important areas (wiring, lighting) as fitting for a building the community plans to use for an extended period into the fiiture. Consequently, this has led to an increase in project costs for the additional work as well as the delay while the decision on how to proceed was taken, resulting in Amendment 1 for $416,056.17 which was approved April 02, 2025, C. As work has progressed and more of the structure of the Community Center has been exposed (primarily through the removal of lathe and plaster wall material), new concerns have emerged. The largest impact has been the need to shore up the north side of the building to safely allow new trusses and structural reinforcement to be installed. ($13,782.52) D. Following completion of work at Pioneer and subsequent walkthrough with future customers a request was made to add acoustical panels to the main hall to reduce echo and make the space more useable. ($3,926.62) E. The City and Provider now wish to amend the Agreement with this Amendment 2 to increase the amount of compensation to be paid to Provider. AGREEMENT NOW THEREFORE, in consideration of the mutual benefits and obligations set forth herein, the parties agree as follows: Page 1 of 2: Aineridment No. 2 to Public Improvement Contract behveen the City of Ashland and Outlier Construction LLC I . Amend Section 4.1 of the Agreement as follows, with strikeout wording deleted and underscored wording added: 2.1 City shall pay Contractor an amount not to exceed $ 2,156,255.31 A$4T72-1,00) as provided herein as full compensation for the Work as specified iii file attached SUPPORTING DOCUMENTS, which are incorporated herein. Contractor agrees to complete this Amendment in accordance with the attached specifications and requirements, including any change orders. 2.2 hi no event sliall Provider's total of all compensation and reimbursement ruder this Agreement exceed the total stitil listed in Section 2.1 without the express, written approval from the City official whose signature appears below, or such official's successor in office. Provider expressly acknowledges that no other person has authority to order or authorize additional Work which would cause this maximum suns to be exceeded and that any authorization from the responsible official must be in writing. Provider further acknowledges that any Work delivered, or expenses incurred without authorization as provided herein is done at Provider's own risk and as a volunteer without expectation ofcompensation or reimbursement. 2. This Amendment No. 2 is effective upon being signed by both parties. 3. Except as specifically modified by this Amendment No. 2, the terms and conditions of the Agreement remain in full force and effect.
