This Agreement and the Supporting Documents shall be construed to be mutually complimentary and supplementary wherever possible. In the event of a conflict which cannot be so resolved, the provisions of this Agreement itself shall control over any conflicting provisions in any of the Supporting Documents. In the event of conflict between provisions of the Supporting Documents, the Supporting Documents shall be given precedence in the order listed above. The Contractor's initials LW_., ] herein signify acknowledgment and agreement to this provision, if applicable, or if not sign "N/A". The goods and services defined and described in the Supporting Documents shall hereinafter be collectively referred to as "Work." Page 1 of 8: Goods and Services Agreement between the City of Ashland and JAM Roofing & Construction Inc. 1. Term and Termination 1.1. Term. This Agreement shall be effective from the date of execution on behalf of the City as set forth below (the "Effective Date") and shall continue in full force and effect until the Completion Date indicated in the Contract Summary on page one of this Agreement unless sooner terminated as provided in Subsection 1.2. 1.1. Time is of the essence. Time is of the essence for Contractor's performance of each and every obligation and duty under this Agreement. City, by written notice to Contractor of default or breach, may at any time terminate the whole or any part of this Agreement if Contractor fails to provide the Work called for by this Agreement within the time specified herein or within any extension thereof. 1.2. Termination 1.2.1. The City and Contractor may terminate this Agreement by mutual agreement at any time. 1.2.2. The City may, upon not less than thirty (30) days' prior written notice, terminate this Agreement for any reason deemed appropriate in its sole discretion. 1.2.3. Either party may terminate this Agreement, with cause, by not less than fourteen (14) days' prior written notice if the cause is not cured within that fourteen (14) day period after written notice. Such termination is in addition to and not in lieu of any other remedy at law or equity. 2. Compensation 2.1. City shall pay Contractor the sum listed as the "Contract Amount" in the Contract Summary on page one of this Agreement as provided herein as full compensation for the Work as specified in the supporting documents. 2.2. In no event shall Contractor's total of all compensation and reimbursement under this Agreement exceed the "Contract Amount" listed in the Contract Summary without express, written approval from the appropriate Department Head or City Manager. Contractor acknowledges that any work delivered, or expenses incurred without authorization as provided herein is done at Contractor's own risk and as a volunteer without expectation of compensation or reimbursement. 3. Contractor's Obligations 3.1. Performance. Provide the goods or services as set forth in the Supporting Documents attached hereto and, by this reference, incorporated herein. 3.2. Nondiscrimination. Contractor agrees that no person shall, on the grounds of race, color, religion, creed, sex, marital status, familial status or domestic partnership, national origin, age, mental or physical disability, sexual orientation, gender identity or source of income, suffer discrimination in the performance of this Agreement when employed by Contractor. Contractor agrees to comply with all applicable requirements of federal and state civil rights and rehabilitation statutes, rules and regulations. Further, Contractor agrees not to discriminate against a disadvantaged business enterprise, minority -owned business, woman - owned business, a business that a service -disabled veteran owns or an emerging small Page 2 of 8: Goods and Services Agreement between the City of Ashland and JAM Roofing & Construction Inc. business enterprise certified under ORS 200.055, in awarding subcontracts as required by ORS 279A.110. 3.3. Subcontractor Notification. In all solicitations either by competitive bidding or negotiation made by Contractor for work to be performed under a subcontract, including procurements of materials or leases of equipment, each potential subcontractor or supplier shall be notified by the Contractors of the Contractor's obligations under this Agreement and Title VI of the Civil Rights Act of 1964 and other federal nondiscrimination laws. 3.4. Living Wage Requirements. If the amount of this Agreement is $26,429.65 or more, Contractor is required to comply with Chapter 3.12 of the Ashland Municipal Code by paying a living wage, as defined in that chapter, to all employees performing Work under this Agreement and to any Subcontractor who performs 50% or more of the Work under this Agreement. Contractor is also required to post the notice attached hereto as "Exhibit A" predominantly in areas where it will be seen by all employees. 4. Contractor's Compliance with Tax Laws 4.1. Contractor represents and warrants to the City that: 4.1.1. Contractor shall, throughout the term of this Agreement, including any extensions hereof, comply with: • All tax laws of the State of Oregon, including but not limited to ORS 305.620 and ORS chapters 316, 317, and 318; • Any tax provisions imposed by a political subdivision of the State of Oregon applicable to Contractor; and • Any rules, regulations, charter provisions, or ordinances that implement or enforce any of the foregoing tax laws or provisions. 4.1.2. Contractor further certifies that contractor is not in violation of any Oregon tax laws referenced in ORS 305.380(4). 4.2. Tax Compliance Breach. Contractor's failure to comply with the tax laws of the State of Oregon and all applicable tax laws of any political subdivision of the State of Oregon shall constitute a material breach of this Agreement. Further, any violation of Contractor's warranty, as set forth in this Article 9, shall constitute a material breach of this Agreement. Any material breach of this Agreement shall entitle the City to terminate this Agreement and to seek damages and any other relief available under this Agreement, at law, or in equity. 5. Insurance. Contractor shall obtain and maintain during the term of this Agreement and until City's final acceptance of all Work received hereunder, a policy or policies of liability insurance Each policy of such insurance shall be on an "occurrence" and not a "claims made" form, and shall include: 5.1. Commercial general liability -- with a combined single limit, or the equivalent, of not less than $2,000,000 (two million dollars) per occurrence and $3,000,000 (three million dollars) in the aggregate for Bodily Injury and Property Damage. Commercial Automobile Liability -- with a combined single limit, or the equivalent of not less than $2,000,000 (two million dollars) for each accident for Bodily Injury and Property Damage, including coverage for owned, hired and non -owned vehicles. 5.3. Additional forms: (See Attached) 5.4. Worker's Compensation. Contractor shall, at its own expense, maintain Worker's Compensation Insurance in compliance with ORS 656.017, which requires subject employers to provide workers' compensation coverage for all of its subject workers. As evidence of the insurance required by this Agreement, the Contractor shall furnish an acceptable insurance certificate prior to commencing any Work with limits not less than $500,000. 5.4.1. Workers' Compensation Exemption: If applicable, Contractor affirms and certifies that it is exempt from providing Workers' Compensation per ORS 656.027. Exemption criteria: Contractor initials if exempt: Date: 6. Additional Insured/Certificates of Insurance. The Contractor shall name the City of Ashland, Oregon, along with its elected officials, officers, and employees, as Additional Insureds on all insurance policies (excluding Professional Liability and Workers' Compensation) necessary for this Agreement. This inclusion applies solely to the services provided by the Contractor under this Agreement. The Contractor's insurance must be primary and non-contributory. Before commencing work, the Contractor must provide acceptable insurance certificates as proof of the required coverage. These certificates must specify all parties included as additional Insureds, treating each named and additional named insured as if they were covered under separate policies, without increasing policy limits. Insuring companies or entities must be accepted by the City. Upon request, the Contractor must provide complete copies of insurance policies and trust agreements to the City. Additionally, the Contractor must provide an endorsement naming the City, its officers, employees, and agents as additional insureds by the Effective Date of this Agreement, accompanied by approved certificate(s) of insurance. 7. Indemnity. Contractor shall defend, save, hold harmless and indemnify the City and its officers, employees and agents from and against any and all claims, suits, actions, losses, damages, liabilities, costs, and expenses of any nature resulting from, arising out of, or relating to the activities of Contractor or its officers, employees, contractors, or agents under this Agreement. 8. Notice Whenever notice is required or permitted to be given under this Agreement, such notice shall be given in writing to the other party by personal delivery, by sending via a reputable commercial overnight courier, or by mailing using registered or certified United States mail, return receipt requested, postage prepaid, to the addresses set forth above with a copy to: City of Ashland — Legal Department 20 E. In the event Contractor is in default of this Agreement, City may, at its option, pursue any or all of the remedies available to it under this Agreement and at law or in equity, including, but not limited to: 6.1.1. Termination of this Agreement. 6.1.2. Withholding all monies due for the Work that Contractor has failed to deliver within any scheduled completion dates or any Work that have been delivered inadequately or defectively. 6.1.3. Initiation of an action or proceeding for damages, specific performance, or declaratory or injunctive relief. 6.1.4. These remedies are cumulative to the extent the remedies are not inconsistent, and City may pursue any remedy or remedies singly, collectively, successively or in any order whatsoever. 6.2. Default: The Contractor shall be in default of this Agreement if Contractor: commits any material breach or default of any covenant, warranty, certification, or obligation under the Agreement; institutes an action for relief in bankruptcy or has instituted against it an action for insolvency; makes a general assignment for the benefit of creditors; or ceases doing business on a regular basis of the type identified in its obligations under the Agreement; or, without written authorization by the City, attempts to assign rights in, or delegate duties under, this Agreement. 6.3. Liability Limitation. In no event shall City be liable to Contractor for any expenses related to termination of this Agreement or for anticipated profits. If previous amounts paid to Contractor exceed the amount due, Contractor shall pay immediately any excess to City upon written demand provided. 7. General Provisions 7.1. Non-exclusive Agreement. City is not obligated to procure any specific amount of Work from Contractor and is free to procure similar types of goods and services from other Contractors in its sole discretion. 7.2. Independent Contractor Status. Contractor is an independent contractor and not an employee or agent of the City for any purpose. 7.3. Statutory Requirements. The following laws of the State of Oregon are hereby incorporated by reference into this Agreement: ORS 2798.220, 279B.230 and 279B.235 7.4. Assignment. Contractor shall not assign this Agreement or subcontract any portion of the Work to be provided hereunder without the prior written consent of the City. Any attempted assignment or subcontract without written consent of the City shall be void. Contractor shall be fully responsible for the acts or omissions of any assigns or subcontractors and of all persons employed by them, and the approval by the City of any assignment or subcontract shall not create any contractual relation between the assignee or subcontractor and the City. Neither party to this Agreement shall hold the other responsible for damages or delay in performance caused by acts of God, strikes, lockouts, accidents, or other events beyond the control of the other or the other's officers, employees or agents. 7.6. Deliveries F.O.B destination. Contractor shall pay all transportation and handling charges for the Goods. Contractor is responsible and liable for loss or damage until final inspection and acceptance of the Goods by the City. Contractor remains liable for latent defects, fraud, and warranties. 7.7. Goods Rejection. The City may reject non -conforming Goods and require Contractor to correct them without charge or deliver them at a reduced price, as negotiated. If Contractor does not cure any defects within a reasonable time, the City may reject the Goods and cancel this Agreement in whole or in part. This paragraph does not affect or limit the City's rights, including its rights under the Uniform Commercial Code, ORS Chapter 72 (UCC). 7.8. Goods Warranty Representation. Contractor represents and warrants that the Goods are new, current, and fully warranted by the manufacturer. Delivered Goods will comply with Supporting Documents and be free from defects in labor, material and manufacture. Contractor shall transfer all warranties to the City. 7.9. Waiver of Breach. One or more waivers or failures to object by either party to the other's breach of any provision, term, condition, or covenant contained in this Agreement shall not be construed as a waiver of any subsequent breach, whether or not of the same nature. 7.10. Jurisdiction. This Agreement shall be governed by the laws of the State of Oregon without regard to conflict of laws principles. Exclusive venue for litigation of any action arising under this Agreement shall be in the Circuit Court of the State of Oregon for Jackson County unless exclusive jurisdiction is in federal court, in which case exclusive venue shall be in the federal district court for the district of Oregon. Each party expressly waives any and all rights to maintain an action under this Agreement in any other venue, and expressly consents that, upon motion of the other party, any case may be dismissed or its venue transferred, as appropriate, so as to effectuate this choice of venue. 7.11. Severance. If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable, such provision shall not affect the other provisions, but such unenforceable provision shall be deemed modified to the extent necessary to render it enforceable, preserving to the fullest extent permitted the intent of Contractor and the City set forth in this Agreement. 8. Merger. This agreement and the attached exhibits constitute the entire understanding and agreement between the parties. No waiver, consent, modification or change of terms of this agreement shall bind either party unless in writing and signed by both parties. Such waiver, consent, modification or change, if made, shall be effective only in the specific instance and for the specific purpose given. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this agreement. Contractor, by signature of its authorized representative, hereby acknowledges that he/she has read this agreement, understands it, and agrees to be bound by its terms and conditions. JAM Roofing extends no warranties either expressed or implied, except as otherwise expressly set forth in this contract. All agreements are contingent upon strikes, accidents or delays beyond our control. If there is a Satellite Dish that needs to be moved we will remount, however the homeowner is responsible for any necessary follow up adjustments necessary for proper reception. Owner is to carry fire, tornado and other necessary insurance. Our workers are fully covered by Workman's Compensation Insurance. As it pertains to the 'Jam Protection Plan;' If Protection Plan is offered and accepted, JAM Roofing acknowledges that no change order will be given to homeowner based on the following roof items only: Multiple layers not accounted for, damaged deck sheathing, siding around roof install areas and/or damaged fascia boards will not be charged to the customer if 'Jam Protection Plan' is initialed by customer at time of signing. Jam Roofing reserves the right to have sole discretion of which products are in need of replacement and those that are not to insure proper warranty. Any other products not mentioned above are not apart of the 'Jam Protection Plan.' In the unlikely event that any structural damages(truss or joist replacement, etc. ) need to be done, homeowner will need to contact a licensed framer for this portion and at the homeowners expense. As it pertains to change orders, any extras not originally planned for in the scope of work project to be billed at cost of materials plus $60 per man hour. A Fuel surcharge of $25 will also be added to all change orders. Any change orders being added where the project is outside a 30 mile radius from Medford will be charged $50 for delivery. In addition, due to the nature of unknown and exploratory repairs, any 'repair' work performed by JAM Roofing is not guaranteed and is under no warranty unless specified. JAM Roofing will perform its duty to the best of our ability to locate leaks on the roof. However, JAM Roofing holds no liability in locating and/or fixing the source of a leak due to the nature of JAM Roofing not being the initial installer of the previous roof. As it pertains to ventilation, JAM Roofing workmanship holds no liability in establishing proper ventilation on existing structures. JAM Roofing will verify ventilation and install according to what is previously there. Any issues arising with condensation or the potential of mold is not the responsibility of JAM Roofing unless explicitly stated changes are being made to the existing building envelope. Customer Precautions Replacing your roof is a messy process, vibrations, noise, and debris. To try an alleviate stress that can take place during the replacement process we have come up with a list of precautions and things to be aware of during your upgrade. Inside: ❑ Wall hangings, pictures, etc. removed from walls. ❑ Fragile or family heirlooms should be removed from shelves ❑ Glass or irreplaceable shades from hanging light fixtures to be removed ❑ Pets - are they ok inside or should they go to a pet sitter? ❑ After job is completed fans/ fan covers (kitchen/bathroom) may need to be pulled apart and cleaned. (We are not responsible for the inside cleaning of vents.) Attic ❑ Valuables removed or covered. ❑ Garage area - if it does not have a ceiling - all areas of garage should be covered with plastic to prevent debris entering toolboxes, stored items, etc. — Skip sheeted roofs will have a tremendous amount of debris falling into the attic/ garage space. (If vehicles are to remain in garage, they should be covered but preferably removedfrom garage.) Outside yard area, driveway, etc.: ❑ Have the grass mowed - it is easier to clean up debris in a short -trimmed yard. ❑ Take note any plants that may need covered. Please ask our Foreman the day of start to cover. ❑ Please move any items that could be damaged from falling debris to a safe place ❑ We take reasonable precautions to protect your landscape, like any work area, grass and plants will show some signs of our presence, due to tear off and foot traffic — should you have items you would like additional precautions, inform our foreman prior to the start of the job ❑ Gutters will be cleaned at end of project, do not worry about cleaning them prior. ❑ Please remove any flags, bird feeders, wind chimes, etc. that are attached to house. ❑ Driveway to be clear of vehicles and leave us enough room for our 9'x14' dump trailer. ❑ Please keep in mind a 30 square home has approximately 10,000 nails (not counting staples) — throughout the workday there may be nails/staples on the ground, walkway, driveway, etc. we cleaned up and magnet sweep at the end of each day. I would like to say you won't find any staples or nails Things we will need access to: ❑ Power plugs on the front and back of home - preferably 2 locations from 2 different breakers to avoid breaker tripping. If these power access points are on the same breaker as a fridge or freezer, please check them periodically to assure they have constant power (if they are hooked to a breaker that has blown the light will not come on when you open door.) Do we need to bring a generator? Or do we need access into the garage for power. ❑ Attic - we may need to block off gable vents or check locations of bathroom fans, hood vents, etc. ❑ Access with a ladder - if the only access to the roof with a ladder is in a main walkway, please plan on using the back -door entry. ❑ **If you have a satellite dish mounted on your roof, we will have to remove and reset the dish. There may be a temporary loss of service and the dish may have to be fine-tuned for service. These Agreement & Authorization are subject to be automatically withdrawn on the 30"' day following its date of issue if not accepted in writing and returned to PRESSURE POINT ROOFING, INC. ("Contractor"). Payment Terms: Estimates are valid for 30 days from the date of estimate. A 25% deposit is required before any work is to begin. Balance is due upon completion. Payment is to be made within 10 days of receipt of invoice. Contractor will not perform service, warranty and/or punch list work if Customer fails to timely pay Contractor, and Contractor may cease all work or terminate the Agreement if Customer fails to timely pay Contractor. Customer agrees to pay interest of 1 1/2 % per month (ANNUAL PERCENTAGE RATE OF 181/o), unless otherwise required by law, on the balance of any unpaid amounts. Payments received shall be applied first to interest on all outstanding invoices and then to the principal amount of the oldest outstanding invoices. Customer agrees to provide Contractor with adequate access to electricity and other utilities as needed, the work site, and the work area adjacent to the structure. Contractor is not liable and Customer is solely liable for work installed by any person other than Contractor, unless otherwise specified by Contractor in this Agreement. Understructure work, if necessary, is additional at time ($95/manhour) plus materials (with a 10% markup to be included on any such materials). Any such work that may be necessary will be discussed with Customer as it is discovered by Contractor. Should concealed or unknown conditions be at variance with conditions indicated in the description of the work to be performed from those ordinarily encountered and generally recognized as inherent in work of the character provided for in this Agreement, the Agreement price shall be equitably adjusted, as indicated above, upon notice thereof from the Contractor to the Customer. In the event that Federal, state, county, or municipal codes, regulations or permitting authorities require work not expressly set forth in this Agreement or differ materially from that generally recognized as inherent in work provided for in this Agreement, Customer shall pay for all extra costs incurred by Contractor in addition to the contract price. Customer shall be present for all scheduled inspections. Customer shall be liable to Contractor for any damages incurred by Contractor as a result of Customer not being present for inspections. It shall be the sole obligation of the Customer to determine the existence of restrictions contained in deeds, subdivision or neighborhood regulations which might relate to or restrict the improvements under this Agreement. Contractor shall have no liability or responsibility for any such non- conformity with such restrictions/requirements. Contractor shall be entitled to payment from Customer of all sums due hereunder not withstanding any injunction/prohibition against the work as a result of any violation of such restriction/requirement. Due to the nature of the construction to be done at Customer's request, the Customer takes sole responsibility for any damage done to curbs, walkways, driveways, structures, septic tanks, sewer lines, water or gas lines, arches, sod, shrubs, lawn, trees, landscaping, clotheslines, telephone or electric lines, appurtenances, person(s) or real or personal property at the job location. Contractor is not responsible/liable for any hairline cracks, or any cracks, in the drywall due to the removal and reinstalling of windows or doors or any damage caused by dust or debris caused by Contractor's work. Contractor is not liable for damage to person or property caused by nails, however, Contractor agrees that it will take the appropriate precautions to avoid said damage. The cost for testing/abatement for asbestos is the sole responsibility of the Customer. This Agreement shall be governed by the laws of the State of Oregon. Venue of any dispute arising out of this Agreement shall be Jackson County, Oregon, unless the parties hereto mutually agree otherwise. Should Contractor employ an attorney to collect amounts owed under the Agreement from Customer, Contractor shall be entitled to recover from the Customer all of its attorney's fees, costs and expenses incurred therein, including attorney's fees, costs, and expenses incurred at mediation, administrative, appellate or bankruptcy proceedings, and any proceedings required to determine the reasonable amount of attorney's fees owed pursuant to a court order or judgment. Customer hereby grants Contractor the irrevocable right to repossess mar uninstalled on the property in the event the work performed. The repossesseri. knowledge that have read any amounts owed by Customer to Contractor at their resale or scrap value on the date the materials are repossessed. 9. Contractor disclaims all liability for all claims, disputes, rights, losses, damages, causes of action or controversies ("Claims") pertaining to mildew and mold ("Mold"), including Claims arising out or relating to the detection, removal, disposal, or remediation of Mold, whether those Claims arise in law, equity, contract, warranty, tort, or federal or state statutory claims, and whether those Claims are based on the acts or omissions of Contractor or individuals or entities under Contractor's control. The Customer is solely liable and responsible for all damages, whether actual or consequential, caused by Mold and incurred by Customer, Contractor or third parties. 10. Arbitration Required. If there is an increase in the actual cost of the labor or materials charged to the Contractor in excess of 5%subsequent to making this Agreement, the price set forth in this Agreement shall be increased without the need for a written change order or amendment to the contract to reflect the price increase and additional direct cost to the Contractor. Contractor will submit written documentation of the increased charges to the Owner upon request. As an additional remedy, if the actual cost of any line item increases more than 10% subsequent to the making of this Agreement, Contractor, at its sole discretion, may terminate the contract for convenience. Disputes to be Arbitrated. Any dispute between the parties concerning the interpretation, application, enforcement or validity of this agreement shall be arbitrated under Chapter 13 of the Uniform Trial Court Rules effective August 1, 1990 or as amended thereafter. All arbitration hearings shall take place in Jackson County, Oregon. The cost of arbitration shall be shared equally between the parties; however, the prevailing party shall be entitled to recover the attorney's fees incurred concerning the arbitration and/or any appeal thereof. In the event Customer or Contractor shall take any action, judicial or otherwise, concerning this agreement, including but not limited to enforcement or interpretation of any terms of the agreement, the prevailing party shall be entitled to recover from the other party all expenses which it may reasonably incur in taking such action, including but not limited to costs incurred in searching records, the cost of title reports, taking and transcribing of depositions, surveyor reports and foreclosure reports and attorney fees, whether incurred in a suit or action or appeal from a judgment or decree therein or in connection with non - judicial action, including the giving by Contractor to Customer of any notice necessitated by Customers failure to comply with these Terms and Conditions. 11. WAIVER OF JURY TRIAL. THE PARTIES KNOWINGLY, VOLUNTARILY, IRREVOCABLY AND INTENTIONALLY WAIVE THE RIGHT TO A TRIAL BY JURY IN RESPECT TO ANY LITIGATION ARISING OUT OF OR PERTAINING TO THE AGREEMENT, OR ANY COURSE OF CONDUCT, COURSE OF DEALINGS, STATEMENTS (WHETHER VERBAL OR WRITTEN) OR ACTIONS OF ANY PERSON OR PARTY RELATED TO THIS AGREEMENT. 12. Unless otherwise provided: THERE ARE NO EXPRESS OR IMPLIED WARRANTIES WHATSOEVER INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. All warranties/guarantees provided by Contractor, if any, shall be deemed null and void if Customer fails to strictly adhere to the payment terms. All warranties and guarantees, if any, are solely are non -transferable, unless otherwise agreed to by Customer and Contractor in writing. Any express warranty provided, if any, by Contractor is the sole and exclusive remedy for alleged construction defects, in lieu of all other remedies, implied or statutory. 13. In no event, whether based on contract, warranty (express or implied), tort, federal or state statute or otherwise arising from or relating to the work and services performed under the Agreement, shall Contractor be liable for special, consequential, or indirect damages, including loss of use, loss of profits, or actions by third parties. 14. Contractor will perform the work hereunder within a reasonable time and in a workmanlike manner. Contractor shall not be liable for any damages, and Customer waives all damages associated with delays in the completion of the work due to permitting or inspection issues, delays in obtaining materials or the transportation of materials, or delays caused by Customer or any person other than Contractor. Payment to Contractor is an absolute and independent obligation, and Customer shall not withhold any part of the and understand this page. Prior to construction, Customer shall obtain fire, tornado, flood, builder's risk and other necessary insurance for this project. It is Customer's duty to notify Contractor in writing within seven (7) days of the occurrence of any claim, defect, default or deficiency arising out of work, services or materials provided by Contractor under this Agreement ("Occurrence"). Failure of the Customer to provide written notice of the Occurrence shall result in the Customer waiving all claims that may be brought against Contractor arising out of or relating to the Occurrence, including claims arising in law, equity, contract, warranty (express or implied), tort or federal or state statutory claims. Upon notification, Customer shall provide Contractor with a reasonable time of not less than ten (10) business days to cure or correct the Occurrence before terminating the Agreement, hiring a replacement Contractor or taking any adverse or legal action against Contractor. Under this agreement, notice is proper if served on an officer of Contractor and an officer of Customer or Customer individually. Upon completion of the work as determined by the Contractor, Customer and Contractor in each other's presence shall conduct a "walk-through" inspection of the Project, and a punch list of items needing correction will be prepared and signed by the parties. The punch list will include an estimated completion date for each item. The existence of a punch list shall not constitute a basis for delaying any payment including final payment if all other conditions for final payment have been satisfied. Customer acknowledges that the punch list is to only include those items that are required pursuant to the contract, but which have yet to be completed at the time of the punch list walk through. Only one punch list shall be prepared for the Project. Extra or additional work outside the terms of the written contract is not punch list items. 18. Customer's Right of Cancellation. Customer acknowledges that they understand the right of rescission and warranties set forth in this Agreement. Customer may cancel this transaction at any time prior to midnight of the third business day after the date of this transaction with no financial penalty. See the attached notice of cancellation form for an explanation of this right. Contractor reserves the right to assess a financial fee if this Agreement is canceled after the right of rescission period. 19. Each provision of the Agreement shall be construed as if both parties mutually drafted this Agreement. If a provision of this Agreement (or the application of it) is held by a court or arbitrator to be invalid or unenforceable, that provision will be deemed separable from the remaining provisions of the Agreement, will be reformed/enforced to the extent that it is valid and enforceable, and will not affect the validity or interpretation of the other provisions or the application of that provision to a person or circumstance to which it is valid and enforceable. This Agreement records the entire agreement of the parties and supersedes any previous or contemporaneous agreement, understanding, or representation, oral or written, by the parties. To try an alleviate stress that can take place during the replacement process we have come up with a list of precautions and things to be aware of during your upgrade. Inside: ❑ Wall hangings, pictures, etc. removed from walls. ❑ Fragile or family heirlooms should be removed from shelves ❑ Glass or irreplaceable shades from hanging light fixtures to be removed ❑ Pets - are they ok inside or should they go to a pet sitter? ❑ After job is completed fans/ fan covers (kitchen/bathroom) may need to be pulled apart and cleaned. (We are not responsible for the inside cleaning of vents.) In the event that Federal, state, county, or municipal codes, regulations or permitting authorities require work not expressly set forth in this Agreement or differ materially from that generally recognized as inherent in work provided for in this Agreement, Customer shall pay for all extra costs incurred by Contractor in addition to the contract price. Customer shall be present for all scheduled inspections. Customer shall be liable to Contractor for any damages incurred by Contractor as a result of Customer not being present for inspections. It shall be the sole obligation of the Customer to determine the existence of restrictions contained in deeds, subdivision or neighborhood regulations which might relate to or restrict the improvements under this Agreement. Contractor shall have no liability or responsibility for any such non- conformity with such restrictions/requirements. Contractor shall be entitled to payment from Customer of all sums due hereunder not withstanding any injunction/prohibition against the work as a result of any violation of such restriction/requirement. Due to the nature of the construction to be done at Customer's request, the Customer takes sole responsibility for any damage done to curbs, walkways, driveways, structures, septic tanks, sewer lines, water or gas lines, arches, sod, shrubs, lawn, trees, landscaping, clotheslines, telephone or electric lines, appurtenances, person(s) or real or personal property at the job location. Contractor is not responsible/liable for any hairline cracks, or any cracks, in the drywall due to the removal and reinstalling of windows or doors or any damage caused by dust or debris caused by Contractor's work. Contractor is not liable for damage to person or property caused by nails, however, Contractor agrees that it will take the appropriate precautions to avoid said damage. The cost for testing/abatement for asbestos is the sole responsibility of the Customer. This Agreement shall be governed by the laws of the State of Oregon. Venue of any dispute arising out of this Agreement shall be Jackson County, Oregon, unless the parties hereto mutually agree otherwise. Should Contractor employ an attorney to collect amounts owed under the Agreement from Customer, Contractor shall be entitled to recover from the Customer all of its attorney's fees, costs and expenses incurred therein, including attorney's fees, costs, and expenses incurred at mediation, administrative, appellate or bankruptcy proceedings, and any proceedings required to determine the reasonable amount of attorney's fees owed pursuant to a court order or judgment. Customer hereby grants Contractor the irrevocable right to repossess mar uninstalled on the property in the event the work performed. The repossesseri. knowledge that have read any amounts owed by Customer to Contractor at their resale or scrap value on the date the materials are repossessed. 9. Contractor disclaims all liability for all claims, disputes, rights, losses, damages, causes of action or controversies ("Claims") pertaining to mildew and mold ("Mold"), including Claims arising out or relating to the detection, removal, disposal, or remediation of Mold, whether those Claims arise in law, equity, contract, warranty, tort, or federal or state statutory claims, and whether those Claims are based on the acts or omissions of Contractor or individuals or entities under Contractor's control. The Customer is solely liable and responsible for all damages, whether actual or consequential, caused by Mold and incurred by Customer, Contractor or third parties. 10. Arbitration Required. If there is an increase in the actual cost of the labor or materials charged to the Contractor in excess of 5%subsequent to making this Agreement, the price set forth in this Agreement shall be increased without the need for a written change order or amendment to the contract to reflect the price increase and additional direct cost to the Contractor. Contractor will submit written documentation of the increased charges to the Owner upon request. As an additional remedy, if the actual cost of any line item increases more than 10% subsequent to the making of this Agreement, Contractor, at its sole discretion, may terminate the contract for convenience. Disputes to be Arbitrated. Any dispute between the parties concerning the interpretation, application, enforcement or validity of this agreement shall be arbitrated under Chapter 13 of the Uniform Trial Court Rules effective August 1, 1990 or as amended thereafter. All arbitration hearings shall take place in Jackson County, Oregon. The cost of arbitration shall be shared equally between the parties; however, the prevailing party shall be entitled to recover the attorney's fees incurred concerning the arbitration and/or any appeal thereof. In the event Customer or Contractor shall take any action, judicial or otherwise, concerning this agreement, including but not limited to enforcement or interpretation of any terms of the agreement, the prevailing party shall be entitled to recover from the other party all expenses which it may reasonably incur in taking such action, including but not limited to costs incurred in searching records, the cost of title reports, taking and transcribing of depositions, surveyor reports and foreclosure reports and attorney fees, whether incurred in a suit or action or appeal from a judgment or decree therein or in connection with non - judicial action, including the giving by Contractor to Customer of any notice necessitated by Customers failure to comply with these Terms and Conditions. 11. WAIVER OF JURY TRIAL. THE PARTIES KNOWINGLY, VOLUNTARILY, IRREVOCABLY AND INTENTIONALLY WAIVE THE RIGHT TO A TRIAL BY JURY IN RESPECT TO ANY LITIGATION ARISING OUT OF OR PERTAINING TO THE AGREEMENT, OR ANY COURSE OF CONDUCT, COURSE OF DEALINGS, STATEMENTS (WHETHER VERBAL OR WRITTEN) OR ACTIONS OF ANY PERSON OR PARTY RELATED TO THIS AGREEMENT. 12. In no event, whether based on contract, warranty (express or implied), tort, federal or state statute or otherwise arising from or relating to the work and services performed under the Agreement, shall Contractor be liable for special, consequential, or indirect damages, including loss of use, loss of profits, or actions by third parties. 14. Contractor will perform the work hereunder within a reasonable time and in a workmanlike manner. Contractor shall not be liable for any damages, and Customer waives all damages associated with delays in the completion of the work due to permitting or inspection issues, delays in obtaining materials or the transportation of materials, or delays caused by Customer or any person other than Contractor. Prior to construction, Customer shall obtain fire, tornado, flood, builder's risk and other necessary insurance for this project. It is Customer's duty to notify Contractor in writing within seven (7) days of the occurrence of any claim, defect, default or deficiency arising out of work, services or materials provided by Contractor under this Agreement ("Occurrence"). Failure of the Customer to provide written notice of the Occurrence shall result in the Customer waiving all claims that may be brought against Contractor arising out of or relating to the Occurrence, including claims arising in law, equity, contract, warranty (express or implied), tort or federal or state statutory claims. Upon notification, Customer shall provide Contractor with a reasonable time of not less than ten (10) business days to cure or correct the Occurrence before terminating the Agreement, hiring a replacement Contractor or taking any adverse or legal action against Contractor. Under this agreement, notice is proper if served on an officer of Contractor and an officer of Customer or Customer individually. Upon completion of the work as determined by the Contractor, Customer and Contractor in each other's presence shall conduct a "walk-through" inspection of the Project, and a punch list of items needing correction will be prepared and signed by the parties. The punch list will include an estimated completion date for each item. The existence of a punch list shall not constitute a basis for delaying any payment including final payment if all other conditions for final payment have been satisfied. Customer acknowledges that the punch list is to only include those items that are required pursuant to the contract, but which have yet to be completed at the time of the punch list walk through. Only one punch list shall be prepared for the Project. Extra or additional work outside the terms of the written contract is not punch list items. 18. Customer's Right of Cancellation. Customer acknowledges that they understand the right of rescission and warranties set forth in this Agreement. Customer may cancel this transaction at any time prior to midnight of the third business day after the date of this transaction with no financial penalty. See the attached notice of cancellation form for an explanation of this right. Contractor reserves the right to assess a financial fee if this Agreement is canceled after the right of rescission period. 19. Each provision of the Agreement shall be construed as if both parties mutually drafted this Agreement. If a provision of this Agreement (or the application of it) is held by a court or arbitrator to be invalid or unenforceable, that provision will be deemed separable from the remaining provisions of the Agreement, will be reformed/enforced to the extent that it is valid and enforceable, and will not affect the validity or interpretation of the other provisions or the application of that provision to a person or circumstance to which it is valid and enforceable. This Agreement records the entire agreement of the parties and supersedes any previous or contemporaneous agreement, understanding, or representation, oral or written, by the parties.
