HomeMy WebLinkAbout2025-053 AGRMT Scouts Troop 112 City of Ashland and Troop 112 Ashland OR,Pacific Crest Council, Scouting America Flag Display Agreement This Memorandum of Agreement("Agreement") is entered into on this by and between the City of Ashland("City") and Scouts Troop 112 ("Scouts") RECITALS WHEREAS,the City of Ashland owns Pioneer Hall located at 73) Winburn Way,Ashland, Oregon, and historically uses Pioneer Hall as a community center that frequently partners with local organizations, including the Scouts. The Scouts are the owners of a historically significant nag,which dates back to 1915 ("Flag"),- WHEREAS,Pioneer Hall serves as a venue that fosters community engagement and has a long-standing history of collaboration with the Scouts. The City NN4shes to display the Historical Flag at Pioneer Hall for the enjoyment and benefit of the community;and WHEREAS,the Scouts desire to allow the display of the Historical Flag at Pioneer Hall, recognizing that the City does not claim ownership of the flag,and the Scouts wish to release the City from any liability related to the display or subsequent handling of the flag. THEREFORE,the Parties agree to the following terms: I. Ovvnership and Use: The Scouts retain full ownership of the Historical Flag. Except as provided in Section 3,the City acknowledges that it has no ownership interest in the flag. City agrees to display the Flag at Pioneer Hall and agrees not to use the Flag for any other purpose, unless otherwise agreed upon by the parties. This Agreement does not transfer ownership or title of the Historical Flag to the City or any other party. 2. Release of Liability: The Scouts agree to release and hold harmless the City from any and all claims, damages, or liabilities arising from or related to the display,handling,or preservation of the Historical Flag during the display but not limited to destruction, period, including b damage, des uction, or loss of the flag. I Termination: The City reserves the right to terminate this Agreement at its sole discretion by providing written notice to the Scouts. Upon termination,the Scouts shall promptly remove the Flag from Pioneer Hall and return it to the Scouts. If the Scouts are dissolved as a legal entity or cease to exist,and the City is unable to properly return the Flag to the Scouts,the Flag shall become the property of the City of Ashland. IN WITNESS WHEREOF,By signing below,the parties acknowledges that they have read and understood this Agreement and agrees to the terms outlined herein.
