Re: Request for Consent to Assignment of Northstar Chemical Inc. Agreement
Dear City of Ashland:
Reference is made to that certain Goods and Services Agreement,dated as of July 3,2024(as may
have been amended, the "Agreement"), by and between Northstar Chemical Inc., a Washington
corporation("Northstar") and the City of Ashland, an Oregon municipal corporation ("City„or"you").
On December 5, 2024, Northstar entered into an asset purchase agreement, by and among
Alumichem USA Inc.,a Delaware corporation("Alumichem")and a certain other party thereto,pursuant
to which Alumichem intends to acquire certain assets of Northstar(the"Transaction").In connection with
the Transaction,Nortlstar wishes to assign the Agreement to Alumichem at the closing of the Transaction.
Pursuant to Section 7.4 of the Agreement, Northstar hereby requests your prior written consent to the
assignment of the Agreement to Alumichem.
I respectfully ask that you provide the requested consent by having an authorized person of the

While the completion of the Transaction is ongoing, time is of the essence with respect to this
request. I therefore kindly request that you coordinate the execution and return of this later no later than
