BETWEEN
THE CITY OF ASHLAND
AND
THE OREGON SHAKESPEARE FESTIVAL
This Parking Agreement("Agreement") is entered into on this I"day of November 2025, by and
between the City of Ashland, an Oregon municipal corporation("City"), and the Oregon
Shakespeare Festival, an Oregon non-profit corporation("OSF").
RECITALS
WHEREAS,the City owns the Hargadine Parking Garage ("Garage"), located at 175 Hargadine
Street, Ashland, Oregon;
WHEREAS, OSF, a non-profit theater company based in Ashland, Oregon since 1935
contributing significantly to Ashland's cultural and economic vitality, and has historically used
allocated parking spaces in the Garage. The parties memorialized a use agreement on March 5,
2025 and wish to continue the use agreement in substantially similar terms.
WHEREAS, the City has contracted with LAZ Parking Northwest, LLC ("LAZ Parking") for
downtown parking enforcement and administration services;
WHEREAS, the City Manager has determined that OSF may utilize a limited number of parking
spaces in the Garage under specific terms and conditions of this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein
contained,the parties agree as follows:
TERMS AND CONDITIONS
1. Term
This Agreement shall be effective upon execution and shall remain in effect until October 31,
2026. Beginning November 1, 2026,there shall be no free or discounted parking under this
Agreement unless otherwise negotiated.
2.Allocation of Parking Spaces
a. The City shall allocation 150 parking spaces at no charge ("Comped Spaces") to OSF staff.
3. Parking Management
a. OSF shall be responsible for assigning staff members to the allocated Comped and Discounted
Spaces.
b. LAZ Parking shall administer and enforce the parking terms and conditions under this
Agreement, including issuing permits or access credentials as necessary.
c. OSF shall provide a list of designated staff members to the City and LAZ Parking by
February 1st, 2025. The current designated parking list will stay in effect until that date.
4.Financial Considerations
a. The City shall waive parking fees for the 150 Comped Spaces for the duration of the
Agreement which will allow for parking 24 hours a day for designated spaces.
b. OSF shall recognize the City of Ashland as an in-kind sponsor at the $18,000 level.
c. OSF shall recognize the City of Ashland as a sponsor in print materials.
5. Use of Parking Spaces
a. The designated spaces shall be used exclusively for OSF staff. OSF shall ensure that permits
or credentials are not transferred or misused.
b. OSF staff must comply with all City parking regulations and LAZ Parking enforcement
policies.
c. The City reserves the right to revoke access to parking spaces if OSF staff violate parking
regulations or misuse the allocated spaces.
6. Liability and Indemnification
a. The City shall not be liable for any loss,theft, or damage to vehicles parked in the Garage
under this Agreement.
b. OSF shall indemnify and hold harmless the City, its officers, employees, and agents from any
claims, damages, or liabilities arising from the use of the Garage by OSF staff.

7. Termination and Modification
a. This Agreement may be terminated by either party with 30 days' written notice.
b. The Agreement may be modified only by a written amendment signed by both parties.
8. Miscellaneous
a. This Agreement does not create an entitlement for OSF to use parking spaces beyond the
expiration date.
b. The City reserves the right to implement a broader parking policy for all downtown businesses
and may consider alternative arrangements in future negotiations.
c. This Agreement shall be governed by the laws of the State of Oregon.
