RE: City Manager Signature Needed for Change Order to DSL Builders Contract
Background: This item is conning to you for signature to add scope to the Booster Pump Station
Improvement Project Contract with DSL Builders. This project is an ARPA grant funded project which
includes upgrades to the Booster Pump Stations at each of the TAP partners (Talent, Ashland and
Phoenix). The original contract scope was competitively bid and the award reviewed and approved by
Ashland City Council.
This scope addition is specific to the Ashland Booster Punrp Station and involves changing out the two
isolation valves on the water pipelines entering that station. This change is required as the valves were
found to be leaking after the contract was awarded and isolation of the facility is required to accomplish
the awarded contract scope.

RECITALS
A. The City and Contractor previously entered into a Public Improvement Project effective
November 25, 2024(the"Agreement"), for Booster Pump Station Improvements.
B. Subsequent to the award of the Contract it has been identified that the valves isolating
portions of the scope of work at the Ashland Booster Pump Station are leaking at a significant
rate and must be changed for the work to be accomplished, To provide the required isolation
for the work to be performed two new valves will be installed,replacing the existing valves
The value of the additional work covered under the current proposed Amendment 1 is agreed
to be$52,917.
C. The City and Contractor now wish to amend the Agreement to increase the amount of
compensation to be paid to Contractor.
AGREEMENT
NOW THEREFORE,in consideration of the mutual benefits and obligations set forth
herein, the parties agree as follows:
1. Amend Section 4.1 of the Agreement as follows, with strikeout wording deleted and
underscored wording added:
2.1 City shall pay Contractor a sum not to exceed $ 1,914,717 ($-44,�( , ) as provided
herein as full compensation for the Work including the additional specified work in the
SUPPORTING DOCUMENTS included with this Amendment 1, which are incorporated
herein. Contractor agrees to complete this Amendment in accordance with the Contract
specifications and requirements, including any change orders.
2.2 In no event shall Contractors' total of all compensation and reimbursement under this
Agreement exceed the total sum listed in Section 2.1 without the express, written
approval from the City official whose signature appears below, or such official's
successor in office. Contractor expressly acknowledges that no other person has
authority to order or authorize additional Work which would cause this maximum sum to
be exceeded and that any authorization from the responsible official must be in writing.

Contractor further acknowledges that any Work delivered, or expenses incurred without
authorization as provided herein is done at Contractors' own risk and as a volunteer
without expectation of compensation or reimbursement,
2. This Amendment No. I is effective upon being signed by both parties.
3. Except as specifically modified by this Amendment No. 1,the terms and conditions of the
Agreement remain in full force and effect.
