AMENDMENT NO. 2
to
PERSONAL SERVICES AGREEMENT
between
THE CITY OF ASHLAND,
an Oregon municipal corporation,
("City")
and
The Freshwater Trust
("Consultant")
for
WWTP Outfall Relocation Project Mitigation Monitoring and Reporting Service
Requirements to DEQ services
RECITALS
A. The City and Provider previously entered into a Personal Services Agreement effective January
18, 2023 , for the WWTP Outfall Relocation Project Mitigation Monitoring and
Reporting Service Requirements to DEQ services; and
B. The City and Consultant now wish to amend the Agreement to increase the amount of
compensation to be paid to Consultant and amend the term of the agreement.
AGREEMENT
NOW THEREFORE, in consideration of the mutual benefits and obligations set forth
herein, the parties agree as follows:
1. Amend the amount of compensation from $15,456 (fifteen thousand four hundred fifty-six
dollars to $20,000 (twenty thousand dollars), an increase of $4,544 (four thousand five
hundred forty-four dollars).
2. Amend the Term of the Agreement to extend the expiration date of the PO to December 31st,
2026.
3. This Amendment No. 2 is effective upon being signed by both parties.
4. Except as specifically modified by this Amendment No. 2, the terms and conditions of the
Agreement remain in full force and effect.

Hi Chance,
I wanted to circle back with you to provide a written record of the following request from DSL
to continue Maintenance & Monitoring at the Ashland WWTP Outfall Relocation Project
through 2026:
Hello Taylor,
I have reviewed the year 2 (2025) monitoring report for DSL permit 61768-RF. According to
the report, the site is currently meeting all performance standards. However, the Department
of State Lands would like to receive a year 3 (2026) monitoring report for the reasons outlined
below:
Native Species Cover:
As stated in the year 2 monitoring report, the site is barely meeting the native species
performance standard with a cover of 61.25%. In order to meet this standard, the site had to
be re-seeded in 2024 and 2025. The Department wants to ensure that the site will maintain a
native species cover of at least 60% without the need to re-seed in 2026.
Woody Vegetation and Irrigation Requirements:
According to the authorization, the site must be irrigated for 2 years after planting; however,
the site must also be meeting the woody vegetation performance standard for 2 years without
irrigation. Within the year 2 monitoring report, it is stated that irrigation occurred in May of
2025. Given that the monitoring period stated within the authorization is a minimum of 3
years, the Department would like to ensure that the woody vegetation will thrive the third
year without the need for watering in 2026.
Thank you for your cooperative efforts to comply with the Oregon Removal-Fill Law. As a
reminder, the year 3 (2026) monitoring report is due by December 1, 2026.

As we discussed over the phone earlier this week, some of the language in that email
needed clarification. I spoke on the phone with Morgan Dally this afternoon and she
confirmed that 2026 will be the final year of maintenance and monitoring required at this
project, should it continue to meet standards (which I am confident it will). To continue
stewardship, monitoring, and reporting efforts at the project TFT proposes a change
order which extends the SOW timeline to December 31, 2026 for Tasks 1, 2, and 3
(Project Management, Maintenance and Monitoring, and Reporting) and adds $4,543
dollars to the existing project budget, bringing the overall project budget to $20,000.
I have our legal team working on the Amendment No II. contract now and will send it over
when it is ready for your review.

Hi Chance,
The Q3 & Q4 invoice for work completed at the Ashland WWTP Outfall Relocation Project
mitigation planting is attached. Hours in Q3 & Q4, primarily account for monitoring,
maintenance, and adaptive management of the project. Although the site is not
currently meeting two of the four performance standards (Native Species Cover and
Invasive Species Cover), the maintenance plan described in the annual report was
approved by DSL on 12/9/25 following submission of the Year 1 Annual Monitoring
Report. TFT continues to oversee the planting area and believes the project is on track to
meet performance standards by fall monitoring for the Year 2 Annual Monitoring Report.
