Marketing Services Agreement - Retainer
Ashland Fiber Network (Client) will retain Nex-Tech for 240 hours for various marketing, consulting,
graphic design, and media production services for the period of this Agreement. If project hours are
predicted to exceed the number of hours purchased, Nex-Tech will advise the Client and ask the Client
to prioritize the projects, or a change order for more additional hours can be purchased. Hours may be
used on various projects including,but not limited to Social Media Posts,Traditional and Digital Graphic
Design, Meetings, Website Updates,Video Production, and Photography.
Onboarding & Meetings
Nex-Tech provides Onboarding to all new clients to ensure a successful relationship between the Client
and Nex-Tech. Onboarding is provided at no charge with a signed agreement. Onboarding includes an
Introductory Meeting and training in the project management system (Basecamp). For an optimal
Onboarding experience and interaction, video conferencing is preferred. The use of Basecamp is
required for all project discussions and approvals. Existing clients will be provided with a kickoff
meeting for any new projects or service agreements.
Delayed,Suspended,or Abandoned Projects
Any project is deemed delayed if there is a delay exceeding 15 business days in the Client's response
to requests for assets, information,feedback,or approvals. In the event of unresponsiveness to project
requirements for 45 days, Nex-Tech reserves the right to impose a fee of up to 15% of the project
agreement to resume work, with adjusted deliverable timelines. Projects are considered suspended if
responses are delayed for more than 45 days without reasonable cause, prompting Nex-Tech to issue
an invoice for the remaining balance, due upon receipt. During suspension, no further work will be
undertaken, and reactivation requires the Client to provide all necessary items and settle the project
balance. If responses are delayed for over 90 days without reasonable cause,the project will be deemed
abandoned, resulting in forfeiture of any monies paid.
Expenses
In addition to the outlined fees, Client shall also reimburse Nex-Tech for all third-party expenses in
connection with this Agreement, plus a standard handling charge of 15% and any sales taxes due on
this Agreement,whether the same are billed currently or in arrears. Expenses include,but are not limited
to database costs, materials costs, printing costs, signage orders, audio talent, social media
campaigns, social media advertising,website domain licensing,website hosting fees, media buys, and
other outside expenses.

Fees
Monthly services will be billed in equal monthly installments for twelve (12) consecutive months. This
fee covers personnel time, computer/software licensing, and project management. Any work
requested by the Client that is outside the scope of this Agreement will be billed at$150.00/hour.

Term
Term of Agreement: One (1) year. At no time will Nex-Tech be liable for any lost work, productivity, or
data.
Total Annual Agreement Price: $36,000
Monthly Installment: $3,000
The parties hereby expressly agree that this Agreement will be governed by the terms and conditions stated in the
Terms and Conditions found at www.nex-tech.com/msa. Signature below represents that Client has read,
understood,and accepts such terms and conditions. Price(s)do not include applicable local,state,federal taxes,
or shipping costs. Nex-Tech charges a 1.5% technology fee on all technology services. Quote is valid for thirty
(30)days from date Quote is written. Email billing and auto payment required.
