Re: Request for Consent to Change of Control — Hunter Communications & Technologies, LLC
Dear Sabrina:
I hope you are doing extremely well. I'm writing to provide notice of an upcoming ownership change
involving Hunter Communications &Technologies, LLC ("Hunter" or"us") and, to the extent required
under our Master Services Agreement (Communications Transport Services)(the "Agreement"), to
request the consent of the city of Ashland (hereinafter, the "City").
Hunter has entered into a definitive agreement to be acquired by Hunter Super Holdings, L.P., a
newly formed company that is indirectly and primarily owned and controlled by funds and entities
affiliated with United States-based private equity fund Oak Hill Capital Management ("Oak Hill"), Oak
Hill is a long-standing digital infrastructure investor with deep experience supporting fiber-to-the-
home and business networks in regional markets similar to those Hunter serves. Oak Hill's
investment is intended to support our continued network expansion, reliability, and long-term service
quality across Oregon, Washington and Northern California.
Importantly, this transaction is structured as a statutory merger resulting in a change of indirect
ownership of Hunter. Hunter Communications &Technologies, LLC will remain the authorized
franchisee entity, and there will be no assignment of assets, no interruption of service, and no change
to Hunter's obligations under the Agreement. Our local team, operations, and commitment to the City
will remain unchanged.
To the extent the transaction may be deemed to constitute a transfer, assignment, or change of
control under the Agreement, we respectfully request the City's written consent and confirmation that:
1. The City consents to the transaction and resulting change of indirect ownership of
Hunter;
2. Any applicable notice or consent requirements are satisfied or waived; and
3. The transaction will not result in a default or impairment of the Agreement.
The transaction is expected to close on or about April 1, 2026, subject to customary conditions and
regulatory approvals. Notwithstanding closing of the transaction, the Agreement will continue in full
force and effect without modification.
