HomeMy WebLinkAbout2026-013 AGRMT Ashland Parks Foundation BUTLER-PEROZZI FOUNTAIN DONATION AGREEMENT This DONATION AGREEMENT ("Agreement')is entered into between the City of Ashland ("City") and the Ashland Parks Foundation ("Foundation"), a domestic nonprofit corporation, collectively the"Parties." This Agreement is effective as of the date of the last signature hereon (the "Effective Date"). RECITALS A. Ashland Parks Foundation is a nonprofit dedicated to enhancing Ashland's quality of life with financial support for its parks and recreation programs. B. Ashland Parks Foundation has raised money to restore the Butler-Perozzi Fountain in Lithia Park, and has asked the City for permission select a qualified contractor and begin the restoration and repair work of the Butler-Perozzi Fountain as a donation to the City. None of the funds used on this project are public funds. Nonetheless, since the City is the final beneficiary of the donation, the City wishes to insure minimum contractor standards regarding insurance, licensing, bonding, as well as standard methods of communication given the location and public nature of the donation. C. Due to a change in the plans, confirmation of a qualified contractor, and an updated Project Management Plan ("PMP"), upon the mutual agreement of the parties, the prior September 5, 2026 agreement is hereby revoked and hereby replaced by this Agreement. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, including those in the Recitals, as well as other good and valuable consideration, the parties hereby agree as follows: 1. Restoration of Butler-Perozzi Fountain. 1.1. City grants to Ashland Parks Foundation a limited license to enter Lithia Park for purposes of performing restoration and repair work on the Butler-Perozzi Fountain. The restoration and repair shall be performed in accordance with the design plans attached hereto as Exhibit A and incorporated by reference herein (the "Plans"). Neither Ashland Parks Foundation nor its contractors and/or subcontractors may deviate from the Plans unless they receive written permission from City, which City may withhold in its sole and absolute discretion. 1.2. Subject to the approval of the City, Ashland Parks Foundation shall be responsible for selecting and supervising a qualified contractor to complete the Fountain restoration project. As of the Effective Date of this Agreement, the Foundation selected Outlier Construction ("Outlier" "Contractor"), as specified in Exhibit B. The City approves Outlier Construction on the condition that the Foundation agrees to fulfill the terms of Exhibit B, and specifically require that Outlier provide proof of licensure, proper insurance, bonding. The Foundation shall oblige Outlier to substantially comply with the terms of this Agreement. 1 -RESTORATION AND REPAIR AGREEMENT 1.3. Timeline. 1.3.1. Notice to Proceed ("NTP")—Exhibit C. Written Notice to Proceed will be given by the City after the City has received executed performance bonds, payment bonds, proof of insurance, proof of contractor licensure, SHPO approval, or other such requirements as outlined in the Project Management Plan, which includes plan submissions regarding traffic control, erosion, tree protection. The Notice To Proceed shall not be unreasonably delayed. The Foundation may commence the project work within ten (10) days of the date of the written Notice To Proceed, or earlier upon the mutual consent of the parties. Work may not commence prior to the City's written Notice to Proceed. 1.3.2. Certificate of Substantial Completion—Exhibit D. Foundation shall notify the City in writing when all or a portion of the work is considered substantially complete. If it appears to the City that the work is not substantially complete, the City shall not make an inspection. The City may make a general list of major work components remaining. If it appears that the work is substantially complete, the City shall, within fifteen (15) days after receiving notice, make an inspection and either accept the work or notify Foundation of work yet to be performed, and outline those "punch-list" items as provided by Exhibit D. 1.3.3. Notice of Final Completion—Exhibit E. Foundation shall notify the City in writing when work is 100% complete. If it appears to the City that the work is not 100% complete, the City shall not make a final inspection. The City may make a general list of major work components remaining. If it appears that the work is 100% complete, the City shall, within fifteen (15) days after receiving notice, make a final inspection and either accept the work or notify Contractor of work yet to be performed on the Contract. A Certificate of Final Completion shall not be prepared until all provisions of the Contract have been met, including but not limited to, an executed "Release of Liens and Claims", Exhibit F and Exhibit G. The Certificate of Final Completion shall be the date the City accepts the donation. 1.4. SHPO Requirements. Prior to any Notice to Proceed, the restoration work must be approved by the State Historic Preservation Office (SHPO), in compliance with state and federal laws. A copy of SHPO approval will be provided to the Parties prior to the commencement of any work on the Fountain. Within the scope of the donation, and prior to the Notice of Final Completion, the Foundation shall be responsible for any costs, fees, closeout items, or fines associated with SHPO requirements or updates. 1.5. Construction Liens and Cost Overruns. Ashland Parks Foundation shall not allow any construction lien to attach to the premises, and any lien imposed by any contractor shall be immediately paid in full or otherwise removed from the premises by Ashland Parks Foundation, including but not limited to by filing a bond or cash deposit as set forth in ORS 87.076. 1.5.1. To properly notify the Contractor and any subcontractors of the responsible party, the Foundation must promptly, but in no event later than three days after the commencement of construction, post a notice of non-responsibility in a conspicuous place by the Fountain 2-RESTORATION AND REPAIR AGREEMENT pursuant to ORS 87.030(1). The posting shall comply with the form outlined in Exhibit H. Prior to the issuance of a Notice to Proceed, the Foundation must furnish such signage and in such a condition or material that can withstand the weather. Should such signage be damaged or destroyed, the Foundation must replace the damaged or destroyed sign within three days. 1.5.2. The Foundation shall be solely responsible for any cost overruns, permitting fees, other overages in excess of the anticipated costs as outlined in Exhibit B, or any fee that, but for the construction, the City would not be obligated to pay. 1.6. Bonding. Prior to the issuance of a Notice to Proceed, the Foundation must secure a Performance Bond (Exhibit 1) and a Payment bond (Exhibit J)by Outlier Construction for the full amount of the contract amount, listed in Exhibit B. Failure of the Foundation to secure such bonding by Outlier will not meet minimum contractor standards. 1.7. Insurance. Prior to the issuance of a Notice to Proceed, The Foundation and Outlier must separately, independently, and at their own expense, carry occurrence-based insurance, naming the City as an additional insured until the City has issued a Notice of Final Completion. Those insurance obligations are outlined in Exhibit K. Failure of the Foundation to secure such insurance by Outlier will not meet minimum contractor standards. 1.8. Anticipated Cooperation and PMP. All parties to this Agreement covenant and guarantee that each will use their best efforts to complete their obligations and that each will fully cooperate with the other for a successful and efficient execution of the project. The City may, in the City's discretion, ask the Foundation to produce documents related to the project, which the Foundation may not unreasonably withhold. Incorporated into this Agreement is the Project Management Plan (Exhibit L), which will define how the project will be executed, monitored, controlled, communicated with to the public. The PMP may be updated from time to time, depending on the nature and progression of the project. The Foundation is obliged to follow any further instructions listed in the PMP prior to a Notice to Proceed. 1.9. Termination. This Agreement may be terminated at any time by the mutual consent of both parties. The City may issue a stop order in the event of a material breach of this Agreement. The Foundation shall be in default of this Agreement if Foundation commits any material breach or default of any covenant, warranty, certification, or obligation under the Agreement; or attempts to assign rights in, or delegate duties under, this Agreement. Notwithstanding these events, the Agreement terminates upon the City's Notice of Final Completion. 2. Indemnification. While the restoration and repair work is being performed, Ashland Parks Foundation shall indemnify and hold harmless City absolutely and forever from and against any and all claims, actions, damages, suits, liabilities, obligations, costs, fees, charges, and any other expenses whatsoever, including but not limited to employment claims, as well as reasonable attorneys' fees and costs, that may be asserted by a third parry against any City arising out of the restoration and repair work, unless such claims are due to the sole negligence or willful misconduct of City. 3-RESTORATION AND REPAIR AGREEMENT 2.1. After the Notice of Final Completion, Ashland Parks Foundation shall indemnify and hold harmless City absolutely and forever from and against any and all claims, actions, damages, suits, liabilities, obligations, costs, fees, charges, and any other expenses whatsoever, including reasonable attorneys' fees and costs, that may be asserted by a third party against any City arising out of any negligence or willful misconduct involved in the restoration and repair work, unless such claims are due to the sole negligence or willful misconduct of City. 3. Independent Contractor Status. The Foundation and its contractors are independent contractors and not employees of the City for any purpose. Foundation has the complete responsibility for the performance of this Agreement. 4. Assignment: The Foundation nor its contractor shall assign this Agreement or subcontract any portion of the fountain project without the written consent of City. The Foundation shall be fully responsible for the acts or omissions of any assigns or subcontractors and of all persons employed by them, and the approval by City of any assignment or subcontract of the fountain project shall not create any contractual relation between the assignee or subcontractor and City. 5. Advice of Professionals. This Agreement is executed voluntarily by the parties hereto, and each of them, and without any duress or undue influence on the part of, or on behalf of, any of them. The parties hereto, and each of them, acknowledge that they have had the opportunity to be represented by counsel of their own choice, that they have read this Agreement and understand it, and that they are fully aware of the contents of this Agreement, and of its legal effect. 6. Operation. This Agreement is to be performed, interpreted and enforced by and under the laws of the State of Oregon. This Agreement shall bind and inure to the benefit of the respective successors, assigns, legatees, heirs and personal representatives of each of the parties hereto. This Agreement shall be of no force and effect until executed by each of the parties hereto. This Agreement shall not be construed against the party preparing it but rather shall be construed as if all parties jointly prepared the Agreement and any uncertainty or ambiguity shall be given its plain meaning and not be interpreted against any one party. Time is of the essence for the performance of each and every covenant and satisfaction of each and every condition of this Agreement. 7. Attorney Fees; Waiver of Jury Trial. In the event either party takes any action, non judicial, arbitration and/or judicial, including any appeal thereof, concerning this Agreement or any of its terms, the prevailing party shall be entitled to recover, from the other party, reasonable costs and attorney's fees. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL REGARDING ANY DISPUTE ARISING OUT OF THIS AGREEMENT. 8. Injunctive Relief. Without limiting the remedies available to either party, the parties acknowledge that a breach of any of the provisions of this Agreement may result in material irreparable injury to the non-breaching for which there is no adequate remedy at law, that it will not be possible to measure precisely damages for such injuries and that, in the event of such a breach or threat thereof, the non-breaching party shall be entitled, without the requirement to post bond or other security, to obtain a temporary restraining order and/or injunction restraining the other party from engaging in activities prohibited by this Agreement or such other relief as may be required to specifically enforce any of the provisions of this Agreement. 4-RESTORATION AND REPAIR AGREEMENT 9. Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of a signature page of this Agreement in Portable Document Format (PDF) or by email or facsimile transmission shall be effective as delivery of a manually executed original counterpart of this Agreement. Electronic signatures shall be considered equivalent to an original. 10. Entire Agreement. This Agreement and the attached exhibits and addenda contains the entire agreement and understanding among the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, inducements and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof. 11. Exhibits and Addenda. All attached exhibits and addenda are material provisions of this Agreement and incorporated herein. Ashland Parks Foundation shall comply in all respects with all provisions of the exhibits and addenda attached hereto. Safety Management Site-specific Safety Plan—Outlier to provide prior to mobilization. OSHA Compliance—Outlier's safety manual exceeds OSHA compliance. Outlier employs a full time safety manager, as well as having a full time on site superintendent managing safety. Incident reporting procedures—Outlier reports internally via Procore, and then distributed to applicable parties. Safety training and orientation—Outlier site-specific safety plan is signed by any/all personnel on site prior to work. Daily check-ins required for any/all personnel with superintendent at job trailer prior to visiting the site. 8. Document Control Drawing and specification distribution—Managed via Procore. RFI and submittal tracking— Managed via Procore. Use of project management software—Procore. 9. Project Closeout Substantial completion procedures—Substantial completion is defined as presenting an occupiable space. Once all inspections are completed and the site is deemed safe for occupancy(i.e. demobilization has occurred), then Outlier will issue a notice of substantial completion. Note there may be various punch-list items outstanding at this time which will be required to be completed prior to "Final Completion" or"Turnover" which will be a pre- requisite to issuance of retention. Final inspections and punch list completion—See above. As-built drawings and O&M manuals—Warranty manual including workmanship and product warranties as well as a directory will be issued.A separate manual for O&M's will also be issued.And then as-builts will be submitted. All in both virtual and physical formats (note, limited to one physical copy). One physical copy and one pdf of all manuals shall be submitted to the City of Ashland.
