The City and Provider previously entered into a Personal Services Agreement effective October 15, 2025 (the "Agreement"), for On Call Inspection Services. B. The City and Consultant now wish to amend the Agreement to increase the amount of compensation to be paid to Consultant. AGREEMENT NOW THEREFORE,in consideration of the mutual benefits and obligations set forth herein, the parties agree as follows: 1. Amend the amount of compensation from $75,000 (seventy-five thousand dollars)to $99,000 (ninety-nine thousand dollars), an increase of$24,000 (twenty-four thousand dollars). 2. This Amendment No. 1 is effective upon being signed by both parties. 3. Except as specifically modified by this Amendment No. 1, the terms and conditions of the Agreement remain in full force and effect. The original not-to-exceed contract amount was $75,000 and was executed by both parties on 10/14/2025 and 10/15/2025. Project Burn Rate and Expenditures to Date—Three monthly invoices have been submitted to date, totaling $27,223.87.The first invoice covered only a partial monthly billing cycle and included the project kickoff meeting with the City of Ashland. For the purposes of calculating a representative burn rate, the second and third invoice amounts, along with the current billing period that will result in the fourth invoice, were used to obtain an average monthly expenditure of approximately$14,400. Of the original $75,000 contract amount, $47,776.13 remains unbilled.The upcoming fourth invoice (covering services rendered through approximately January 23, 2026) is projected to total about$17,680. At the current burn rate,the contract budget is expected to be fully expended following the sixth invoice, which will cover services rendered through March 27, 2026. Projected Budget Needed—The original agreement referenced above includes an intended completion date of June 30, 2026. Based on the current burn rate and expenditures to date, the additional budget needed to complete the work through that date is estimated at $43,200. This would increase the total contract amount to$118,200. Projected Services Reduction—It is understood that there is potential for a $20,000 increase to the original contract amount. As an alternative to the full budget increase described above, a reduction in consultant services may allow the project to continue through the intended completion date with a smaller budget adjustment. At the completion of the current billing cycle, the remaining budget is expected to be approximately$30,100. When combined with the potential additional $20,000, an estimated $50,100 would remain for services rendered from late January 2026 through June 30, 2026. To maintain project progress within this budget, the level of engineering services provided by the consultant would need to be reduced by approximately 30%.
