HomeMy WebLinkAbout2025-155 AGRMT Bridging Communities Cooperative Agreement between Ashland Parks and Recreation and Bridging Communities This Cooperative Agreement is made between Bridging Communities (BC) and the City of Ashland (CoA). Agreement: BC and CoA, via the Parks and Recreation Department (APRD), have a mutual interest in facilitating recreational events and activities for participants experiencing cognitive and physical disabilities. Therefore, BC and CoA agree to work cooperatively on sharing resources necessary to advertise and execute plans for Adapted Program activities and events. Each organization's responsibilities are agreed as follows: Bridging Communities agrees to: 1. Maintain a General Liability Insurance Policy during any hosted events of no less than $1,000,000 per occurrence, $2,000,000 aggregate with the City of Ashland named as additionally insured. 2. Provide specialized assistance in coordination and facilitation of Adapted Program activities and events designed for participants experiencing cognitive and physical disabilities. 3. Provide payment to APRD for participant admission to Adapted Program activities and events as agreed upon. 4. Provide targeted marketing assistance to Adapted Program participants that would benefit by attending Adapted Program activities and events. City of Ashland agrees to: 1. Provide advertisements in regular marketing materials including Community PlayGuide, social media posts, e-newsletters, and similar marketing efforts. 2. Provide BC with access to APRD facilities and registration information for advertised activities and special events. Rental and permitting costs may be assessed depending on size and scope of event and impact to park and staffing. 3. Administer activity organization and registration at no cost to Adapted Program participants. *Any activities requiring a user fee would negate BCs ability to participate as a sponsor. 4. Provide reasonable accessibility accommodations to APRD facilities upon request. 5. Address safety issues identified at APRC facilities and provide maintenance as necessary. Term of Agreement: This agreement shall be in effect from the date of the last signature and shall continue until terminated as set forth below under "Termination". Cooperative Agreement between Ashland Parks and Recreation and Bridging Communities Modification: This Cooperative Agreement may be modified in writing with the approval of both City of Ashland and BC. Indemnification: BC agrees to hold harmless and indemnify City of Ashland and its directors, employees, and contractors from any claims or damages to property or injury to persons, or for any penalties or fines that arise in whole or in part out of this agreement. Law: The laws of the state of Oregon will govern this Agreement. Notifications: To Bridging Communities: Stacy Fields, Director 1017 N. Riverside Ave. Medford, OR 97501 To City of Ashland, Parks: Ashland Parks and Recreation Rachel Dials, Deputy Director 1195 E Main St Ashland, OR 97520 Termination: This Agreement may be terminated by either party for any reason with at least a 30 (thirty) day notice. All parties agree to complete any obligation in process. This agreement shall be terminated immediately with reasonable cause upon giving either party written notice. Reasonable cause includes: • A material violation of this Agreement; and • Any act exposing the other party to liability for personal injury or property damage The parties, by signature of their authorized representatives, duly execute this Cooperative Agreement and agree to comply with its terms and conditions.
