PARTNERSHIP AGREEMENT
This Agreement("Agreement") is made on the date of the last signature, by and between the City of
Ashland("City")through the Parks and Recreation Department("Parks and Recreation") and Southern
Oregon University on behalf of the Osher Lifelong Learning Institute at Southern Oregon University
("OLLI"), collectively the"Parties."
Recitals:
A. This Agreement is entered into with the mutual understanding that programming collaboration
between Parks and Recreation and OLLI provide a significant value to the community. Parks and
Recreation recognize the exceptional contributions of OLLI programming provided by staff and
volunteer instructors. By way of illustration, during the 2024-2025 academic year, OLLI served
2,272 community members with 200 roles filled by volunteer instructors.A portion of the program
offerings have been held in Parks and Recreation facilities, including the Lithia Park Pickleball
Courts and the Grove Recreation Center.
B. Parks and Recreation and OLLI trade advertising in regular publications going out to Ashland
community members. Shared advertising and facility use helps reduce associated expenses with
programming,furthering the goals of both organizations.
C. This Agreement aims to formalize the partnership, acknowledge the value of each Party's
contributions,and outline the specific responsibilities of the Parties in order to facilitate equitable
trades in advertising and facility usage and programming benefits between OLLI and Parks and
Recreation.
D. Effective dates: January 1,2026,through December 31, 2026
Therefore,the Parties agree to the terms set forth:
1. OLLI will provide advertising opportunities for Parks and Recreation as it deems appropriate in
the following ways:
a. Print publications
i. Display ad in program catalogs distributed regularly to OLLI membership and
throughout Rogue Valley
ii. Other relevant print publications
b. Inclusion in digital media, including e-mails, e-newsletters, social media, websites,etc.
when appropriate and relevant to advertised content
c. Invitation to OLLI-sponsored events and activities(like the annual Open House)
d. Recognize a partnership/sponsorship with Parks and Recreation by placing the City&
Parks and Recreation logos on any advertising materials directly associated with Parks and
Recreation facilities or programs
2. Maintain, at Southern Oregon University's own expense, general liability, with a combined single
limit, of not less than$1,000,000 per occurrence for bodily injury, death, and property damage.
3. Parks and Recreation agrees to give preferred access to facilities for OLLI-sponsored programs in
accordance with practices governing reservations and activity programming. Furthermore, Parks
and Recreation and OLLI will engage in good-faith communication concerning park and facility
maintenance and safety standards when appropriate. In acknowledgement of value provided by
OLLI in advertising and community benefits, Parks and Recreation agrees to waive fees for all
events except for locations and activities identified in this Agreement.

a, OLLI activities in The Grove Recreation Center will not be covered under this agreement
and remain as separate use permits paid for by OLLI.
4. When possible,Parks and Recreation will provide resources,materials, and/or services for
facilities used for OLLI programming. This may include tables, chairs, and other city-owned
equipment authorized to be used by partnering organizations.
5. Parties agree to review agreement annually,assess traded services,and keep each entity's
contribution equitable.
a. OLLI provides a value equitable for ad placement in three OLLI SOU course catalog
publications per year compared to APR contributions
b. Parks and Recreation provide an equitable amount of advertising and facility access for
programming needs in return for OLLI contributions
c. Parties will coordinate and review trade values due to variable use of courts,rate changes
and adjustments to advertising needs that can occur tln ough year to maintain equitable
contributions
6. Term and Termination:
a. Either Party may terminate this Agreement with a 30-day written notice or immediately
for cause. In the event of termination for cause,the terminating Party may do so
immediately if the other Party breaches any material term or condition of this Agreement,
including but not limited to violations of safety protocols or misuse of resources. The non-
breaching Party shall notify the breaching Party in writing, specifying the nature of the
breach.
b. A meeting will be held annually to review the status of the partnership, assess the
volunteer hours contributed, and discuss future needs.
7. Indemnification:
a. OLLI agrees to indemnify, defend,and hold harmless the City of Ashland, its officers,
officials,employees, and agents from and against any and all claims, damages,liabilities,
costs, or expenses (including reasonable attorney fees)arising out of or related to OLLI's
activities,except to the extent caused by the negligence or willful misconduct of Parks and
Recreation or City. This indemnification shall include,but not be limited to, claims arising
from injury to persons or damage to property caused by OLLI,its volunteers, or its
representatives during the performance of their volunteer activities.
IN WITNESS WHEREOF,By signing below,the Parties acknowledges that they have read and
understood this Agreement and agrees to the terms outlined herein.
