HomeMy WebLinkAbout2026-035 AGRMT Ashland Family YMCA YMCA AND THE CITY OF ASHLAND PARTNERSHIP AGREEMENT This Agreement("Agreement")is made on the date of the last signature,by and between the City of Ashland("City")through the Parks and Recreation Department("Parks and Recreation") and the Ashland Family YMCA("YMCA"), collectively the"Parties." Recitals: A. This Agreement is entered into with the mutual understanding that programming collaboration between Parks and Recreation and YMCA provide a significant value to the community.Parks and Recreation recognize the exceptional contributions of YMCA programming provided by staff and volunteer instructors. B. Parks and Recreation and YMCA will both benefit from shared advertising in their regular publications going out to Ashland community members. Shared advertising and facility use helps reduce associated expenses with programming, furthering the goals of both organizations. C. This Agreement aims to formalize a partnership,acknowledge the value of each Party's contributions,and outline the specific responsibilities of the Parties in order to facilitate equitable trades in advertising and facility usage and programming benefits between YMCA and Parks and Recreation. D. Effective dates:March 111,2026-December 311,2026 Therefore,the Parties agree to the terms set forth: 1. YMCA agrees to provide advertising opportunities for Parks and Recreation when appropriate. Examples include: a. Inclusion in digital media, including e-mails,e-newsletters,social media,websites, etc. when appropriate and relevant to advertised content. b. Recognize a partnership/sponsorship with the city by placing the Parks and Recreation logo on any advertising materials directly associated with Parks and Recreation facilities or programs. c. Invitation to YMCA-sponsored events and activities when deemed appropriate. 2. YMCA will maintain,at their own expense,general liability,with a combined single limit, of not less than$1,000,000 per occurrence for bodily injury,death,and property damage. 3. Parks and Recreation agree to give priority access to Parks and Recreation facilities for YMCA-sponsored programs in accordance with policies governing reservations and activity programming.Parks and Recreation agree to a reduced fee for their educational activities at North Mountain Park. a. YMCA will pay$25 per occurrence for educational school programs run at North Mountain Park. b. When possible,Parks and Recreation will provide resources,materials,and/or services for facilities used for YMCA programming.This may include tables,chairs, sit-upons, and other city-owned equipment authorized to be used by partnering organizations. It may also include access to education materials,both digital and physical relating to relevant programming. 1 c. Parks and Recreation will include reference to the YMCA/Parks and Recreation partnership and relevant programs in three Parks and Recreation Activity Guide publications per year. d. YMCA will provide their own staffing and volunteers for any programs onsite at North Mountain Park. 4. Parks and Recreation and YMCA will engage in good-faith communication concerning park and facility maintenance and safety standards when appropriate. In acknowledgement of value provided by YMCA in advertising and community benefits, 5. Parties agree to meet twice yearly to check in on traded services to keep contributions equitable. a. YMCA provides an educational value equitable to Parks and Recreation support and advertising. b. Parks and Recreation provide an equitable amount of advertising and facility access for programming needs in return for YMCA educational and fee contributions c. Parties will coordinate and review trade values due to variable rate changes and adjustments to advertising needs that can occur throughout the year to maintain equitable contributions. 6. Term and Termination: a. Either Party may terminate this Agreement with a 30-day written notice or immediately for cause. In the event of termination for cause,the terminating Party may do so immediately if the other Party breaches any material term or condition of this Agreement, including but not limited to violations of safety protocols or misuse of resources.The non-breaching Party shall notify the breaching Party in writing, specifying the nature of the breach. b. A meeting will be held annually to review the status of the partnership, assess the volunteer hours contributed,and discuss future needs. 7. Indemnification: a. YMCA agrees to indemnify, defend,and hold harmless the City of Ashland,its officers,officials, employees,and agents from and against any and all claims, damages, liabilities, costs, or expenses(including reasonable attorney fees)arising out of or related to YMCA activities,except to the extent caused by the negligence or willful misconduct of Parks and Recreation. b. This indemnification shall include,but not be limited to, claims arising from injury to persons or damage to property caused by YMCA, its volunteers,or its representatives during the performance of their volunteer activities.
