HomeMy WebLinkAbout1992-155 Ski A Bill of Sale BILL OF SALE In consideration of the purchase price set out in that certain Asset Purchase Agreement executed on January 20, 1992, by and between SKI ASHLAND, INC., an Oregon corporation, as Seller, and MT. ASHLAND SKI, INC., an Oregon corporation, and that certain Amendment to Asset Purchase Agreement executed on May 5, 1992, by and between SKI ASHLAND, INC. and THE CITY OF ASHLAND, OREGON, a municipal corporation, successor by assignment to MT. ASHLAND SKI, INC., as Buyer, and for other good and valuable consideration, the receipt and sufficiency of which is' hereby acknowledged, SKI ASHLAND, INC. hereby grants, bargains and delivers unto THE CITY OF ASHLAND, OREGON, those assets consisting of the vehicles, equipment, tools and related items which are listed on the attached Schedule I to this Bill of Sale, which is attached hereto and incorporated herein, and all logs, books, and business records, operating manuals, and other files and documentation (or copies thereof) pertaining to the assets and the operation of the business of SKI ASHLAND, INC. prior to the date hereof. This sale is made "AS IS," "WHERE IS," and "WITH ALL FAULTS" and Seller hereby disclaims any warranty, express or impled, with respect to the condition, grade, suitability, or physical condition of the assets, including without limitation any implied warranties that the assets are merchantable or fit for a particular purpose (although Seller does warrant title to the assets and freedom from encumbrances or competing interests, as provided in Section 3.5 of the Asset Purchase Agreement). All agreements, representations and warranties made by SKI ASHLAND, INC. in the Asset Purchase Agreement and the Amendment to Asset Purchase Agreement, including but not limited to the warranties with respect to free and clear title to the assets transferred under Section I of the Asset Purchase Agreement and the Amendment to Asset Purchase Agreement, are hereby incorporated into this Bill of Sale.
