ASHLAND SKI, INC., an Oregon corporation, and that certain Amendment to Asset Purchase Agreement executed on May 5, 1992, by and between SKI ASHLAND, INC. and THE CITY OF ASHLAND, OREGON, a municipal corporation, successor by assignment to MT. ASHLAND SKI, INC., as Buyer, SKI ASHLAND, INC. hereby assigns, transfers and sets over to THE CITY OF ASHLAND, OREGON, a municipal corporation, those business agreements set out in Schedule III to the Asset Purchase Agreement, which is hereby incorporated into this document, and THE CITY OF ASHLAND, OREGON agrees to assume and perform all rights, duties and obligations under such business agreements to the extent set forth in the Asset Purchase Agreement. All agreements, representations and warranties made by SKI ASHLAND, INC. and THE CITY OF ASHLAND, OREGON in the Asset Purchase Agreement, including but not limited to the status of such agreements set forth in Section I of such Asset Purchase Agreement and the indemnity obligations referred to in Section VII thereof, are hereby incorporated into this Assignment. The KTVL snow cat storage building Lease Agreement, dated September 20, 1990, entered into between Ski Ashland, Inc. and KTVL Channel 10 Freedom Communlgatlons, inc. (a copy of which is attached as Schedule "111-1"). 2.
