Dear Brian:
I prepared Addendum "L" (copy enclosed) ~ a resuh of Paul's phone call today,
requesting an extension of the response time until Friday, January 12th at SPM. Jfit meets
with your approval, call me and I'll drop the original by for your signature on Thursday.
After I spoke with Paul I did talk with Alan:Kaufinan. His concern is that the seller is
going to loose patience by sucb a long extension of time. Is there a way we could
shorten the time, to January 4th, for example, or, as an alternative, respond to the price
question now but put in a caveat that if we need an extension oftbe testing (or any other)
contingency that we build in an automatic extension. Something like:
"Buyer is in receipt of Seller's Addendum 'K' and responds as follows:
Purchase price is hereby changed to $
~ all cash at closing. .
Regarding time frame for Buyer's reDlOval of contingencies regarding inspections,
reports, findings, bench testing, preliminary title report. City Council approval, Seller's
Disclosure, environmental risk assessment, etc., the parties agree that if additional time
beyond February 1st is needed, that date may be automatically extended by up to an
additional L-) days. with the close of escrow being extended by the same
amount oftime. Buyer to give seller \V1itten notice by January _ whether the
additional time will be needed for contingency removal.
All other terms and conditions not specifically changed in this addendum shall remain in
full force and effect.
Seller's response time to respond to this Addendum shall expire on .> January
----J 1996. at 5:00 p.m."
We might want to put something in there, too, about the "prove up" curring within the
same time frame if we want to keep that in there.
