Buyer is in receipt of Seller's Counter Offer of October 31, 1995, and
responds as follows:
(1) Buyer elects alternative #1 for 828 acres, more or less, but the
purchase price shall be changed to $800,000, payable in cash
at closing.
(2) Buyer accepts the seller's "AS IS" clause - Addendum "0" to the
Sales Agreement herein; howevever, still requires that Seller com-
plet~ the Seller's Property Disclosure Statement for Vacant Land
(a copy of which is herewith supplied to Seller), together with
the Environmuental Risk Assessment form attached to this addendum,
both for Buyer's approval as set forth on line 56 of the original
Sales Agreement herein.
(3) The closing date on line 84 of the S~les Agreement herein is
hereby changed to February 15, 1996.
(4) Special condition #2 on Addendum "A" to the Sales Agreement herein
relating to the water rights prove up is hereby waived by Buyer.
(5) Buyer is hereby permitted to enter the property to perform some
bench testing, which consists of digging a total of four to six
holes up to six feet deep with a backhoe at various sites through-
out the property. Buyer would restore the property to its
original condition so far as practicable immediately after the
testing. The digging and restoration would occur over a span of
time not to exceed five (5) days. Buyer to notify Seller in ad-
vance of the date the bench testing is to commence and will take
necessary precautions to secure any open holes from Seller's
lessee's cattle. Buyer to remove the contingency regarding ap-
p~oval or disapproval of the results of the bench testing no
later than thirty (30) days after digging is completed.
(6) Buyer hereby approves the lease of March 19, 1995 between Marion
Imperatrice, Landlord, and Ron Anderson, Tenant.
(7) Buyer has been advised by Seller verbally that Seller's contingency
regarding adequate access contained in the last paragraph of page 2
of Seller's Counter Offer has been satisfied; said contingency is

(8) All other terms and conditions not specifically changed in this
Addendum or its attachments shall remain in full force and effect.
(9) Seller's response time to respond to this Addendum shall expire
on Thursday. November 30. 1995 at 5:00 p.m.

Enclosed is Addendum "F" -- the response to the seller's counter
offer on the Imperatrice property. I have reviewed it with Paul
Nolte this morning, and am dropping off a copy of this note and
the addendum to him as well. I added a date for removal of the
contingency on item #5, per conversation with Paul.
I added item #7 after receiving a phone call from the listing agent
that the seller is satisfied with access to the remaining parcel.
.I've marked Addendum "F" where it requires your signature.
I'm also enclosing the original of the seller's counter offer,
which requires your signature where noted, together with its
attachments, and they're marked as well.
Please give me a call if you have any questions. Once it is
signed, if you'll have Rhonda give me a call I'll stop by and
