The City of Ashland, Oregon ("City") and the above-named owner(s) agree:
1. Owner(s) waive all irregularities or defects, jurisdictional or otherwise,
in the proceedings to cause the charge described above.
2. Owner (or if more than one owner), the owners, jointly and severally, agree
to pay to the City of Ashland, Oregon, ("City"), at City Hall, 20 East Main
Street, Ashland, Oregon 97520 or such other place as the City may designate,
the amount of the Note specified above, plus accrued interest, at the rate of
specified above, from the date the amount due was imposed, as specified above,
until paid.
2.1. The amount due shall be payable in semi-annual installments of not
less than the amount for the semi-annual payment specified above in any one
payment; interest shall be paid semi-annually and is included in the minimum
payments above required.
2.2. If any installment is not paid, all principal and interest is to
become immediately due and collectible at the option of the City.
3. If a legal action is commenced to enforce any of the provisions of this
agreement, including, without limitation, any arbitration, mediation, or
action in any court, including the prosecution or defense of any proceeding in
bankruptcy court, the prevailing party shall be entitled to recover from the
other party costs, disbursements and attorney fees incurred both at trial and
on appeal.

published in the Wall Street Journal on January 2. Effective January 2, 1997,
