UNTIL A CHANGE IS REQUESTED, ALL TAX STATEMENTS SHALL BE SENT TO: NOT APPLICABLE. 9.4-43'705 ROAD SLOPE AND UTILITIES EASEMENT ALLAN FRANK SANDLER (Grantor), in consideration of the sum of One Dollar (Sl.00) in hand paid, and other good and valuable consideration, does hereby grant, bargain, sell and convey unto the CITY OF ASHLAND (City) an easement to use a portion of Grantor's property described on the attached Exhibit A and shown on the attached Exhibit B. This easement shall be for the following purposes only and subject to the following conditions: 1. City, its agents, independent contractors and invitees, shall use the Road Slope Easement (marked as Easements A and B on Exhibit B) only to remove and/or deposit material to cause the land to meet the finish grade of the alley adjoining Grantor's property. City shall finish the removal or deposit of such material to blend with the surface of the remainder of Grantor's property adjacent to said easement. 2. City, its agents, independent contractors and invitees, shall use the Pulic Utility Easement (marked as Easement B on Exhibit B) only to construct, reconstruct, install, use, operate, inspect, repair, maintain and remove utility lines for electric- ity, sewer, water, gas and telecommunications, and including above ground placement of street lights, electrical transformers and electrical service pedestals over and under the real property described on the attached Exhibit A, provided, however, that Grantor reserves the right to approve the location and size of any object which shall be situated above ground. Such approval shall not be unreasonably withheld. 3. Grantor may pave over and/or erect fences or other structures over said easement and generally use the easement property, including use by motor vehicles and/or pedestrians, provided, however, that Grantor will not erect a structure within four (4) inches of either side of any underground conduit or other utility structure, except that grantor may perpendicularly cross over such conduit or utility structure with pavement, fences or other structures. 4. City may not fence off the easement or otherwise restrict motor and/or pedestrian use over said easement property. 5. Any work performed upon the easement property by City is to be maintained by City, and any surface which is disturbed by City shall be returned to the condition it occupied immedi- ately prior to performance of such work. 6. City is responsible for all use by it of the easement property and hereby agrees to hold Grantor harmless from any liability whatsoever, including attorney fees, arising from City's use of the easement property. 9.4-43705 94-at 81,,9 7. This easement is subject to any and all easements or encumbrances of record at the time this easement is Granted. 8. In the event suit is necessary to enforce any provision of this agreement, the prevailinG party shall be entitled to recover attorney fees at suit and on appeal. 9. Performance by the City of any acts hereunder Granted shall be deemed full acceptance of all terms and conditions of this easement.
