Lorraine Whitten, Grantor, conveys to the City of Ashland, Oregon, the real property described on the attached Exhibit A. THIS INSTRUMENT WILL NOT ALLOW USE OF THE PROPERTY DESCRIBED IN THIS INSTRUMENT IN VIOLATION OF APPLICABLE LAND USE LAWS AND REGULATIONS. BEFORE SIGNING OR ACCEPTING THIS INSTRUMENT, THE PERSON ACQUIRING FEE TITLE TO THE PROPERTY SHOULD CHECK WITH THE APPROPRIATE CITY OR COUNTY PLANNING DEPARTMENT TO VERIFY APPROVED USES AND TO DETERMINE ANY LIMITS ON LAWSUITS AGAINST FARMING OR FOREST PRACTICES AS DEFINED IN ORS 30.930. The true and actual consideration for this conveyance is $2,000.00. Until a change is requested, all tax statements are to be sent to City Hall, 20 East Main Street, Ashland, OR 97520. Lorraine Whitten BUYER: City of Ashland ("City") 20 East Main Ashland, Oregon 97520 Recital - Owner desires to sell to City and City desires to purchase from Owner certain real property with all improvements located on it having the following legal description (the "Property"): See the attached Exhibit A. Agreement - Owner and City agree as follows: 1. Sale and Purchase. City agrees to purchase the Property from Owner and Owner agrees to sell the Property to City for the sum of $2,000.00 (the "Purchase Price"). 2. Earnest Money. Owner hereby acknowledges receipt of the sum of $1.00 paid by City as earnest money. The earnest money shall be applied to the Purchase Price on the Closing Date, as that term is defined below. 3. Payment of Purchase Price. The Purchase Price shall be paid as follows: 3.1. At closing, the earnest money shall be credited to the Purchase Price. 3.2. At closing, City shall pay the additional sum of $1,999.00. 4. Closing. Closing shall take place on or before July 15, 1994 (the "Closing Date"), at the offices of the City Attorney, City Hall, 20 East Main Street, Ashland, Oregon. 5. Conditions. City also agrees that: 5.1. No street improvement charges associated with the corner redesign shall be assessed to Owner as part of this dedication. 5.2. No sidewalk will be installed along Scenic Avenue, nor Church Street, as part of this dedication or this redesign improvement. PAGE 1 of 5-EARNEST MONEY AGREEMENT {p:real\whitten.emk) 5.3. Dedication of the described triangle will not include a quitclaim deed for any other portions of the property along Church Street or Scenic Avenue. 5.4. City will re-install a driveway curb cut as part of the corner improvements for possible automobile access to the front yard area of Owner's remaining property. 5.5. City will, if necessary, relocate the existing irrigation line on and sprinkler head on Owner's remaining property that may be affected by the corner improvements. 5.6. Should the reconstruction of the corner result in a loss of access to the front yard parking area of Owner's remaining property, the City will negotiate with Owner for compensation for the change in parking. 6. Deed. On the Closing Date, Owner shall execute and deliver to City the attached statutory bargain and sale deed, conveying the Property to City. 7. Possession.
