HomeMy WebLinkAbout1995-073 IGA - RVCOGINTERGOVERNMENTAL AGREEMENT between ROGUE VALLEY COUNCIL OF GOVERNMENTS and the CITY OF ASHLAND for Professional Services as WASTE WATER TREATMENT PLANT PROJECT COORDINATOR THIS AGREEMENT is made and entered into by and between the Rogue Valley Council of Governments, herein after referred to as "RVCOG", and the City of Ashland, herein after referred to as "CITY", and both hereinafter referred to collectively as the PARTIES, WlTNESSETH THAT: WHEREAS, RVCOG is a voluntary association of local governments serving Jackson and Josephine Counties, Oregon; and WHEREAS, CITY is a member agency of the RVCOG; and WHEREAS, CITY is responsible for the evaluation, development, coordination and, implementation of a Plan to resolve issues surrounding the CITY's Waste Water Treatment Plant; and WHEREAS, CITY has a desire to coordinate ongoing communication with the community and other public agencies regarding the technical decisions surrounding the Waste Water Treatment Plant; and WHEREAS, CITY supports and desires RVCOG to participate as a team in the professional consulting services for the Waste Water Treatment Plant Project Coordinator; and WHEREAS, RVCOG and CITY desire to express their cooperative agreement in writing. NOW THEREFORE, in consideration of the terms, conditions, stipulations and covenants herein contained, the PARTIES do mutually agree as follows: RVCOG RESPONSIBILITIES RVCOG will provide a team of in-house RVCOG staff and consultant services to receive, administer, and expend funds to complete the project as described in Exhibit A to this document; "City of Ashland Waste Water Treatment Plant Project Coordinator - Rogue Valley Council of Governments Team Proposal", hereinafter referred to as the "project." RVCOG shall be responsible for all costs and expenses related to its employment of individuals and consultants to perform the work under this agreement. C. RVCOG will be responsible for the daily administration and oversight of the project. D. RVCOG will designate Paula Brown as the Project Team Leader/ Project Coordinator. CITY A. RVCOG will perform and complete the project consistent with Exhibit A of this document, and consistent with direction from the CITY's Management Team. RVCOG will coordinate progress schedules and weekly progress meetings with the CITY's Management Team. RVCOG will promptly notify CITY in writing of any problem arising in the project which will require the work program to deviate from that described in Exhibit A so that the PARTIES can address any necessary changes. RESPONSIBILITIES CITY will reimburse RVCOG, as defined below, for costs incurred as a result of the expressed intent to fund the project. CITY will provide continual advisory support and technical support through their Management Team throughout the project duration. CITY will provide background documentation to assist in the summarizing the current project situation, and cooperate in the public involvement process. PAYMENTS CITY agrees to fully reimburse RVCOG for all costs, staff and consultant services, incurred as a direct result of this project. RVCOG will invoice CITY on a monthly basis, to be reimbursed within 30 days of receipt. C. Any additional work as agreed by both PARTIES will be billable and paid monthly. ., PROJECT DURATION - TERMINATION This agreement shall take effect on the date of the last signature below and shall remain in effect for one year (June 1996) with an option to renew upon mutual written agreement of both PARTIES. The PARTIES agree to review the process and agreement parameters in December 1995. ENTIRE AGREEMENT - AMENDMENTS AND ASSIGNMENTS This document, including Exhibit A, shall constitute the entire agreement between the PARTIES. Bo All amendments, modifications, or changes to the provisions of this agreement, in whole or in part, may be entered into at any time upon mutual written agreement, signed by both PARTIES. ATTORNEY FEES If suit or action is brought by either PARTY to enforce any right or obligation created by this Agreement or to recover damages for failure to comply with the terms of this Agreement, the prevailing PARTY shall be entitled to recover any trial court and appellate courts, reasonable attorney fees, including costs and disbursements therein. IN WITNESS WHEREOF, RVCOG and CITY have caused this agreement to be executed by their authorized representatives as of the date of the last signature affixed below: PARTIES TO THE AGREEMENT ~)lar~y S~L'aMar/e-Schaefer, Exect~ive Date ~ ~ ~ ~ Director Cathy Golden, Mayor, City of Ashland Date RVCOG - ASHLAND; WWTP PROJECT COORDINATOR INTERGOVERNMENTAL AGREEMENT Page - 4 (June 6, 1995) CITY OF ASHLAND WASTE WATER TREATMENT PLANT PROJECT COORDINATOR ROGUE VALLEY COUNCIL OF GOVERNMENTS TEAM PROPOSAL The Rogue Valley Council of Governments is pleased to propose the following team to support the needs of the City of Ashland's Waste Water Treatment Plant (WWTP) Project Coordinator: Paula Brown, PE, Associate Executive Director Marc Prevost, Water Resources Director Maria Harris, Planner I Consultant - Technical Advisor The City of Ashland needs a project coordinator to: · assess and summarize the existing situation · present information to City Council and the community · evaluate the advantages, disadvantages and weaknesses of the current options · propose alternatives to the City Council to facilitate concurrence of a "preferred alternative" · coordinate ongoing work with the City's management team in project development · coordinate ongoing communication with community and other public agencies · design pilot studies and other plan options based on the City Council's determination · coordinate and oversee pilot studies and plans · coordinate ongoing plan implementation, budget development, project financing · coordinate interagency technical meetings to develop strategies to address waste water regulations and requirements · conduct and coordinate research, prepare reports and provide updated information on the project · evaluate findings of studies and make recommendations to Council · serve as the primary point of contact for WWTP project activities Follow-on work would include expanding the above to include project coordination for the eventual need for the waste water treatment plant upgrade. It is anticipated that RVCOG's services would be utilized from June 1, 1995 through June 30, 1996 (with review in December 1995), to accomplish the initial liaison with the Department of Environmental Quality, consensus with the City Council and the community, develop a Facilities Plan (with Brown and Caldwell) by October 1, 1995, and a process action plan/critical path for the work to be accomplished including pilot studies or other alternatives. The pilot studies may continue beyond December and RVCOG's work would be evaluated and extended as needed by the City. Paula Brown will be your primary point of contact and will be the team leader/project coordinator. She would spend two full days in Ashland to provide project continuity. She would meet with the City's management team weekly (or as needed) to discuss progress made and next steps in the process, and keep the team fully appraised of any developments. She would attend all meetings associated with the project and oversee all of the technical work completed by RVCOG staff and consultant. The City of Ashland would reimburse RVCOG for actual costs incurred on a monthly basis. Costs may fluctuate monthly depending on the needs and intensity of the work at a given time.
