Agreement made this
day of. , 19 ~ , between
CROMAN CORP., an Oregon corporation, ("~ustomer") and the CITY OF
ASHLAND ("City") .
Recitals:
A. Customer owns and operates a sawmill located in Ashland and
desires that City provide certain electrical distribution
facilities at the sawmill so that all electric power and energy
required by Customer for operation of the sawmill may be
furnished by City at a single point of primary voltage delivery
with primary-voltage metering.
B. City is willing to provide these distribution facilities and
furnish electric power service required by Customer under the
rates, terms and provisions specified in this agreement.
Customer and City agree:
1. Term. This agreement shall be in full force and effect for
an initial term of five years from the date specified above and
shall continue in full force and effect until terminated by
written notice by either party to the other not less that 90 days
prior to the termination date specified in the notice.
2. Facilities installed. As of September 11, 1992, the city has
installed, and agrees to own, operate and maintain for Customer's
benefit, the facilities approximately as shown on the attached
Exhibit "A" (transformer location #T6350). These facilities,
which permit City to meter all electric power and energy
delivered to Customer at a single point of metering, will be on
the load side of City's metering installation.
3. Monthly charge. For the use of these facilities, Customer
shall pay city a monthly use-of-facilities charge equal to 1 1/2%
of the actual installation cost of $13,337.00. The monthly
charge will be $200.05.
4. Cost of rearrangement. This use of facilities charge is
based upon City's owning, operating, and maintaining the
facilities as first installed and any additions or removals as
mutually agreed upon shall be reflected in the charge. In the
event City is requested by Customer to rearrange or relocate the
facilities, as first installed, the costs of such rearrangement
or relocation as determined by city shall be paid by Customer.
5. Transformer replacement. Due to limited access to
transformers between Saw Mill and Maxi-Mill, (transformer
location #T6376 & #T6375) customer shall provide at no cost to
city a crane or equipment necessary to remove or replace
transformers. City shall have access through Maxi-Mill, for

maintenance, siding shall not be installed on Maxi-Mill building
in front of transformers.
6. Payment by Customer. Customer will pay City monthly for use
of facilities and for electric service at City's office in City
Hall, Ashland, Oregon, within ten days after receipt by Customer
of City's bill.
7. Rate schedule. Bills for electric power and energy delivered
shall be rendered and paid in accordance with the rates and
provisions of Schedule 48, or effective superseding schedules.
8. Service subject to City regulations. Except as otherwise
provided in this agreement, the furnishing and taking of electric
service shall be subject to the rates, rules and regulations of
City's ordinances. The rates, terms and provisions of this
agreement are and shall be subject at all times to the regulatory
authority of the Ashland City Council, and are subject to change
from time to time-by superseding schedules or by lawful order of
the City Council.
9. Assiqnment. This agreement shall be binding and inUre to the
benefits of the respective successors and assigns of the parties,
save that no assignment by Customer shall be effective without
written consent of city being first obtained.
