B & G PROPERTIES, INC., an Oregon corporation,
grantor, .conveys and warrants to the CITY OF ASHLAND, a
municipal corporation of the state of Oregon, grantee, the
real property described in Exhibit A attached hereto and
made a part hereof, subject to the exceptions attached to
Exhibit A.
The true consideration for this conveyance is the
exchange of properties between grantor and grantee, which
properties are of equal value.

9. Agreement (re: annexation and sewer, water
services, and development of property), including the terms
and provisions thereof, dated July 22, 1975 and recorded
August 4, 1975 as No. 75-09838 of the official records of
Jackson county, Oregon, by and between B & G Properties,
Inc., an Oregon corporation, and City of Ashland, an Oregon
municipal corporation.
10. Water lines, and rights to maintain said line,
and agreement in connection therewith, notice of which
appears in instrument recorded August 4, 1975 as No.
75-09838 of the official records of Jackson county, Oregon.
11. Landscaping shall be planted and maintained by
the grantee and its successors and assigns as a buffer
between the golf club parking area and the abutting
residential lots within the Oak Knoll Meadows Subdivision.
The landscaping shall be of such type, density and
arrangement to prevent automobile headlights from
disturbing such abutting residential properties and shall
provide a pleasing visual separation between such
properties and the golf club parking area.
