This Agreement is for engineering consulting services described generally as preparation of a drainage master plan and more par- ticularly described in Attacl~ma~t A, Scope of Services. K(24 will initiate these servicms on receipt by KCM of a fully executed copy of this Agree3aent. KOZ will conplete these Services approxLmately as shu,a% in Attachment B, Project Schedule. The campemsation for these services to be paid to KCM shall be "Direct Job Wages"* times a factor of 3.0 plus "Reimbarsable Expenses" plus "Reh~ursab!e Expenses Overhead." Without prior authorization from the Client, the total compensation under this Agreement shall not exceed $39,032. In the event services beyond tips. specified in the Scope of Services and included in the crmpensation above are required, KO~ shall submit a fee estimate for such services and a contract -modification shall be negotiated and approved by the Clie_nt prior to any effort being expended on such services. Ge This Agreement shall remain in force until con~letion of the services unless terminated by mutual agreement or terminated as follows: This contract may be terminated by K(/4 or the Client on 21 days written notice. These invoices will be for the portion of the agreed c~.~per~sation earned by KC14 during that month. The exact format of these invoices will be defined to meet tJ~e needs of bot/~ K(/~ and the Client. Changed Rates: ~fnere hourly rates serve as the basis for a fee, they shall be ject to chsnge annually to reflect changes in K(]~ salary levels. It is ~mderstood and agreed that the prevailing party, should there be any suit or action taken related to this contract, shall receive from the other party reasonable attorneys' fees both for the prosectr- tion of the action, settlement and/or judgment and uto~n appeal. The attorneys' fees shall be established by the court or courts hearing the matter. In the event of arbitration, it is understood and agreed that the arbitrator or arbitrators, as the case n~y be, may establis, h reasonable attorney's fees for the prevailing party, which shall be_ paid by the other party. Ownership of Documents: Drawings, specifications, reports, programs, mm~uals, or other docu- ments prepared by KCN under this Agreement shall bec~me the propert~ of the Client. KfI4 shall not be held liable for reuse of these documents for any other project without the exp_ressed written permis- sion of K~4. To the extent that the work products of K(I~ are used for any purpose other than their intended purpose under this Agreement, Client shall release K(}4 from all liability of whatever nature related to such other purpose, and the Client shall inden~ify and bold KC/~ harmless from a]] liability related to such purpose. Thee plan shall also schedule need~ manpower and define a system for monitoring the progress of the job. 1.2 Data Collection KlM shall collect available data relative to the study area (the Ashland Urban Growth Boundary area) drainage characteristics including the existing drainage system, area cl]~nate and rain- fall patterns, soil types, and lau%d use. It is assu~ed the drainage system pl~.m will be for storm drain pipes along appropriate drainage routes, streets being preferable. One objective of this task shall t~ agree~m';nt on a design storm frequency, e.g., a 10-year or 20-year recur- rence interval event. 1.4 Detailed Analysis The objectives of ~d-~e analysis shall be_ to dete~m~ine the facility design criteria (e.g. pipe sizes and sic!pcs, charm, el cross sections and slopes) and the facility costs. KCM shall analyze the existing system to locate problem areas, define a drainage system for the study area, and prepare a capital cost estimate for that system at planning level accura¢~ in 1984 dollars. 1.5 Finalize Recommended System K(}4 shall review the proposed drainage system with the Client: requesting comments and corrections before completing the final. plan.
