Dear Mr. Tuneberg:
This letter documents Mercer Human Resource Consulting's (Mercer) services to be provided to
City of Ashland and the associated fees for this work. The objective of this letter of agreement is
to define the work and clarify the terms of the engagement.
Scope of Services
Mercer will perforrn the following services (the Services):
· Determine the split of VAL between City of Ashland and Ashland Community ]-Iospital as of
December 31,2004.
Assuming no unforeseen circumstances, we will complete the Services by April 29, 2005.
Staffing
Marcia Chapman is the Project Manager for this engagement. She will be supported by Brenda
Majdic and others as needed. In addition to these staff members, various members of our staff
will provide word processing and administrative support. Others may also be added to the team
to provide specialized expertise or independent review of methods and assumptions.
Information to be Provided
We will assume the information you supply (or which is supplied on your behalf) is accurate and
complete. Our responsibilities (and the associated project fees) do not include independent
verification of required information. Problems with information quality and/or delays in
providing such information may result in a delay in the project delivery date or an increase in
fees. Please advise us if you have concerns about information availability or quality.

Fees and Expenses
Our professional fees for the Services will not exceed $5,000.
These fees are based on the methodology agreed to in your email to Dale Orr on January 31,
2005. Any additional calculations or changes in the testing methodology are not included in this
scope of services. If the scope of services or staffing requirements change, then the professional
fees will be adjusted in advance by mutual agreement.
Payment of Mercer's invoices is due upon receipt.
Use of Mercer Reports and Recommendations
Unless Mercer provides its prior written consent, Mercer's work product provided to you is
solely for your inte:mal use and may be shared and used only as we mutually contelTlplated when
we originally were retained to provide it to you.
You agree not to refer to Mercer in the press or for promotional purposes without our prior

Mercer Intellectual Capital
We retain exclusive rights to the intellectual capital (such as methodologies, know how, models,
tools, and any graphic or digitized representation of any of these) now possessed, or
subsequently developed, by Mercer.
Confidentiality of Client Information
We will not disclose to any third parties any confidential or proprietary information we obtain in
the course of our work, except as required by law, or as reasonably necessary to perform the
Services, or as otherwise authorized by you. This paragraph shall not apply to inforrnation that is
or becomes publicly available through no fault of Mercer.
We occasionally use data provided by clients to build normative databases for use by our
consultants. These databases benefit all clients and do not identify individual clients or their
information.

Modification and Cancellation
The terms of this engagement may only be modified by the written consent of both parties.
Either party may terminate this engagement at any time. In the event of any termination of this
Agreement you will pay Mercer all fees earned and all expenses incurred by Mercer through the
date of termination.
Mercer's Liability
Mercer will be liab]le in connection with the Services or any matter relating to or arising from the
Services only for direct damages arising from the wrongful performance of our work.
Summary
We look forward to developing a close professional relationship with your organization. We
have found that clarifying our terms of engagement in advance prevents any misunderstandings
later on. Consequently, this engagement, once accepted by both of us by our signatures below,
will reflect our full and complete understanding and agreement of the terms of our relationship.
If you have any questions about these terms, please do not hesitate to call me. If not~ please
indicate your agree:ment to the terms of this engagement by signing the enclosed copy of this
letter and returning it to us.
