SERVICES TO BE PROVIDED: Item 1 of the attached scope of work dated August 16, 2005 describes work covered under
this contract. Further items on the scope of work will be considered at a later date.
ADDITIONAL TERMS:
CITY AND CONSULTANT AGREE:
1. All Costs by Consultant: Consultant shall, at its own risk and expense, perform the personal services described above and, unless otherwise specified, furnish all labor,
equipment and materials required for the proper performance of such service.
2. Qualified Work: Consultant has represented, and by entering into this contract now represents, that all personnel assigned to the work required under this contract are fully
qualified to perform the service to which they will be assigned in a skilled and workerlike manner and, if required to be registered, licensed or bonded by the State of Oregon, are so
registered, licensed and bonded.
3. Completion Date: Consultant shall start performing the service under this contract by the beginning date indicated above and complete the service by the completion date
indicated above.
4. Compensation: City shall pay Consultant for service performed, including costs and expenses, the sum specified above. Once work commence!;, invoices shall be prepared and
submitted by the tenth of the month for work completed in the prior month. Payments shall be made within 30 days of the date of the invoice. Should the contract be prematurely
terminated, payments will be made for work completed and accepted to date of termination.
5. Ownership of Documents: All documents prepared by Consultant pursuant to this contract shall be the property of City.
6. Statutory Requirements: ORS 279C.505, 279C.515, 279C.520 and 279C.530 are made part of this contract.
7. Living Wage Requirements: If the amount of this contract is $15,964 or more, Consultant is required to comply with chapter 3.12 of the Ashland Municipal Code by paying a living
wage, as defined in this chapter, to all employees performing work under this contract and to any subcontractor who performs 50% or more of the service work under this contract.
Consultant is also required to post the attached notice predominantly in areas where it will be seen by all employees.
8. Indemnification: Consultant agrees to defend, indemnify and save City, its officers, employees and agents harmless from any and all losses, claims, actions, costs, expenses,
judgments, subrogations, or other damages resulting from injury to any person (including injury resulting in death), or damage (including loss or destruction) to property, of whatsoever
nature arising out of or incident to the performance of this contract by Consultant (including but not limited to, Consultant's employees, agents, and others designated by Consultant to
perform work or services attendant to this contract). Consultant shall not be held responsible for any losses, expenses, claims, subrogations, actiom;, costs, judgments, or other
damages, directly, solely, and proximately caused by the negligence of City.
9. Termination: This contract may be terminated by City by giving ten days written notice to Consultant and may be terminated by Consultant should City fail substantially to perform
its obligations through no fault of Consultant.
10. Independent Contractor Status: Consultant is an independent contractor and not an employee of the City. Consultant shall have the complete responsibility for the performance
of this contract. Consultant shall provide workers' compensation coverage as required in ORS Ch 656 for all persons employed to perform work pursuant to this contract. Consultant
is a subject employer that will comply with ORS 656.017.
11. Assignment and Subcontracts: Consultant shall not assign this contract or subcontract any portion of the work without the written consent of City. Any attempted assignment or
. subcontract without written consent of City shall be void. Consultant shall be fully responsible for the acts or omissions of any assigns or subcontractors and of all persons employed
I by them, and the approval by City of any assignment or subcontract shall not create any contractual relation between the assignee or subcontractor and Ci .

Dear Mr. Olson;
Thank you for the opportunity of offer the services of Water Right Solutions LLC to
the City of Ashland.
As a result of discussion on August 9th you asked for a proposal on these issues
~esearch, advise and secure the water rights permits to protect the options IOf the
City for a variety of possible uses of the reclaimed water produced by the vvaste
water treatment plant. This job would consist of research of the regulation:)
regarding reclaimed water in relation to water rights & advise to you on th(~
recommended action and filing the necessary applications to secure water right
permits. We estimate the following time requirements
a) Research 8 hours
b) Meeting to advise 2 hours
c) Preparing application 10 hours
2) Establish a flow measuring station on Ashland Creek at the waste water
treatment plant. This product will involve
a) using profile and cross section data provided by City to calculate the
discharge curve for a site selected by City. 6 hours
b) onsite measurements to verify the accuracy of the calculated discharge
curve 2 hours each measurement, suggest a minimum of 3 measurements and
recommend 6 measurements to confirm accuracy 6-12 hours
c) consult with City to establish a measuring site that will remain accurate
over several years. 4 hours
Our rate is $90 per hour plus mileage. This estimate is submitted on information
provided. If problems arise, we will consult with you regarding additional time
needed to complete this project.

This proposal is for research of water rights on Ashland Creek in the City of Ashland. The
infonnation produced will identify the water rights on property owned by the City of Ashland and to
identify privately held water rights. It is anticipated that the City will use this produce to have City
staff contact the identified owners to negotiate a transfer of ownership to the City of Ashland.
This proposal is an outgrowth of work begun under a contract with Carollo Engineering in which
Water Right Solutions, LLC did research of water rights on Ashland Creek as pertaining to the Waste
Water Treatment Plant. In perfonning the research for the Carollo contract it was found that there are
a large number of water rights on Ashland Creek that may be abandoned. It would be in the best
interest of the City to acquire all water right on Ashland Creek.
There are water rights on Ashland Creek where the documents are in order and this proposal proposes
to identify the extent of the water right and identify the current land owner. There are also water
rights where there are conflicts in the record.
Proposal
1) Identify the location and owner of land that hold water rights from Ashland Creek in the City
of Ashland city limits.
2) For the water rights that have significant errors or confusion in the records, identify the water
right and the nature ofthe problem with the record. The goal will be identify the problem and
the cost to solve that problem so that the City can make a detennination of whether the water
right is worth the effort to acquire for the City
The product will be a report listing the water right with priority date and the landowners with mailing
address. Also included will be a map showing the location ofthe property.
