CIlY AND CONSULTANT AGREE: 1. All Costs by Consultant: Consultant shall, at its own risk and expense, perform the personal services described above and, unless otherwise specified, furnish all labor, equipment and materials required for the proper performance of such service. 2. Qualified Work: Consultant has represented, and by entering into this contract now represents, that all persomel assigned to the YtOrk required under this contract are fully qualified to perform the service to which they will be assigned in a skilled and YtOrkerlike manner and, if required to be registered, licensed or bonded by the State of Oregon, are so registered, licensed and bonded. . 3. Completion Date: Consultant shall start performing the service under this contract by the beginning date indicated above and complete the service by the completion date indicated above. 4. Compensation: City shaH pay Consultant for service performed, including costs and expenses, the sum specified above. Once YtOrk commences, invoices shan be prepared and submitted by the tenth of the month for YtOrk completed in the prior month. Payments shall be made within 30 days of the date of the invoice. Should the contract be prematurely terminated, payments will be made for YtOrk completed and accepted to date of termination. 5. Ownership of Documents: All documents prepared by Consultant pursuant to this contract shaH be the property of City. 6. Statutory Requirements: ORS 279C.505, 279C.S1S, 279C.520 and 279C.530 are made part of this contract. 7. UvIng Wage Requirements: If the amount of this contract is $15,964 or more, Consultant Is required to comply with chapter 3.12 01 the Ashland Municipal Code by paying a living wage, as defined in this chapter, to aH employees performing YtOrk UIlder this contract and to any subcontractor who performs 50% or more of the service YtOrk under this contract. Consultant is also required to post the attached notice predominanUy in areas where it will be seen by all employees. 8. Indemnification: Consultant agrees to defend, indermify and save City, its officers, el1llloyees and agents harmless from any and all losses, claims, actions, costs, expenses, judgments, subrogations, or other damages resulting from injlJry to any person (including injury resulting in death), or damage (including loss or destruction) to property, 01 whatsoever nature arising out of or inckfent to the performance of this contract by Consultant (including but not limited to, Consultanfs employees, agents, and others designated by Consultant to perform YtOrk or services attendant to this contract). Consultant shall not be held responsible for any losses, expenses, claims, subrogations, actions, costs, judgrnen~, or other damages, directly, solely, and proximately caused by the negrlgence of City. 9. Termination: This contract may be terminated by City by giving ten days written notice to Consultant and may be terminated by Consultant should City fail substantially to perform its obligations through no fault of Consultant 10. Independent Contractor Status: Consultant is an independent contractor and not an employee of the City. Consultant shall have the complete responsibility for the performance of this contract. Consultant shall provide YtOrkers' compensation coverage as required in ORS Ch 656 for aU persons employed to perform YtOrk pursuant to this contract. Consultant isa subject employer that will comply with ORS 656;017. 11. AssIgnment and Subcontracts: Consultant shall not assign this contract or subcontract any portion of the YtOrk without the written consent of City. Any attempted assignment or subcontract without written consent of City shan be void. The City will accomplish this by completing (1) an Economic Opportunities Analysis, (2) a Target Industry Analysis, and (3) Code Review' and Revision. These products are intended to articulate the cities industrial land needs, it's ability to capture employment growth, and to ensure that local codes accommodate employment opportunities. The City anticipates that the outcome of this project will directly increase employment opportunities and job creation in Ashland by identifying industrial/employment land needs and developing a catalog of prospective industries, along with an action plan to achieve results. The code review will provide the opportunity for the City to revise its code if existing provisions are inconsistent with the conclusions and recommendations of the analysis. SCOPE OF WORK PRODUCT 1: ECONOMIC OPPORTUNITIES ANALYSIS Objective: To identify Ashland's industrial/employment development opportunities and industrial/employment land needs for the next 20 to 50 years. 1. Review national, state, regio~, county, and local economic trend data including, but not limited to, population and job forecasts, by sector over the next 20 to 50 years. 2. Inventory and analyze Ashland's existing supply of industrial/employment lands for development constraints, ownership patterns and other suitability and availability . criteria to determine the readiness of the current land supply for industrial/employment development. . --3. Assess Ashland's economic development potential by analyzing factors such as workforce; availability of transportation facilities for access and :freight mobility; access to suppliers and utilities; location,si.ze, and buying power of markets; and service infrastructure. . 4. Identify both the industrial and other employment opportunities fo~ the region as well as target industries appropriate for Ashland. This includes identifying any specific site requirements or land needs by the target uses such as site size or proximity to facilities. 5. Analyze the information gathered in steps 1-4 to estimate net land demand for Ashland for both the long-term (20-50 years) and the short term (next 5 years). PRODUCT 2: IMPLEMENTATION PLAN Objective: To prepare an Implementation Plan in order to market to target industries for the purpose of creating industrial development and employment opportunities in Ashland. 1. Prepare an Implementation Plan, including strategies for implementation. The report shall include an Executive Summary outlining key findings. 2. Present draft Implementation Plan to Project Team, receive and incorporate COmments into final product. SCHEDULE AND BUDGET ECO proposes to complete the work described above for a fixed fee of $24,000. Table 1 shows the schedUle and budget for this project.
