reissued Stote Disposol System Permit, changes in Customer financial standing. Customer
requirements, or ony other relevant change or discreponcy in the foctuol bosis upon which this

4 Automated Process Support - ZenoTrac™
Ope rote with Confidence - Enjoy peace of mind knowing thot your plont is being monitored
by the most qualified process teom ovoilable.
ZenoTrac™ is a remote monitoring ond diagnostic system
that meosures critical pracess variobles, detects problems
and helps prevent serious failures. The system provides
automated dato collection ond grophical reporting of key
process information.
ZenoTrac™ stores 011 process data in 0 central datobose
and makes historicol doto accessible to authorized users
through a secure web site ond concurrently fulfills
membrane warranty data requirements.
With ZenoTrac™ Service. authorized users con review,
from onywhere, at onytime 24/7, the operotionol results of the plant and, in particular, can
monitor overage and peak flows, trans-membrane pressure, ond flux ... in ony selected time
frame. The Client has web access to 011 ZenoTrac™ data for the plant and will be coached by
the Process Anolyst in effective use of the tool. The interface allows operators to prepare
relioble management reports quickly. Users are welcome to use the doto in their compliance
reporting. Full responsibility for process monitoring and operoting decisions remoins. at all
times, with the Plont Operators.
Three service levels are offered to meet customer needs. For all service levels, plant dota is
reviewed ond evaluoted daily using AIDERTM functions applied to key parameters, AIDERTM is
a proprietary progrom thot identifies dota exceptions ond notifies the GE Process Engineer
with e-mail "alerts".
Warronty Service provides occess to your ZenoTrac™ dota providing 0 cost-saving
alternotive for 0 plont in loter years when the treotment process has steadied and
experienced plont operators hove achieved full mostery of the process and fomiliority with
using ZenoTroc™.
Buyer is currently covered through to November 30. 2010 by GE Woter's ZenoTrac™
Warranty Service. The annual price to renew this service beyond thot is quoted in the Prices
section.

5 24/7 Emergency Telephone Technical Support
Business Hours
For the life of the system, Plont Operators have telephone access to a skilled GE Water
technical support specialist who will provide technical advisory service to Plant Operators in
troubleshooting of system problems during business haurs. Plant Operotors call the
telephone number provided during the period 8:30 om to 5:00 pm, Eostern Time Zone GMT -5
and ask far Technical Support far issues occurring during these business hours and for non-
urgent issues.
All client issues, are tracked through to resolution using GE Water's state-of-the-ort Issue
Tracking saftware.

the telephone will contribute to effective and rapid troubleshooting.

and action or derivotion of olert/olarm.
DOSe: Operotion Sequence Chort - The PLC follows specific steps to outomaticolly
control volves, pumps ond other devices during MODES OF OPERATION of the
treatment pion!. These steps are listed and described in the OSC.
o P&ID's: Piping & Instrumentation Diagram - schematic illustration of the functional
relationship of piping, instrumentation and system equipment
components.
o Electricol drawings af your pion!. This will help with locating
devices and fuses.
After-Hours - 24/7 Emergency Telephone Technical Support
Our technicol support teom is always on call and is equipped with the
system informotion for the plont to effectively tolk a Plont Ope rotor
through an emergency. This allows the Client Ope rotors to contact a GE
Water Technical expert in the event of any emergency condition,
potentially averting loss of plont production and expensive call outs. The

Plant Operator colis the toll-free number provided and cites the Plant's Access Code. The
Telephone Technicol Support Group maintoins access to 011 plant drawings for rapid
reference during 24/7 support calls. The Telephone Technical Support group has portable
computers equipped to dial into the plant control system, if permitted and setup for this, in
order to gain a better understanding of the situotion, ond to moke any necessary
odjustments to set points or software.
Not 011 issues can be resolved through telephone support. In the event that the GE Water
Technical Support Group con not resolve the problem with ihe Operotor over the phone, on
site service ond off-site programming is ovailoble at the rates and under the conditions
published in the GE Woter SeNices Lobor Rote Sheet. Should 0 situation require a more
detoiled investigotion of control code. a GE Woter programmer is on call at 011 times. Process
Support engineers are pulled in as required to resolve the more difficult process issues.
Buyer is currently covered through to November 30. 2010 by GE Woter's 24/7 Emergency
Telephone Technical Support service. The annual price to renew this service beyond thot is
quoted in the Prices section.

As an on-going benefit to ZeeWeed"' plants, this annual meeting typically takes place over 2
days and consists of formol meetings and 0 tour of the hosting ZeeWeed"' plont. New
technologies ore introduced, current issues tabled. and roundtoble discussions ensue on
such topics as plont design or spare ports strotegies. The Users Group has become an
excellent forum for experienced operators to keep current, to renew old ocquaintonces. to
exchange the "tricks of the trade" with eoch other, ond to impart their hard won knowledge
to newer ZeeWeed"' operators.
Each forum is choired ond organized by 0 duly selected, representative ZeeWeed"' plant
operator. Generous hospitality combines with informal experiences and exercises to enhance
the esprit de corps between plont operators.
All ZeeWeed"' plants are invited to send operators representing the plont to participate in the
Users Group. GE Water covers conference, food, ond hospitolity expenses. The plant must
cover the operator's travel and hotel expenses and 0 small conference fee. GE Woter
supports this forum to facilitote interaction between ZeeWeed"' Plant Operators and to
provide a forum for reol-world feedbock to GE Water's manogement, design ond operations
stoff.
The first ZeeWeed"' Users Group wos formed in the year 2000 bringing together drinking
woter Plant Operators. The first ZeeWeed"' Users Group for wostewoter Plont Operators wos

Regianal Lifecycle Manager - GE Water Services
To assure that GE Water clients are fully supported, GE Woter assigns a Regianal Lifecycle
Manoger to eoch GE Woter customer. This Regional Lifecycle Manager IRLMI will act as the
GE Water Services "quarterback", engaging in frequent communication with plant staff,
ossuring timely access to all the technical resources required from GE Water.

Agreement Termination
After this agreement is confirmed by signature and/or a Buyer Purchase Order, the
ogreement moy be terminated prior to the end date of the agreement by the Buyer with 30
days written notice from the Buyer. subject to the condition that the Buyer ogrees to
promptly pay all costs, direct and indirect, which have been incurred by GE Water in
providing the agreed services up to the date of terminotion.

1 Payment Terms
On approved credit, payment terms are Net 30 Days. ZenoTroc™ and 24/7 fees will be invoiced annually in
advance of the service.
2 Price Validity
Prices quoted are valid up to thirty 1301 days after the date of issue of the proposal unless confirmed with a
Purchase Order.
3 Legal Name
ZENON Environmental Corporation is the name of the legal entity praviding services and is an affiliate of GE
Water & Process Technologies Canada. Purchase Orders and Checks should be made out using the name
ZENON Environmental Corporation.
Short Form: Where a short reference is required in this document. for convenience, we are called simply GE
Water.
4 No Title
At no time will Seller be deemed to have taken title to Effluent Water. Influent Water. sewage sludge. Non-
standard Substances. Hazardous Materials, harvested fibers or any ather materials or substances processed at
the site or treated by Seller pursuant to this Agreement. Seller does not take responsibility far or provide waste
characterization, disposal facility selection, or disposal. The Buyer is responsible for all wastes and waste
disposal from the plant. Wastes may include, but are not limited to water system reject waste, used RO or
ultrafiltration membranes. c1ean-in-place related wastes and wastewaters, spent media. used granulated
activated carbon. cartridge filters. equipment and consumables.lubricatian/ail contaminated debris/rags, ather

Background:
The City of Ashland WWTP utilizes Zenon Membranes filtration for removing
phosphorus. This contract covers automated process support and 24/7 emergency telephone
support for the computerized system that operates the membranes.

The City of Ashland has a Zenon membranes filtration system in place for removing
phosphorus. This is a proprietary system and this contract is with a specific firm (G.E.
Water) that is authorized to support Zenon software.

the goods or services required for the exchange of software or data with other public or
private agencies are ayailable from only one source. N/A

This agreement helps the city should the membrane computerized system fail or crash. If
the membrane filtration system is offline for an extended period of time, the City's NPDES
Permit could be violated with excess phosphorus being discharged. This 24/7 support is
invaluable in getting the system up and operating correctly.
