MODIFICATION OF TRUST DEED
Modification of trust deed dated this [,C'~C da.,y,, of ~ between John Fields, Paul H. Comstock
and John K. Everitt (referred to below as "Grantor ), whose~ddress is 340 A STREET, ASHLAND, OR
97520; and the City of Ashland (referred to below as "Beneficiary"), whose address is 20 E. Main Street,
Ashland, Oregon 97520.
1. TRUST DEED. Grantor and Beneficiary have entered into a trust deed dated May 16, 1986 (the
"Deed of Trust") recorded in Jackson County, Oregon on May 19, 1986 as Document No. 86-08902 in
the official records of Jackson County, Oregon.
2. REAL PROPERTY DESCRIPTION. The trust deed covers the following described real property ("the
property"): Lots 1 through 12, inclusive, Block "B" of RAILROAD ADDITION to the City of Ashland,
Jackson County, Oregon. The property or its address is commonly known as 340 A Street, Ashland, OR
9752O.
3. MODIFiCATiON. Gran{or and Beneficiary modify the trust deed as follows:
3.1. The addition of accrued interest to the principal amount of the underlying obligation for a
total sum of $160,125.00.
3.2. The maturity date is revised to read April 1, 2007.
.4. CONTINUING VALIDITY. Except as expressly modified above, the terms of the original trust deed
shall remain unchanged and in full force and effect. Consent by Beneficiary to this Modification does not
waive Beneficiary's right to require strict performance of the trust deed as changed above nor obligate
Beneficiary to make any future modifications. Nothing in this Modification shall constitute a satisfaction
of the promissory note or any addendum (the "note") secured by the trust deed. It is the intention of
Beneficiary to retain as liable all parties to the trust deed and all parties, makers and endorsers to the
note, including accommodation parties, unless a party is expressly released by Beneficiary in writing.
Any maker or endorser, including accommodation makers, shall not be released by virtue of this
Modification. If any person who signed the original trust deed does not sign this Modification, then all
persons signing below acknowledge that this Modification is given conditionally, based on the
representation to Beneficiary that the non-signing person consents to the changes and provisions of this
Modification or otherwise will not be released by it. This waiver applies not only to any initial extension
or modification but also to all such subsequent actions.
EACH GRANTOR ACKNOWLEDGES HAVING READ ALL THE PROVISIONS OF THIS
MODIFICATION OF DEED OF TRUST, AND EACH GRANTOR AGREES TO ITS TERMS.

THE CITY OF ASHLAND, a municipal corporation,
hereinafter referred to as 'Grantor', conveys and warrants unto
JOHN K. EVERITT, PAUL H. COMS~"~)CK, and JC~N FIELDS, tenants in
partnership, all that real property situated in Jackson County,
State of Oregon and described as:
Lots 1 through 12, inclusive, Block 'B' of ~AILROAD
ADDITION to the City of Ashland, Jackson County, OR.
Grantor covenants that it is the owner of the above-
described property free of all encumbrances except reservation of
all water rights and privileges upon or in any manner connected
with the land under which the Addition is situated as set forth
in the Plat and Dedication recorded May 4, 1888 in Volume 16,
Pa~e 2, of Jackson County, Oregon, Deed Records.
The true and actual consideration for this transfer is
$179,500.00.
This instrument will not allow use of the property
described in this instrument in violation of applicable land use
laws and regulations. Before signing or accepting this
instrument, the person acquiring the fee title to the property
should check with the appropriate city or county planning
department to verify approved uses.

THE UNDERSIGNED PROMISE TO PAY to the order of The City
of Ashland atAsh]and £itv_H~ll__ , Ashland, Oregon, the sum of
$152,500.00 with interes~ thereon at the rate of ten percent
(10%) per annum from May 1, 1986 until paid. Said sum shall be
payable in monthly installments of not less than $1,300.00 with
interest included in the minimum payments above required. The
first payment shall be made on the 1st day of November, 1986, and
a like payment on the 1st day of every month thereafter until the
whole sum, principal and interest, has been paid in full. If not
sooner paid, the undersigned shall make payment in full no later
than May 1, 1991. If any installment is not paid when due, the
whole sum of principal and interest shall become immediately due
and collectible at the option of the holder of this Note
following 10 days written notice. In the event of litigation
concerning this note, the prevailing party shall be entitled to
an award of reasonable attorneys fees at trial and on appeal.

ADDENDUM
FOLLOWING is an Addendum to that certain promissory note of
May 16, 1986, executed by JOHN FIELDS, PAUL H. COMSTOCK, and JOHN
K. EVERITT in favor of the City of Ashland in connection with the
purchase of certain real property on "A" Street in said City. In
consideration of the mutual covenants contained herein, the
parties do hereby agree to the following modification of the
payment terms of said indebtedness. It is acknowledged that the
unpaid principal balance is $160,125.00. Interest is paid
through March 1, 1992. Commencing April 1, 1992, and no later
than the 1st of every month thereafter, the undersigned payors
shall pay to the payee the sum of not less than $1,721.71.
Ail other terms of said note shall remain in full force and
effect. The trust deed executed on the same date, as security
for said indebtedness, shall also remain in full force and effect
except that the final payoff date is extended to APRIL 1, 2007.

In connection with the above transaction, I enclose the City's
recorded trust deed and the promissory note executed by the
buyers, a copy of the insurance binders, a copy of the City's
closing statement, and a check in the sum of $15,285.75
representing the City's proceeds of sale. It was recommended
that you set up a payment book which will pass between the payors
and the City regarding the payments on the promissory note.
