I first want to sincerely thank all of you for giving up yet another of your evenings, especially a mid-December evening, to learn about an issue of keen interest to us at Ashland Community Hospital. As shared with you earlier, the purpose of the study session is to present information regarding restructuring the hospital's corporate status and to provide all of you the opportunity to discuss this concept with members of the steering committee appointed to process this issue to a final resolution. For clarification, the Steering Committee is made up of representatives of the twenty- five member Study Group that has been meeting since last spring. The Steering Committee members are noted below. The purpose of the meeting will be to: (1) Authorize the Mayor to sign an "Assignment of Buyer's Interest in Asset Purchase Agreement" with Mercy Flights, Inc., for the acquisition for Ashland Life Support, Ltd. (ALS), all of the assets of the ground ambulance service previously operated by ALS in and about the city limits of Ashland. (2) Authorize the Mayor and City Recorder to execute an ORS 190 Intergovernmental Service Agreement with the City of Springfield for assisting the City of Ashland in the preparation of its application to Jackson County for A�SA No. 6. ZdZ14- 6Led�j Barbara Christensen City Recorder ucu-uo-au rnl LU-44 nu I nvi n iniul VL:niiiLi1nu" i nn IV. vw „v ,.�.V . r ASSIGNMENT OF BUYER'S INTEREST IN ASSET PURCHASE AGREEMENT This Assignment is being executed by MERCY FLIGHTS, INC., an Oregon non-profit corporation having offices located in Jackson County, Oregon (hereinafter referred to as"Mercy Flights"), the CITY OF ASHLAND, Oregon (hereinafter the "City of Ashland'), ASHLAND LIFE SUPPORT, LTD., an Oregon business corporation having offices located in Jackson County, Oregon (hereinafter referred to as "ALS"), and GORDON BROWN, an individual residing in Jackson County, Oregon (hereinafter referred to as "Mr. Brown'). Recitals: On October 20, 1995,Mercy Flights,ALS and Mr. Brown entered into an Asset Purchase Agreement (hereinafter the"Agreement")under which Mercy Flights agreed to purchase from ALS all of the assets of the ground ambulance service Previously operated by ALS in and about the city limits of Ashland, Oregon.. The City of Ashland wishes to acquire from Mercy Flights all rights and interests of Mercy Flights under the Agreement, and is willing to assume all obligations of Mercy Flights under the Agreement Mercy Flights is willing to assign its interests in the Agreement to the City of Ashland.ALS and Mr. Brown are willing to consent to the assignment to and assumption by the City of Ashland of all rights and obligations of Mercy Flights under the Agreement NOW THEREFORE, considerati THEREFORE, IN CONSIDERATION OF the mutual covenants set forth herein, and for other good and valuon, the receipt of which Is hereby acknowledged by each and all of the signing parties, it is hereby agreed as follows: 1. Assi nment of Rights and Interest Under Agreement Mercy Flights hereby irrevocably sells, conveys, transfers and assigns to the City of Ashland all of the rights and interests of Mercy Flights as"Buyer" under the Agreement. Assumation of Obligations Under Agreement. Similarly, Mercy Flights and the City of Ashland agree to negotiate in good faith concerning issues relating to mutual assistance and reciprocity. 4. General Release by City of Ashland. AILS and Mr. Brown are executing this instrument to evidence their approval of and consent to the assignment to and assumption by the City of Ashland of all of Mercy Flights' rights and obligations under the Agreement No tens or provision of this Agreement shall be binding upon Mercy Flights or the City of Ashland until this Assignment has been executed by AILS and Mr. Brown to evidence their consent to the assignment and assumption set forth herein. If either AILS or Mr. Brown shall have failed to execute this Assignment prior to the close of business on December 12, 1995, then this instrument shall be void and of no effect. 7. Attorney Fees In Connection With Transaction. Each party shall pay its own attorney fees incurred in connection with this Assignment 8. Attorney Fees In Event Of Dispute. If action is instituted to enforce any term of this Assignment, the prevailing party shall recover from the losing party reasonable attorney fees incurred in that action as set by the trial court, and in the event of an appeal,as set by the appellate courts. 9. Miscellaneous. This Agreement shall be deemed to be the entire, final and complete agreement of the parties relating to the subject matter hereof, and shall supersede, replace and integrate all of the written and oral agreements of the parties previously made or now existing in any form. Multiple copies of this Agreement may be executed by the parties, each of which shall be deemed to be an original when signed by all of the parties. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, representatives and assigns. This Agreement shall be governed by, and shall be construed and enforced in accordance with, the laws of the state of Oregon. Any legal proceedings with respect to this Agreement shall be filed in the appropriate court in Jackson County, Oregon. If any provision of this Agreement shall be determined to be void by any court of competent jurisdiction,then that determination shall not affect any other provisions of this Agreement, and all such other provisions shall remain in full force and effect. It is the intention of the parties that If any provision of this Agreement Is capable of two constructions, only one of which would render the provision valid, then the provision shall have the meaning which renders it valid. Springfield has experience and expertise in developing and operating fire department baud fee-for-service 10 ambulance medical transportation services. 11 3. Ashland desires to enter into an Agreement with Springfield whereby Spttngfield will provide emergency 12 medical services consulting services to Ashland. 13 4. Payments shall be made according to the following schedule: 29 S2,000.00 due upon Agreement execution, 29 $1,000.00 due by January 5, 1996, 30 $2,000.00 due upon completion of specified services. 31 4. Term. No change or modification of this Agreement or any of its Addenda shall be valid or binding upon 45 the parties hereto unless such a change or modification is in writing signed by all the parties hereto. 46 S. Waiver and Breach. The waiver by either party of any breach or violation of any provision of this 47 Agreement shall not be deemed a waiver of such term or condition in the future. 48 9. Assignment. This Agreement is personal in nature and shall not be transferable by either party,either 49 voluntarily or involuntarily.without the other paths written permission. 50 10. Hold Harmless. To the extent allowable by the Oregon Constitution and within the limits of the Oregon 51 Tort Claims Act,each party agrees to defend,indemnify and hold harmless the other party,its officials. 52 agents,and employees from and against any and all claims,damages,losses,and expenses,including 53 fidelity losses and attorney fees that arise out of the action or inaction of either party,its officials,agents,or 54 employees in the performance of the obligations under this Agreement. 55 11. Notice of Adverse Action. In the event a lawsuit of arty kind is Instituted to collect any payment due or to obtain 58 performance of any kind under this Agreement,the prevailing party shall be entitled to collect from the 59 adverse party such additional sums as the court may adjudge for reasonable attorney fees plus all costs and 60 disbursements at trial and on any appeal. 61 13. Tort Claims. parties to this Agreement are Oregon public entities and are subject to the Oregon Tort 62 Claims Act,ORS 30.260 to 30.300(as now or hereafter amended). 63 14. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the 64 laws of the State of Oregon as interpreted by the Oregon courts,and eny.litigation arising out of this 65 Agreement shall be conducted in the courts of the State of Oregon,County of Lane. _ 66 15. Severability. Invalidation of any term or provision herein by judgment or court order shall not affect any 67 other provision,which shall remain in full force and effect- 69 16. Force Majear.
