laws of the State of Colorado, and Chy of Ashland referred to hereinafter as "(1JSTONfl;R", a puhliC entity
organized under the laws of the Slate of Oregon, hcmhy enter into this Public Safety Product Sales/Installation
Agreement ("Agreement'l 'I'bis Agreement may refer u) C'I!S'fOMI?R and tJSW-CS, together, its the "ptu-ties".
This Agreement may refer to CI ISTOMER or to I JSW-CS as a "party" to (his A.zreemenl.
1 Products And Services Supt lit d Under This A 7reement,
1.1 l!SW-CS Sells and CtIS I-ON41:R pun.llasos the Public Safety Product hardware and/or software
specified in Attachmem I to this Agreement. rcfcrred to hereinafter as "Product(s)". CUSTOMER
purchases Product(s) to provide public salety cnter??enc v connnunicalions Services.
1.2 l ISW C'S agrees to install Product(s) specified in Attachment I according to the Ienns and conditions
descrihed in Attachment 2 to this Agreement, titled, Installalkm Schedule.
2 Sales ('rice and Pa, t?nent Terms.
2.1 IJSW-CS's prices for Produel(S) and installation appear in Attachment I to this Agreement. All
charges shall he paid within forty - live (45) clays after receipt of the invoice and in accordance with the
paymcnl schedules referenced in Attachment 3 to this Agreement, tilled, Payment Schedules. Prices
quoted in this Agreement Shall he pnO for ninety (4)) days lroin the date this Agreement is signed
by lISWKS rcpresCnlalivcS and delivered to C[JSTON1FR, after which time prices for Product(s)
ma?Ch,m??c.
22 hoc Rymcnl ('largo - 11SW-CS shall apply a service char<,c of 1-1/21/ (one and one-half percent)
Per month on any unpaid h:tlancc not received h_v t IS\\%-CS within forty-five ('45) clays of the invoice
date.
3 'f'axes and lees.
Prices do not include taxes or fees, of ;try kind, estahlished by governmental authorities. CUSTOMER
Shall pay all such applicable taxes and fees when hilted by IJSW-CS. Alternatively, CUSTOMER may
Supply IJSW-CS a tax exemption certificate in a form srtisfaclory to IISW-('S.
4 ^ Customer Respunsibilitie. .
4.1 Cl JS"I U?11:R sfi:d1 ensure that its pcrsornnc) arc aN ailAbIC to reCCivc delivery of Product(s) at site, at
a date and time to he determined hciwecn l INW-CS and Ct IS I OM1:R. Risk of loss and damage to
Product(s) passes to CtIS I0,ME' upon delivery of Product(s) to Cl ISTOMER at site.
=1.2 Cl ISTON/I1:R agmes to gram reasonable right of enty to I ISAM S' represetnativcs to deliver the
Product(s) and/or perform all ServicCS ConlCrnplatCd under or by virtue of this Agreement, and will
make available a Ivasonahlc amount of appropriate secure Space for Storage of Product(s) or parts as
necessu-y.
43 Ct!S"ROMull shall he msponsihlc for propcr site preparation, for meeting and maintaining proper
cnvironurental conditions, including Na unot limited to, air Conditioning, cleanliness,'Ind Iempcrature
reyuircnlents, and for meeting electrical rcyIli remrnlS as indlCJICd by the manufacturers of Product(s)
in Attachment 1.
4.4 Product(s) delivered to Cl IS I'(W11:1 Shall he availahlc at Sac on the inslalkhon elate. The estimated
installation begin noel complete dale:, arc identified in An:K:hmenl 2 to this Agreement.

The laws of the State of (h-cgon uovern the interhrcl<llir?n of this Agrecmem. This Agreement and the
parties' actions under this Agreement shall Comply with all federal, state, and local laws, rules,
regulations, a>urt otdets, and governmental agency orders in existence at the time of execution of this
Agreement. 11' ally of the provisions of the terms and conditions contained herein shall he held to he
invalid or unCllI0FCeahlC in any jurisdiction in which these terms and conditions apply, such invalidity or
unenforceahility shall not invalidate or render uncnforceahle any other tarn or condition, but rather these
terms and conditions shall he construed ttnd enforced accordingly. I lowevcr, in the event such provision is
considered an essential clement of these terms and conditions, the parties shall promptly negotiate a
replacement thereof.
6 force Majeure.
Except with respect to the CUSTOMFR's ohlignition to make timely payments, neither party shall be
held responsihlc for any delay or failure in perlormancc to the extent that such delay or failure is caused by
fires, s(rikes, embargoes, earthquakes, hoods, wars, water, the elements, labor disputes, government
reyuiremenls, civil or military authorities, acts of God or by the public enemy, inability to secure
u-ansportation facilities, ,tots or omissions of suppliers or other causes beyond its control whether or not
similar to the foregoing.
7 Health and Safety Compliance.
USW-CS and the Ct IST( )MI,R shall adhere to all applicahlc health and safety laws, rules and regulations
including the Occup,11ional Safety and Health Admini.str:ihon's COSIIA") rules and regulations. The
Ct lS-fOM1?R agrees to ccrtily that there is nu ashesstos on ;toy premises in any areas where IJSW-CS will
he working. In the event the (1STOMF'R will not certify an asbestos free environment or asbestos is
discovered in the t 1SW-CS work area, there may he additional costs to perform under this Agreement in
compli.mcc with OSI IA's rules and regulkitions. 'fhc Ct IS 1't )MI:R understands and agrees this Agreement
dues not include the prigs lttrihutahIc to ?v orking in an a?hcstns cnvirontneni including, but not limited
to, asbestos sampling, testing, cleanup, or rerouting or (Iclays caused by any of the ahove. The
CI IST( )MFR understands and agrCCS that prices atu-ihutahle to any of the ahove will he in addition to the
price agreed to herein and the CUSTOMI?:R agrees to pay the additional amounts. Ctis,rOM1;R'S
non-compliance with this provision will he considered as Ct ISTOMFR'S default under this Agreement.
8 Limitation of Liability.

manufacturer (t is NV -('S's vendor) has en)hedded such software into the hardware as an integral part of the
Product(s). All sollwarc remains the properly and full owncrship of the creator, developer, manufacturer,
or copywriter, whichever the case may he 11 required by crcau>r, developer, rnanul'Icturer or copywriter, it
license must he gr<Inted to end-user it JS1y'-CS's Cn."totncr), to use such software and may contain specific
terms and conditions for such use. "These specific Icrn)s and conditions for use are governed entirely by

19 Dispute Resolution
