laws of the State of Colorado, and City of Ashland, referred to hereinafter as "0IShOMER", a public entity

("Arrecrncnl").'phis Aorccmcnl may refer to ('tISTOMl?,R and lto,!cther. as the "parties". This Agreement
may refer to CI ISTON11`R or to t'S\V-('S As a "party" to this Agrccmcm.
I. Products And Services Supplied Under 'I'h k- Agreement. lIS\V-('S will provide maintenance service
on the Public Safety Pruduc[(s) specified in Attachment I to [his Agreement, referred to hereinafter as "Service",
according to the terms dcscrihcd in Attachment 2, titled, "Maintenance Provisions".
2. "term. ']'tic term of this Agreement shall continue for a period of one ( I) year from installation, Upon
completion of the initial 'term, this Agreement shall he auturnAtirally extended or rcncwcd for four (4) successive
periods of one (1) year cash ("Renewal Period") fir A comhincd total of five (5) years, under the same terms and
conditions. CUSTON11%R shall have [he ri.-ht to tcrntinate if any time upon forty-five (45) days advance written
notice.
3. Maintenance Charges ajjd-Pa_?rnvnt Term

4. Taxes and Fees. Prices do not include taxes or fees, of Any kind, established by governmental authorities.

5. Customer Respztnsihi,lities.
A. CtISh0NIFR shall he responsible for maintaining proper cnvironmenlal conditions at SITE, including but not
limited lo, Air condihonin?), (if applic•ahlc). Clcal lines, and temperature requirements, and for meeting electrical
requirements.
B. ('I ISfO(\11I'R Shall ensure its personnel arc availAhic at SVITl' when maintenance is needed, providing free access
for t ISW-CS pcrsonncf to supple m;tintcn,tncc services.
6 Lawfulness. This A?,.rccrncnl is made under anti will hC ;uhject lo, the laws of the Slate in which the service
is provided. I1)is Agrcenwlll and the parties' actions under this A,,rcemenl shaft comply with all federal. state, and
local laws, rules, regulations, court orders. and )governmental agency orders in existence at the time of execution of

performance is prevented by stets or events hcynud the party's rcAsowihlc control including, but not limited to: severe
weather and storms, earthquakes or other natural occurrences, strike, and other labor unrest, power lailures, electrical
power surges or current fluctuations, nuclear or o[hcr civil or mililAry emergencies, or acts ofIegislalive, judicial,
executive, or administ ativc authorities.
8. Health And Sal'ety ('on)pliance. t 1SW-('S Alin the (' KN )MRR Shall adhere to all applicable health and
safely laws, rules and rcgulaliuns including the ( )CCtIpAhonaf Stlrty and I Ical[h Adminislration'.s (" OS11A") rules and
regulations. The ('USfOM1"N a,rrcCS [o ccrlil)' that there is no ashcslos on any premises in any areas where IJSW-
CS will he working. In the even[ the CUS ON11:R will not certify An Asbestos free environrnenl or asbestos is
discovered in the t IS\V-( :S work area. [here may he additional Costs In perform under this Agreement in compliance

delault under this Agreement.
9 Limitation of Liability.

A. Amendments, modifications and supplements to this Agreement will be enforceable provided any amendments,
modifications or additional schedules or supplements shall he in writim-1. shall reference this Agreement, and shall he

B. Modifications or additional schedules shall not he construed to adversely affect vested rights or causes of action
which have accrued prior to the elfcctive (Lite of such amendment, modification or supplement. The term "this
Agreement" as used herein shall be deemed to include ally future amcudmcuts, modilications and additional Schedules
made in accordance hercwith.

11. Waiver. An)' failure of a party to assert any right under this Agi-ccincm shall not constitute a waiver or a
termination of that right, this A?_,rccment, or any oll this ALlrccment's provisions.
12. Assignment & Right to Subcontract. Neither party shall assign, sublet, or transfer any interest in this
Agreement without the prior written consent of the other party. which conscnl shall not he unreasonably withheld:
provided, however, that USW-CS may assign and uranslcr this Agreement to any parent, subsidiary or affiliated
company without the prior written consent of the ('l 1ST( )MFR.
13. No License of Name. '['his Agreement Shall not constitute a license to either party of the other party's trade
name, tradenuurk, or any related property. Neither piirtyshall h11vc the ri?ht to use the other party's name in any way
whatsoever without [lie prior written consent of the other party.

14. USW-C'S Ohli'ations. IISW-CS shall perform ordinary 11mintenance on, and repairs to. Products listed in
Attachment 1 as to manufacturer's origimil perfornimice specifications. USW-US has no obligation to replace
Product which ran rcasonahly he repaired in die ordinary CoueSC of performing maintenance Services. USW-CS shall
not maim"tin or repair sof %VM-e resident Within or added to Product: [lie responsihi Iitics of t JSW-CS with respect to
resident sohw:u-c shall be limited to any remedies provided by (lie manufacturer of the resident software. USW-CS
has no responsibilities under this Agreement with respect to add-on softwarc unless such responsihilities arc
spceilically agreed to by both parties and incorporated via Supplenicnt to this Agi-ccmcm.
