CONSENT AND APPROVAL
OF
CITY OF ASHLAND, OREGON
TO
AMEND CABLE TELEVISION FRANCHISE
WHEREAS, Falcon Cable Systems II, L.P., locally known as Charter Communications
("Charter") currently holds a cable franchise with the City of Ashland, Oregon ("City"), dated February 5,
2004 ("Franchise"); and
WHEREAS, the City initially extended the term of the Franchise until June 30, 2009; June 30,
2010; and thereafter until December 31, 2011; and
WHEREAS, the parties continue to reserve all rights under the formal procedures of Section 626
of the Cable Act and do not waive any rights related thereto; and
WHEREAS, it is in the public interest to further extend the current Franchise for an additional
period of time so that cable service to the public will not be interrupted;
NOW, THEREFORE, the Franchise of Charter shall be extended on a month-to-month basis until
either party gives the other 90 days written notice of its intent to negotiate a new Franchise. All other
terms and conditions of the existing Franchise shall remain the same. The parties continue to reserve all
rights under the formal procedures of Section 626 of Title VI of the Communications Act of 1934, as
amended, and do not waive any rights related thereto. Charter shall not be required to send another
request for renewal of its Franchise under 626 as a result of this Extension.

Please find enclosed a fully executed Franchise Extension Agreement, which extends the term of the
current Charter Franchise with the City of Ashland on a month-to-month basis until either party gives
the other 90 days written notice of its intent to negotiate a new Franchise.
