On April 1, 1993, the Bonneville Power Administration (BPA) and the City of Ashland
(Ashland) executed a Reimbursable and O&M Agreement (Agreement), Contract No.
DE-MS79-92BP93666, under which BPA and Ashland agreed that BPA would maintain
Ashland's Bus Voltage Regulator, located at the time in PacifiCorp's Ashland Substation.
The Bus Voltage Regulator was subsequently moved to BPA's Mountain Avenue Substation.
Table 2 was added to Exhibit C of the Agreement on March 28, 1995, to provide for BPA
maintenance of Ashland's three 15 kV class reclosers at Ashland's expense. Table 2 expired
on September 30, 2009.
BPA and Ashland agree that there is no longer a need for BPA to maintain Ashland's Bus
Voltage Regulator and, in fact, service was discontinued several years ago when Ashland
took over maintenance of all Ashland-owned equipment. Because there are no longer any
facilities under the Agreement requiring BPA service, the Agreement is no longer needed.
Accordingly, to terminate the Agreement, please sign both originals of this letter, retain one
executed original for your files, and return the remaining executed original to my attention by
Close of Business on February 6, 2015, at one of the addresses below:

Both BPA and Ashland agree that any obligations that are unsatisfied as of the date
of termination will remain until satisfied. The Agreement will terminate as of the date signed
by Ashland below.
