^his Agreement Witne sseth:
'^hat t",'hereas rred-~P'Carter and ANelson,of the City of Ashland.,Cregon,are desirous of installing a -man-
ufact.uring industry in the said city- at, a point-near the intake of
the quartz-mill flume,north of `lain Street and between Water and hol-
r:an Str.eets,the sage in the rain to be operated by water power obtain-
ed from Ashland Creet by a pipe line beginning near the north side of
the oa cob Wagner lot in said city and running thence northerly across
Kranite and lain streets,in said city and to the location of said pro-
posed manufactury:
And whereas it will be for the interests of the city
to encourage m9nufactori.es that will not interfere with the rights
of the city to the graters of said tree' ,and not result in dirage to
the city in the premises,and
whereas the said rel f ca rtes and -nra nnAl
Jelson to agree b7 and with the said City that neither thoy,their
heirs or assigns in the premises of the ownership of said pipe line
and ma nufa ct nring plant shall sk now or at any time claim any of the
waters of said creel only su-no as may be the surplus thereof-iftet
the needs of the city therefor shall have been supplied;it being
their intention to use merely the waste water power now flowing down
said creep and hold the city harmless in the premises of any damages

therefrom or tlereby:
Now therefore,in consideration of the right-to
lay the said pipeline across said Granite and_ lain streets is hereto-
fore granted to them by the said_ city of Ashland,the siid"Y`re&jQrter
and ran*elson do declare the intentions hereinbefore expressed to
be their true and_ actual intentions and do hereby concede to-the said
city the first right to the use of the waters of said ..Ashland Creek

ages in the premises against the said city
