All COsts bv Contractor: Contractor shall, at its own risk and expense, perform the work described above and, unless othenNise specified, fumish all labor, equipment and materials required for the proper performance of such work. 2. Qualified Work: Contractor has represented, and by entedng into this contra~t now represents, that all personnel assigned to the work required under this contract are fully qualified to perform the work to Which they Will he assigned in a Skilled and worksdike manner and, If requireS to he registered, licensed or bondeS by the State of Oregon, ape so regts~ereS, licensed and bondeS. ContraGtor shall also procure and maintain a current City of Ashland business license. 3. Comoletion Date: Contractor shall start performing the work under this contract by the date indicated above and complete the work by the completion date indicated above. 4. Compensation: City shall pay Contractor for work performeS, including costs and expenses, the sum specified above. Once work commences, invoices shall be prepared and submitted by the tenth of the month for work completed in the pdor month. Payments shall he made within 30 days of the date of the invoice. Should the contract be prematurely terminateS payments will be made for work completed and accepted to date of termination. Compensation under this contract, including all costs and expenses of Contractor, is limited to $25,000.00 and City shall not he obligated to pay any sum in excess of $25,000.00 unless a separate written centtact is entered into by City. 5. Ownership of Documents: All documents prepareS by Contractor pursuant to this contract shall he the property of City. 6. Statutory Requirements: ORS 279.312, 279.314. 279.316 and 279.320 are made part of this contract. 7. II~qmnification: Contractor agrees to defend, indemnity and save City, its officers, employees and agents harmless from any and all losses, claims, actions, costs, expenses, judgments, subrogations. or other damages resulting from injury to any parson (including injury resulting in death ,) or damage (including loss or destruction) to property, of Whatsoever nature adsing out of or incident TO the performance of this contract by Contractor (including but not limited to, Contractors employs, agents, and uthera designated by Contractor to perform work or services attendant to this cantract.) Contractor shall not be held responsible for any losses, expenses, claims, subrogations, actions, costs, judgments. or other damages, directly. solely, and approximately caused by the negligence of City. 8. Termination: This contract may be terminated by City by giving ten days written notice to Contractor and may be terminated by Contractor should City fail substantially to perform its obligations through no fault of Contractor. 9. Independent Contractor Status: Contractor is an independent contraotor and not an employee of the City. Contractor shall have the complete responsibility for the peHormance of this contract. Contractor shall provide workers' cempensetion coverage as required in ORS Ch 656 for all persons employed to perform work pursuant to this contract and pdor to commencing any work, Contractor shall provide City with adequate proof of workers' compensation coverage. Contractor is a subject employer that will comply With ORS 656.017. 10. Insurance: Contractor shall, at its own expense, at all times during the term of this agreement, maintain in force a comprehensive general liability policy including coverage for contractual liability for obligations assumeS under this Contract, blanket contractual liability, products and completed operations, owner's and contractot's protective insurance and comprehensive automobile liability including owneS and non-owneS automobiles. The liability under each policy shall he a minimum of $500,000 per occurrence (combined single limit for bodily injury and propad,/damage claims) or $500,000 per occurrence for bodily injury and St 00,000 per occurrence for property damage. Liability coverage shall be provided on an "occurrence" net "claims" basis. The City of Ashland, its officers, employees and agents shall he named as additional insureds. Cettificatss of insurance acceptable to the City shall be filed with Citys Risk Manager prior to the commencement of any work by Ccotractor under this agreement. These cettiFcatss shatl contain provision that ceverages affordeS under the policies can not be canceled and restrictive modifications cannot he made until at least 30 days pdor written netice has been given to City. A ceffificate Which states merely that the issuing company "will endeavor to mail' written notice is unacceptable. 11. Assipnment and Subcontracts: Contractor shall not assign this contract or subcontract any portion of the work without the Written consent of City. Any attempted assignment or subcontract without written consent of City shall he void. January 21, 2000 City of Ashland 20 East Main Ashland, OR 97520 PROPOSAL We, Medinger Construction Company, Inc., hereinaRer called the Contractor, propose to furnish and install materials and labor and remodel the interior of the Utilities Building at 20 East Main, for the City of Ashland, hereinaf[er called the Owner, for the sum of $14,409.00, and in accordance with plans dated June 25, 1999, with a revision date of July 27, 1999, and with specifications described in this proposal. It is agreed that the aforementioned specifications reflect all meetings and conversations dealing with this project. After signing contract, any and all changes to specifications described herein shall be made via written change orders signed by both Contractor and Authorized Owner's Representative. Change orders will be charged or credited in final billing. Location of the job is 20 East Main, Ashland Oregon. Payments are to be made to Contractor in person or to P.O. Box 702, Ashland, Oregon 97520, or in person to our office located at 695 Mistletoe Road, Suite D, Ashland, Oregon. An initial payment of $9,606.00 shall be made prior to the start of construction. Final billing of $4,803.00 shall be due on the 10th of the month following project completion. Past due invoices will be assessed late charges at the rate of 2% per month. Any defects in workmanship and materials discovered within one year of completion will be corrected by the Contractor at no cost to Owner, except those defects involving work not included in the contract, or work done by Owner, or work done by other contractors hired by the Owner, or occurring through the misuse of the Owner. Equipment warranties, if any, are passed on to the Owner. P.O. SPEC]I~ICATIONS: Demolition of old cabinetry, finishwork, floor coverings and framing per contract print. New drywall/drywall patches as necessary. Furr out two doors in copy room. Install casing on copy room side of two doors. Install Armstrong base trim as per plans. No additional interior finish work included. Provide new carpet and installation per contract print. Provide and install acoustical ceiling tile per contract print. Supervise entire project including sub contractors hired by the City of Ashland. Lower fire sprinkler heads for acoustical tile. No paint or paint prep included. No design or permit fees included. No flaming included, except for soffit in entry. No electrical or plumbing work included. No cabinet work included.
