conveyor (by others),

At all masonable times duling the term of the rantel agreemerlt the Equipment

Dudrig the term of this Agreement or any extension hereof, City of Ashland shall
be responsible for and pay the cost d all neeasseT repa~m, maintenance and
replacement of pazts ale rebuked to cirre=t any end all damage to the Equipment
occurdng {:lUring '1~ Rental Term: pro~ed, however. that all repairs and past
replacement be performed by ty efAshlantt using only genuine ASHBROOK
replacement parts when practical. City dAshland shall, at its co~t and expense,
keep the'Equipment in ge~t repair, Pmpw'lV lubricated and prsperly housed
when not in'use.
2.2
City dAshland shall allow onl3 d~l,Y trained operab;r~ to use and/or
times use the Equil}msnt in a careful arid prudent manner.
City of Ashland shall return the Eqalpment to ASHBROOK at the end ~ t~ rental
Period in the same condillon as ~ ~ ASHBROOK - less norma~ wear
and tear. The Equipment shlJ be dean and free of an). waste and waste
residue. If dislsesal or deeonlaminiti~ ofth.s Equ~pmertt is required due to
pm;essjng ore haz. mdeus waste, itshag I~e the responsibility of the City of
Ashland. If, upon mpea-~siQn, "osai afthe FAuipment ;s req~k~lo city of

OWNERSHIP OF EQUIPMENT
4.1

ownership right to City of Ashland of ~ Equipment.
In me event of a default on the part o~ ~ of Ashisnd in the payment ,,f any
mortlos due arid owlrig A,qHBROOK, HEROOK shall have the .~ght~ alqd City
of Ashland hereby does grant ASHB~R/~K the right, to enter0nto any lend upon
which The Equipment i being housed. ~tnd to remove the Equipmer~ without first
resorting to the prom of law. This grist of authority she, be irrevocable by City
of Ashland until all fna Equipment Is returned t0 A~HBROOK.
INSURANCE AND LIABILITY
5.1
City ofAshland ASSUMES ALL RISKS, end will pay ell costs and exper6es of

5.2

$1,000,000 combined single oeourtence limits for bodily injury and/or

City of Ashland shall imrnedlately inform ASHaROOK of any special hazard risks

processed by the equipment of ~ieh c~ of Ashland le aware or shad became.
aware which Would require dispoeml, deaanteminatlon or other extraorffinary
cleanirlg of the Equipment upon completlgn of the job.
WARRANTIES
7.1
ASHBROOK makes M warranty or representation, expressed or implied,
(including ~e implied warranty of merehahtability and fitness) as to
apiN'~pffiatenes8 of the Equipment f~' ~t~sk or that the Equipment is
appropriate far any given usa to w~ich Ct~ dAshland may put the Equipment.
INDEMNIRCATION
City dAshland shall hdernnlfy end hold haarrnleas ASHBROOK, its officera.
employees, and agents agalmit all dalton. jlablb'lies, la~es, damages and
expen,ee, of every ahara~ter and kind whdtsoever, for property damage, bodily
injury. sir..Jmee, andlor disease recul~ing in whole from either the r~egligence
and/~r willful miscondu~t of City of Ashland.
SECURITY INTEREST
City of Ashland agrees to execute a security eSteemant and Form UCC-I
requiecl byAeHOR OK to perfedASHORQ~.K'e security tnlere~t in the
equipment during the term of the renMd agreement.
lO, FORCEM~UEURE
10.1
Neither party shall be liable under thL~ A~mement f~t aleJays or other non-
performance (e~cept f~r the payment of money for equipment ckdlned under this
agreement or for earvices already rendered) caused by any unusual occurrence
beyond the par~'a reasonable ¢=nlr;I, Inclu~Lq, but not limited to, war, fire,
strikes, o~eC labor troubles. unforeeeeble breakage ef equipment accldents
beyond the conlml of either lam'ty, Nts efGod, delays ot common carHem, and
unforeseeable a~ons of!~overnmetq~l authorfry, Jaws, miss and/or regularruns.
ThLs Agreement shaft be deemed t~ be a contract made unde. r the laws of the State d Texas,
and shall for all purposes be censttu¢l and enf~ In a~rdan~e with the laws afthe State of
